The figure is based on the $200,427 Wells has received in compensation as BENCO director from 2011-2017. The Raethers have repeatedly requested meetings with Wells to discuss the cooperative's business. According to the claim, Wells has refused to meet with the members.

"Mi Well isthe elected Director for District 4 forthe BENCO Electric Cooperative, Written and multiple verbal requests by
Cameron Raether and Jackie Raether (BENCO members, owners and shareholders of District 4) to meet with Mr. Wells were
‘elected. Mr. Wells (as the Director of District 4) has received $200,427 in compensation and expenses from 2014 through
2017~ paid by the membership out of their monthly bill. If he wll not meet with us - we simply want our money back that
was pad to himas our representative. Why should we compensate Director Wels, if he refuses a simple a request by his
‘members to meet to discuss the cooperative’ business? The District Director has a fiduciary responsibility to the membership
‘of his Dsrict and his refusals the boss for this claim. The damage amount calculation is based on the total compensation of
