1 HOME OFFICE SERVICES

Licensor shall provide the following in respect of the scope of Work which it shall
undertake in accordance with the provisions of this Section 6.3.

1.1 Project Management

Licensor shall provide project management for its part of the Work to be done in its
Home Office (s) and in addition collaborate, as further stated in paragraph 1.5 below,
with IMC for the project management, procurement and construction management of
the complete Project. In connection thereto, Licensor shall provide, reports and the
like specified hereunder prepared such that they can be incorporated into reports
and the like for the overall Project, which shall be issued to Owner for Approval /
Information as required by the Project Specification.
- Planning
- Work measurement systems
- Budget estimates, cost control and finance control.
- Individual budget estimates delivery requirements, if any.
- Cost reports
- Progress report
- Other report
- Report requirements
- Attendance at meeting in so far as it concerns Licensor’s part of Project

1.2 Process Licenses

Provide Licenses for the Refinery Unit and Fractionation Unit and Packaging Unit,
and any other licenses required for the Project, in accordance with the Agreement
and procure Licenses, without any costs attached thereto, for Owner’s right to
operate, maintain and sell products and to receive improvements from Licensors.

1.3 Design Services

- General Engineering coordinated with IMC for the complete Project, including job
standards, specification’s and methods covering design, fabrication and erection
(to the extent applicable) for equipment and materials including pressure vessels,
heat exchangers, furnaces, mechanical equipment, special equipment, piping,
instrumentation, and loadings for civil and structural; and any special

requirements for civil, structural, buildings, electrical, painting, insulation, erection

etc, but excluding job standards, specification and method for same.
- Process design data for the Refinery Unit and Fractionation Unit and Packaging
Unit.
- Process description for the Refinery Unit and Fractionation Unit and Packaging
Unit.
- Process flow sheets for the Refinery Unit and Fractionation Unit and Packaging
Unit.
- Utility summaries of the individual process units and Offsite Units.
- Utility integration of the overall Project.
- Assistance to Local Contractor for overall flow analysis and water hammer
analysis of major water distribution systems.
- Preliminary electrical load requirements.
- Process Effluent Summary for the Refinery Unit and Fractionation Unit and
Packaging Unit.

Engineering Data
- Equipment lists for Refinery Unit, Fractionation Unit and Packaging Units.
- Preliminary P and I diagrams for Refinery Unit and Fractionation Unit and
Packaging Units.
- Preliminary Line Lists for Refinery Unit and Fractionation Unit and Packaging
Units.
- Basic duty specifications, outline data sheets for all items for Refinery Unit and
Fractionation Unit and Packaging Units, and major items in Off sites.
- Equipment Drawings and Requisitions for equipment and materials to be
purchased by Licensor.
- Equipment Arrangement Drawings for Refinery Unit and Fractionation Unit and
Packaging Unit.
- Preliminary Hazard Classification Drawings.
- Assistance to IMC for Hazop reviews.
- Assistance to IMC for Environmental Plan.

Operating Spare Parts

For equipment and materials to be purchased Licensor as listed in 5.2 Attachment 2.

respect of equipment to be provided by Licensor which detailed in Section 5.6

Equipment list.

Instrumentation
- Instrument Lists for the Refinery Unit and Fractionation Unit and Packaging
Units.
- Requisition data sheets for all instruments in the Refinery Unit and Fractionation
Unit and Packaging Units.
- Data sheets, specifications, drawings, software for the Distributed Control
System, incorporating requirements in respect of Off sites to be provided to
Licensor by IMC.

Electrical
- Preliminary overall one line diagram.
- Preliminary load sheets for the Refinery Unit and Fractionation Unit and
Packaging Units.
- Preliminary load shedding study.

Insulation and Painting

Any special requirements of the Refinery Unit and Fractionation Unit and Packaging
Units.

Miscellaneous
- Administration of marine insurance to be placed by IMC, for equipment and
materials to be provided by Licensor.
- Test run procedure for the Refinery Unit and Fractionation Unit and Packaging
Units.
- Assistance to IMC for Financial Cost Report in respect of cost breakdown of
Licensor's scope of Work.
- Assistance to Owner for liaison for the gas supply, including comments on the
gas specification.

1.4 Procurement Services

General

Licensor shall provide Procurement Services for all equipment and materials within
its scope of supply, as follows :
- Purchasing, Expediting, and Inspection.
- Perform actions in a matter consistent with IMC's actions for same in respect of
the overall Project.
- Perform actions to the extent same are associated with equipment and materials
to be provided by the Licensor.
- Perform actions for items of Owner's Controlled Cost agreed prior to Contractor
signing to be purchased by Licensor on behalf of Owner including Operating
Spare Parts.
- Shipping of Items.
- Prepare detailed shipping procedure in conjunction with IMC.
- Provide data to IMC for it to prepare Master Equipment Lists.
- Arrange delivery to FOB/FAS point of delivery of items to be provided by
Licensor.
- Liaise with Freight Forward Agent appointed by IMC.
- Give general advice of individual shipments. Provide or arrange provision of
shipping documents and documents for custom's purposes for all foreign
equipment and materials.
- Arrange shipment to Site CIF of FOB/FAS equipment and materials, including
that purchased by IMC.
- Provide Marine Declaration and its like for IMC to provide insurance for all
equipment and materials.

1.5 Assignment in IMC’s Home Office

Licensor shall provide the personnel to collaborate with IMC for :
- The transfer of the basic design data to be further developed in IMC's Home
Office.
- IMC to complete the design engineering of the Off sites, and the detailed design
of the complete Project including Refinery Unit, Fractionation Unit and Off sites
Units.
- IMC to make accurate preliminary and final material take-off, with sharing
responsibility therefor with IMC as agreed in the Consortium agreement.
- IMC in overall planning, project management, procurement management,
construction planning of the Project.

- IMC to provide the balance of equipment to be purchased locally and as required

overseas.
- IMC to perform other services, preparation of reports and its like as specified
- in the Project Specification.

2 CONSTRUCTION AND START UP SERVICES

2.1 Construction Services

Provide construction advice to Contractor
2.2 Start up and Operating Assistance
- Provide start up personnel
- Provide assistance to owner after Provisional Acceptance

3 TRAINING

Provide training as defined to be undertaken by Licensor, and training of IMC personnel as

agreed.

4 FINANCING AND ACCOUNTING SERVICES

Provide, or assist IMC to provide, finance and accounting Services, in respect of

Licensor’s scope of Work.

5 MISCELLANEOUS

- Provide office accomodation for Owner's and IMC's personnel. In this regard, IMC
shall make its own requirements known to Licensor.
- Likewise for documentation.

6 GENERAL

- In provision of the above scope of Services, Licensor shall follow the engineering
procedures, the procurement procedure, the construction and start-up procedures as
stated and as stated elsewhere, in so far as they relate to the responsibilities of the
Licensor.
- Allocation of costs as listed between IMC and Licensor shall be as determined
between the parties.
