CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This contract, made and entered into this ______ day of ___________________ in ____
__________________________, Philippines,

by and between:

LAMBERTO Q. DE JESA, of legal age and a resident of 39d Scout


R e y e s , R o x a s D i s t r i c t , Q u e z o n C i t y referred to as the SELLER;

and

KENNETH LEE G. DE CASTRO, of legal age and a resident of 8 Cadena de Amor St.
Roxas District Quezon City, hereinafter referred to as the BUYER

WITNESSETH That:

WHEREAS, the seller has offered to sell, transfer and convey to the BUYER the Unit
hereinafter described, under the following terms and condition set forth;
WHEREAS, the BUYER agreed to comply with the terms and conditions set forth and
as formulated by the seller;
NOW, THEREFORE, in consideration of the foregoing premises and the payment of
the contract price herein below specified, the SELLER has agreed to sell, has agreed to sell,
transfer and convey to the BUYER who has agreed to buy the unit herein below described,
under the following terms and condition herein after set forth to wit:
1. THE CONTRACT PRICE. The contract price of the Unit shall be Two Million
Three Hundred Thousand Pesos (Php 2,300,000.00 payable in the following manner:

3. DOWNPAYMENT: Twenty Percent (20%) spot-cash or the amount of FOUR
HUNDRED SIXTY THOUSAND PESOS ( Php 460,000,000).

4. BALANCE: . Eighty Person (80%) or the amount of ONE MILLION EIGHT


HUNDRED FORTY THOUSAND ( Php 1, 840,000.00) payable in ___ Installment
and on the ___day of each month beginning _______ until __________. The BUYER
shall deliver to the SELLER _________ post-dated checks to cover the afore-mentioned
installment as scheduled.
5. INSTALLMENT PAYMENT: any and or installment payment shall be made by the
BUYER or before the specified due date without need of demand and in case the buyer
fails to do so, the SELLER is entitled to imposed and collect, a penalty of three percent
( 3%) per month and (any fraction of the month shall be considered one month ) on the
amount due without prejudice to the other remedies available to the SELLER.

6. ADVANCE PAYEMNT. – The SELLER may allow the buyer to advance the payment
of any outstanding balance in full or in part in such a term as may be impose by the
Seller. Advance partial payment when authorized by the SELLER shall have the effect
of shortening the CONTRACT.

7. REAL ESTATE TAX, ASSESSMENT- The seller shall pay real estate tax and
assessment on the subject condominium unit without recourse to the BUYER for as
long as the title has not yet been passed to the BUYER. However, should the BUYER
has actually taken possession of an occupied the unit, the BUYER shall be liable to the
Seller for such real property tax and assessment.

8. NO PREJUDICE TO SELLER’S RIGHT TO CONSIDER CONTRACT


TERMINATED- Without prejudice to the right of the SELLER to consider this
contract terminated should the buyer fail to pay any of the installment when due and
any of the interest thereon, the rights and obligation of the parties are as follows:

a. Under republic Act 6552, otherwise known as the MACEDA LAW , if the
BUYER is in default in any installment due, he shall be entitled to a grace period
of sixty (60) days provided the BUYER will avail of the said period only once
during the duration of the entire Contract.

b. After such grace period it is within the discretion of the SELLER to charge the
BUYER a late payment charge of three (3%) per month computed from the due
date of each installment date.

c. To rescind or cancel the contract after thirty (30) days from receipt by the
BUYER of the notice of cancellation.

d. Furthermore, in the event of cancellation of contract, the BUYER should he be


in the possession of the unit shall become an unlawful detainer and be
considered as an intruder which can be ejected at anytime by any means
provided by law.

9. TITLE OF THE PROPERTY- the title of the property subject of this shall remain in
the possession of the SELLER until FULL PAYMENT of the consideration of the sale
as well as payment of all the amount due from the BUYER.

10. DUTY TO DELIVER- after the aforesaid payments, the SELLER is duty-bound to
deliver the Title and the Absolute Deed of Sale of the Unit free from lien and
encumbrances.
11. EXPENSES INCURRED TO EFFECT TRANSFER- All expenses to be incurred to
transfer title to the BUYER such as but not limited to documentary stamp tax, transfer
tax, notarization of this documents, deed of absolute sale, registration fees,
miscellaneous fees and other expenses shall be for the exclusive acct of the BUYER
except withholding tax and capital gains tax which is based on the selling price.. The
buyer agrees to pay the same without need of demand.
