SentriLock™ System Agreement

IT IS HEREBY AGREED BETWEEN THE NIAGARA ASSOCIATION OF REALTORS® (Association), AND ITS

Cardholder: _____________________________________________________________________________
(Name of Cardholder)

1. Definitions:

(a) “Association” means the Niagara Association of REALTORS®

(b) “SentriLock™ System” means Bluetooth™ REALTOR® Lockbox, SentriCard® and SentriCard® Reader
(c) “SentriCard®” means the SentriLock™ SentriCard®
(d) “Cardholder” means any Association Member or Individual authorized by the Association to access the
SentriLock™ System and who has executed this Agreement
(e) “Agreement” means the SentriLock™ System Agreement

2. SentriCard® Receipt: Cardholder acknowledges receipt of a SentriCard® from the Association.

3. SentriCard®: Cardholder agrees the SentriCard® shall be the sole property of the Association and shall
immediately be returned to the Association as required by the Association. The Association may require, at its
discretion, the replacement of the SentriCard® used by its Cardholder with another SentriCard®(s) that is
compatible with the SentriLock™ System. The Association shall make the exchange of a SentriCard® at no cost
to the Cardholder unless the exchange is due to the Cardholder negligence or fault as determined in the discretion
of the Association.

4. Current Update: Cardholder acknowledges the SentriCard® will be updated from time to time, and that the
SentriCard® code expires at regular intervals determined by the Association, prohibiting further use of the
SentriCard® until a new update is obtained by placing the SentriCard® in a SentriCard® Reader or by another
method authorized by the Association.

5. Term of Agreement: The term of this Agreement begins on the date of the execution of this Agreement and ends
on the date the Cardholder is no longer an Association Member or individual authorized by the Association to access
the SentriLock™ System.

6. Security of the SentriCard®: Cardholder acknowledges it is necessary to maintain security of the SentriCard® to
prevent its use by unauthorized persons. Consequently, the Cardholder agrees:

(a) To keep the SentriCard® in the Cardholders possession or in a safe place at all times.

(b) Not to allow their personal identification number (PIN) to be attached to the SentriCard® or disclose to any
person their personal identification number (PIN).

(c) Not to loan the SentriCard® to any person including another Broker or Salesperson for any purpose whatsoever
or to permit the SentriCard® to be used for any purpose by any other person including Broker or Salesperson.

(d) Not to duplicate the SentriCard® or allow any other person to do so.

(e) Not to assign, transfer or pledge the rights of the SentriCard®.

(f) To notify the Association immediately of the loss or theft of a SentriCard®. The Association shall charge for
the replacement of a lost, stolen or damaged SentriCard® as set out in the Association Electronic Lockbox
Policy.

(g) To follow all additional security procedures as specified by the Association.

7. Replacement of the SentriCard®: Replacement SentriCard® will be issued to the Cardholder if:

(a) The Cardholder has complied with this Agreement and the Association Electronic Lockbox Policy of the
Association with respect to the Association SentriLock™ System.

(b) The Cardholder pays the fee specified by the Association to replace a SentriCard® lost, stolen or damaged or
a SentriCard® defective beyond the warranty period.

8. Disciplinary Action: This Agreement and the Association Electronic Lockbox Policy should be viewed as a
Schedule to the NAR MLS® Rules and as such, the Cardholder agrees to be subject to the disciplinary rules and
procedures outlined in the NAR Policy and Procedure Manual for violation of any provision of this Agreement and
the Association Electronic Lockbox Policy.

9. Indemnification: The Cardholder agrees to save and hold harmless the Association and all of its respective
officers, directors, members and employees from any and all loss, cost, expense, claims or demands whatsoever
by or against any of those persons or corporations resulting from misuse of the SentriLock™ System, including, but
not limited to, any and all liabilities incurred by them as a result of damage or injuries to property or persons arising
out of entry by any person into any premises by misuse of the SentriLock™ System. The indemnity expressly
includes any and all legal fees incurred by any of the indemnified parties in defending any claim or action brought.

The Cardholder agrees to indemnify the Association and all of its respective officers, directors, members and
employees from any and all costs or expenses incurred by the Association in investigating any claim arising out of
entry by any person into any premises by misuse of the SentriLock™ System. In addition, the Cardholder shall be
responsible for any and all costs incurred to repair, replace, augment or otherwise modify the SentriLock™ System
as used and implemented by the Association resulting from entry by any person into any premises by misuse of the
SentriLock™ System. The Association will consider each case on its own individual merits prior to charging and/or
assessing an individual Cardholder for such costs as stated herein.

10. Reimbursement: Cardholder agrees that, in the event the Cardholder does not save and hold harmless the
Association or does not indemnify the Association, pursuant to paragraph 8 above, that failure on the part of the
Cardholder shall result in the immediate suspension of the Cardholder from the Association until the amount sought
by the Association has been satisfied or on other such terms as determined by the Board of Directors of the
Association are just and fair.

11. Governing Law: The validity of this Agreement and any of its terms and provisions, as well as the rights and duties
of the parties hereunder, shall be governed by the laws of the Province of Ontario, and venue shall be in St.
Catharines, Ontario.

12. Partial Invalidity: If any provision of this contract is held by any court to be invalid, void or unenforceable, the
remaining provisions shall nevertheless continue in full force.

13. Cardholder’s Responsibilities:

(a) Cardholder warrants that they are an active member registered in good standing with the Association.

(b) Cardholder agrees to obtain a current update for their SentriCard® by placing the SentriCard® in their
SentriCard® Reader to transmit showing data and obtain system updates.

(c) Cardholder agrees that the terms of this Agreement are enforceable against the Cardholder and understands
that he/she is not relieved of any responsibility or obligation pursuant to this Agreement or the Association
Electronic Lockbox Policy by the fact they are no longer an Association Member or individual authorized by the
Association to access the SentriLock™ System or the termination of this Agreement.

(d) Cardholder agrees to immediately return the SentriCard® to the Association as soon as the Cardholder is no
longer an Association Member or individual authorized by the Association to access the SentriLock™ System.

(e) Cardholder agrees not to misuse, abuse, tamper, deface or attempt to open, alter, modify, attach, dismantle or
repair any part of the SentriLock™ System (with the exception of opening the battery door for battery
replacement).

(f) Where it is part of the arrangement between the Listing Brokerage and the Seller to use a lockbox to manage
keys and/or other devices to provide access to a property, and since it is understood the SentriLock™ System
is intended to:

i. Provide the highest standards of physical security via the secure containment and control of the
property’s key/entry device for showing purposes;
ii. Ensure the highest standards of accountability when authorized Cardholders access a lockbox;
iii. Support the cooperative nature of the MLS® System with enhanced integration to additional NAR
showing products and potential communications with the Listing Brokerage and Sellers;
iv. Allow the Sellers and Listing Brokerage to restrict access to the Lockbox to an agreed upon
schedule; and
v. Provide convenient and secure access to the property.

This agreement and the Association Electronic Lockbox Policy expresses the entirety of the understanding between the
Cardholder and the Association with respect to the SentriLock™ System. This Agreement supersedes any and all other
agreements, either oral or in writing. No other agreement, statement or promise relating to the subject matter of this
Agreement which is not contained herein, or the Association Electronic Lockbox Policy shall be valid or binding. This
Agreement is binding upon the heirs and personal representatives of the Cardholder.
