Dear Mr Arindam Banerji,

Subject : Change in Appointment Terms - Reg

Reference the discussion held and concurred between our Directors and you regarding coping
with the current downturn of the business conditions, we are revising few clauses of your
contract , as listed below .

The below changes will be in effect from 1st June 2018.With reference to the appointment letter Formatted: Superscript

dated 05/04/2017 we here by changing few clauses as concurred upon between us. The below
changes will be with effect from 1st June 2018.

1. You will be engaged working as CONSULTANT instead of a full rather as full time
employee of the company.
1.2.Your location of work will be at Bangaluru in the company from Bangalore location.
2.3.Your total fixed remuneration is revised to Rs 2,22,500/- (Rupees Two Lakhs Twenty
Two Thousand Five Hundred Only) ( All inclusive and subject to tax deductions)
3.4.Company Car - with fuel upto Rs.5000/- per month and car maintenance expenses shall
be reimbursed by the company and will be a perquisite component – This will be

be reimbursed as per your terms of the contract , prevailing prior to these revisions
coming into effect .
4.5.Actual Travel Expenses for Business Travel and other communication expenses incurred
in the process of conducting business shall be reimbursed by the company.
5.6. Relocation costs including cost of packing and forwarding with insurance of household
goods from Chennai to Bengaluru , moving in charges into the residence at Bangalore,
and of pre- relocation travel by air and by car and hotel accommodation at Bangalore for
consultant and spouse, incurred in connection with the relocation, shall be paid by the
company. The travel will not exceed one set of round trip air travel between Chennai
/Bengaluru /Chennai and one set between Chennai and Bengaluru one way. The same
needs to be booked 10 days in advance with prior intimation by the consultant to the
company. Hotel accommodation will not exceed a total of 3 nights.
 6.7.The revised notice period by either party will be 30 days .Hereby your notice period will
be revised to 30 Days from either side.
7.8.Your contract period with GI Smart E Cargos will be closed on by 31st Oct 2018
