DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed made and entered into this ___________________ at Cebu City, Philippines by
and among:

(hereinafter referred to as the “VENDORS” for brevity),

(“VENDEES”) (each a “Party” collectively the “Parties”),

WITNESSETH THAT:

WHEREAS, the VENDORS are the absolute and registered owners of a parcel of land along
with all the improvements found thereon (“Subject Property”), situated in

WHEREAS, the VENDEE has made an offer to buy from the VENDORS, who in turn are
willing to sell the Subject Property for a total consideration of ________________________

NOW, THEREFORE, for and in consideration of the foregoing premises and the above sum,
receipt of which is hereby acknowledged by the VENDORS to their full and complete satisfaction,
the VENDORS do hereby SELL, TRANSFER and CONVEY absolutely and unconditionally, free
from all liens and encumbrances, the Subject Property unto the VENDEE, its heirs, successors-in-
interest and assigns;

The VENDORS represent and warrant that they have acquired legitimate and indisputable
title over the Subject Property and that is not currently the subject of tax liens, tax sales, mortgages,
expropriations, or any other form of encumbrances or liabilities and, for this purpose, the VENDORS
undertake to defend the title to the Subject Property against all just claims of all persons or entities
and will defend the VENDEE against all judicial or administrative actions for eviction;

This Deed and all other previous documents executed by the Parties, including their mutual
warranties and covenants, made in relation to or in connection with this sale, whether or not
specifically incorporated by reference and/or attached hereto, constitute the entire agreement between
the Parties and shall extend to and be obligatory upon their respective heirs, agents, assigns, and/or
successors-in-interest, as the case may be.

IN WITNESS WHEREOF, the Parties have hereunto set their hands on the date and place
first abovementioned.

ACKNOWLEDGEMENT
BEFORE ME, a notary public for and in the City of Cebu, this __________________,
personally appeared the above parties with their respective government-issued IDs and by virtue
thereof I sufficiently identified them to be the same persons who executed the foregoing DEED OF
ABSOLUTE SALE, consisting of two (2) pages, including the page on which this Acknowledgement is
