In consideration of the stated charge to be paid to carrier by this company, carrier agrees to expeditiously transport and deliver without loss, damage, or delay.
Carrier agrees to not back-solicit this company's customers. Furthermore, it is agreed that the above stated rate constitutes the full compensation agreement and
the carrier will not allege undercharge or attempt recovery of any additional compensation from this company. Carrier agrees to defend and hold harmless this
company against any and all loss or damage claims on each shipment transported by carrier pursuant to this agreement. Carrier further agrees to defend and hold
harmless this company from any and all liability, cost, and damages to persons and / or property arising out of carrier's operations hereunder, including, but not
limited to, all road, fuel, and other taxes, fees, or permits related to the shipments transported by carrier as arranged by this company as broker.

This carrier shall issue a standard Bill of Laden to shipper showing shipper's load and count with scale numbers applied. The relationship of the carrier to this
company shall at all times be that of an independent contractor.
