Agreement of program terms & condition and enrolment in MI PPP Program

This agreement is made on Rohtak on 2nd day of Feb, 2019 between

S S ASSOCIATES , Shop No. 8, Power House, Delhi Road, Rohtak

(hereinafter called the first party)

And

Shri Sanwar Sai Infrocom Pvt. LTd. (Distributor)

SCF-30, Appu Ghar Complex, Civil Lines, Rohtak

The term first and second party shall always means and include their respective (s) Legal heirs (s)/ Legal
representative (s) Successor (S) authorized representative (s) assign (s) etc.

WHEREAS all the aforesaid parties wish to execute this Agreement at their sweet will without any
pressure force & undue influence from any corner of life, in order to avoid the present & future dispute &
misunderstanding regarding the participate in Xiaomi MI PPP Program and agreed that the first will
follow and implement all below mentioned Norms and guidelines which are as follows:-
1) That first party provide relevant and priority both in store and out of store for making elements.
2) That first party holds outside façade (First and main signage) MI orange colured logo, with MI
logo/joint signage and will provide space for cladding.
3) That first party will setup glass branding /entrance, dedicated to Xiaomi.
4) That the first party will manage inside store which dedicated priority space/counter for MI
phones.
5) That the 30 % inside wall of the store will be branded with MI phones by the as per Xiaomi
guidelines.
6) That the walls behind MI shelf’s/counter must be colored MI orange by the first party.
7) That dedicated man power deployed from retailer / first party and they must be ideally wearing
MI shirts.
8) That first party will commitment on driving MI sales/50 % + of store sales from MI Phone’s.
9) That the above said agreement valid upto 02.02.2019 to 31.03.2020 between parties.
10) That the first party will keep store sales data on daily wages.

Ensure Hygiene is maintained.

A. That first party will be bound adherence to pricing guidelines.

B. That first party will not redistribution the stock.
C. That first party will not buy the stock from unauthorized distributor / channel.
D. That first party will not sell of fake Xiaomi phones and accessories.
E. That first party will report the data with accuracy.

11. That first party be a MI fan must use a MI phone. Participated in fan community discussion, hold
MI fan meets in the store and become the brand ambassador /evangelist for Xiaomi in the cluster.

12. That if the first party will fail todo any close mentioned above will pay the penalty of Rs.
2,00,000/- (Rupees two Lacs) to second party/distributor.

13. That in case first party found engaging in any of the practices which is against the company policy
then second party may discontinue supply of product to first party and second party can take assets
back from the first party provided by the company.

Hereinafter called the Terms & Conditions of the Program)

That all the parties to this Agreement have gone through the contents of this agreement and have also
read over the same to them and correct and shall be binding upon forever upon the parties and the
parties shall not act against the same in any manner in future.
