North America Master Services Agreement Order

This Order 4400026608 is entered into as of March 27, 2019 (“Effective Date”) between Insight
Direct USA, a(n) Arizona corporation ("Supplier") with a corporate office at 6820 S HARL AVE TEMPE
AZ 85283-4318 and Honda of America Mfg., Inc., a(n) Ohio corporation, with corporate offices at 24000
Honda Parkway, Marysville, Ohio 43040 (“Buyer”).

WHEREAS, Supplier and Honda of America Mfg., Inc., executed a Master Services Agreement,
dated April 28, 2004 ("Agreement"), for the acquisition of equipment/products/software and/or related
Services from Supplier.

NOW, THEREFORE, in consideration of the foregoing and of the covenants and agreements herein
contained, the parties, intending to be legally bound, agree as follows:

SECTION 1. TERMS AND CONDITIONS

All of the terms and conditions contained in the Agreement will remain in full force and effect and will
apply to the extent applicable to this Order except as expressly modified herein. Notwithstanding the
foregoing, a provision in this Order may only override provisions of the Agreement if it explicitly references
the Agreement and the specific provision being overridden (i.e., a general reference is not sufficient to
override the provisions of this Agreement).

Notwithstanding any inconsistent or additional terms and conditions which may be contained in a purchase
order, voucher or other similar document issued by either party, such document will be for issuing party's
internal purposes only and the terms and conditions of this Order will prevail. Therefore, even if such
document is acknowledged or accepted by the receiving party and regardless of any statement to the
contrary which may be contained therein, the inconsistent or additional terms and conditions of such
purchase order, voucher or other similar document will have no force or effect on this Order.

All capitalized terms not defined in this Order will have the meaning assigned to them in the Agreement.

SECTION 2. DESCRIPTION OF SERVICES

Payment Terms:

Discount Term 1: NET30

SECTION 5. TERM/TERMINATION

Effective Start Date: March 25, 2019

Effective End Date: March 25, 2020

The parties agree that the provisions above will not override or otherwise modify the termination provisions
set forth in the Term/Termination section of the Agreement.

SECTION 6. NOTICES

Any and all notices, and other documents and communications, permitted or required to be given pursuant
to this Order will be deemed duly given: (i) upon actual delivery, if delivery is by hand or courier service;
or (ii) upon the third day following delivery into the U.S. mail if delivery is by registered or certified return
receipt requested mail. Each such notice will be sent to the respective party at the address indicated below
or at any other address as the respective party may designate by notice delivered pursuant hereto:

SECTION 7. ADDITIONAL TERMS AND CONDITIONS

THE PARTIES ACKNOWLEDGE THAT THEY HAVE READ THIS ORDER, UNDERSTAND IT AND
AGREE TO BE BOUND BY ITS TERMS, AND THE PERSON SIGNING ON BEHALF OF EACH HAS
BEEN DULY AUTHORIZED TO DO SO. THE PARTIES FURTHER AGREE THAT THIS ORDER
ALONG WITH ANY INCORPORATED EXHIBITS IS THE COMPLETE AND EXCLUSIVE
STATEMENT OF THE ORDER BETWEEN THE PARTIES NOTWITHSTANDING ANY
INCONSISTENT OR ADDITIONAL TERMS AND CONDITIONS CONTAINED IN A PURCHASE
ORDER, VOUCHER OR OTHER SIMILAR DOCUMENT ISSUED BY EITHER PARTY.
