AGREEMENT FOR SALE

THIS AGREEMENT MADE on this 14th day of May 2018.

BETWEEN

(1) SMT PRANATI PAUL (PAN – BFKPP8150C ) W/o Late Santi Kumar Paul,
by Nationality – Indian, by Occupation – House-hold-work , residing at MIG(U),
2/7, Birati Housing Estate, M.B Road, P.S – Nimta, North 24 Parganas – 700049,
(2) SMT SAYANI DAS, (PAN – AOQPP9519R ) W/o – Sri Subrata Das, D/o –
Late Santi Kumar Paul by Nationality – Indian, by Occupation – Service, residing
at 201B/1, Banku Bihari Chatterjee Road, Kasba, Circus Avenue, Kolkata –
700042, (3) SMT SREEPARNA PAUL DEY(PAN-AOQPP9518Q) W/o Sri Surajit
Dey, D/o - D/o – Late Santi Kumar Paul by Nationality – Indian, by Occupation
– Service, residing at Dankuni, Nandan Kanan Purba, Hooghly, West Bengal –
712311. hereinafter referred to as the VENDORS (which expression shall unless
excluded by or repugnant to the context be deemed to mean and include his
heirs, executors, administrators, legal representatives and assigns) of the ONE
PART.
AND
(1) SMT. MAYA SAHA (PAN – CWRPS3897J) W/o Sri. Shambhu Nath Saha, by
Nationality – Indian, by Occupation – Housewife, residing at Bagmore, Arabinba
Pally, Kanchrapara, North 24 Parganas - 743145, hereinafter referred to as the
PURCHASER (which expression shall unless excluded by or repugnant to the
context be deemed to mean and include their heirs, executors, administrators,
legal representatives and assigns) of the OTHER PART.
WHEREAS the VENDORS are absolutely seized and possessed of the Flat being no.
2/7 in MIG(U) on the First Floor measuring about 44 Sq. mt.(approx), situate at
Birati Nabadiganta Co-Operative Housing Society Limited, Birati, Mouza
Dakshin Nimta under North Dum Dum Municipality, Holding No. 198(1/181),
Word no. 25 (Old 10), P.S –Nimta, Dist – 24 Parganas (North)-700049 and more
particularly described in the First Schedule hereunder written.
AND WHEREAS THE LATE SANTI KUMAR PAUL BECAME owner/Allottee of scheduled
property mentioned in the scheduled by a conveyance DEED no. I-02231
registered at ARA, Kolkata on 14/05/2002 which is recoded in being no. 02231,
volume no. 3, book no. 1, of the said Flat being 2/7 in MIG(U) on the first floor
at Birati Nabadiganta Co-Operative Housing Society Limited, Birati, Mouza
Dakshin Nimta under North Dum Dum Municipality, Holding No. 198(1/181),
Word no. 25 (Old 10), P.S –Nimta, Dist – 24 Parganas (North)-700049.
AND WHEREAS Santi Kumar Paul died intestate on 07/02/2018 living behind his
only successors and legal heirs, 1. Smt Pranati Paul, 2) Smt Sayani Das 3) Smt
Sreeparna Paul Dey became owners of Flat being no. 2/7 in MIG(U) on the first
floor at Birati Nabadiganta Co-Operative Housing Society Limited, Birati, Mouza
Dakshin Nimta under North Dum Dum Municipality Holding No. 198(1/181),
Word no. 25 (Old 10), P.S –Nimta, Dist – 24 Parganas (North)-700049 as the

described in the scheduled hereunder referred to as the said premises by virtue


of inheritance.
AND WHEREAS the PURCHASER are agreed to purchase the flat being no. 2/7 in
MIG(U) at Birati Nabadiganta Co-Operative Housing Society Limited, Birati,
Mouza Dakshin Nimta under North Dum Dum Municipality, Holding No.
198(1/181), Word no. 25 (Old 10), P.S –Nimta, Dist – 24 Parganas (North)-
700049 on The First Floor of the said building and having the specifications
mentioned in The First Schedule hereunder written, with right to use and enjoy
common areas, common parts, installations, facilities and amenities of the said
building and premises fully mentioned in The First Schedule for a total
consideration of a sum of Rs. 14,00,000/- (Rupees Fourteen Lakhs) only and
the purchaser herein agreed to purchase the same at the said consideration.
AND WHEREAS the VENDORS declare that the said property is free from any
encumbrances.
AND WHEREAS the VENDORS propose to enter into an agreement for sale with the
said PURCHASERS.
AND WHEREAS the PURCHASER have agreed to purchase and the VENDOR has
agreed to sell on ownership basis the said Flat being . 2/7 in MIG(U) at Birati
Nabadiganta Co-Operative Housing Society Limited, Birat. Mouza Dakshin
Nimta under North Dum Dum Municipality, Holding No. 198(1/181), Word no.
25 (Old 10), P.S –Nimta, Dist – 24 Parganas (North)-700049 on The First Floor
in the said building on the terms and conditions mentioned herein.

-: TERMS AND CONDITIONS :-


1. THAT Vendors shall sell and the purchaser will purchase a self-contained Flat
being no. 2/7 in MIG(U) on the First Floor measuring about 44 Sq. mt.(approx),
situate at Birati Nabadiganta Co-Operative Housing Society Limited, Birati,
Mouza Dakshin Nimta under North Dum Dum Municipality, Holding No.
198(1/181), Word no. 25 (Old 10),P.S –Nimta, Dist – 24 Parganas (North)-700049
in the FIRST SCHEDULE hereto along with proportionate undivided interest in
the common areas and facilities in the said building.
2. That the area of land is 44 sq. mt. more or less and is described in the
SCHEDULE.
3. That the PURCHASER has agreed to purchase Flat being no. 2/7 in MIG(U)
measuring about 44 Sq. mt.(approx), situate at Birati Nabadiganta Co-Operative
Housing Society Limited, Birati, Mouza Dakshin Nimta under North Dum Dum
Municipality, Holding No. 198(1/181), Word no. 25 (Old 10), P.S –Nimta, Dist –
24 Parganas (North) - 700049 on The First Floor of the said building and having
the specifications mentioned in the FIRST SHEDULE hereunder written, with
right to use and enjoy common areas, common parts, installations, facilities and

amenities of the said building and premises fully mentioned in The Schedule for
a total consideration of a sum of Rs.14,00,000/- (Rupees Fourteen Lakhs)
only and the purchasers herein agreed to purchase the same at the said
consideration.
4) That the Purchaser at the time of execution of this Agreement paid to Vendors
a sum of Rs. 5,00,000/- (Rupees Five Lakhs) only by three different cheques in
the name of vendors as Advance money and/or part consideration money , the
receipt of which the vendors both admit and acknowledge as per memo below.
5) That the Purchaser will pay the balance of consideration money a sum of Rs.
9,00,000/- (Nine Lakhs) only in favour of Vendors at the time of registration,
which shall be completed within six months or approval of membership by the
ARCS North Parganas, Barasat from the date thereof.
6) That the Vendor hereby agreed to answer all reasonable requisitions of
ownership of the Vendor made by the Purchasers or other party or their
Advocate.
7) That the sale and purchase of the Flat mentioned in the FIRST SCHEDULE
hereunder written by way of registration of a Deed of Conveyance should be
completed within next Six Months or approval of membership by the ARCS North
Parganas, Barasat from the date thereof.
8) That the VENDORS agreed to hand over the vacate Flat mentioned in the
FIRST SCHEDULE to the PURCHASER at/before the time of registration of the
Deed of Conveyance and after receiving the total consideration money.
9) That if the said property or any part hereof is found to have been charged,
encumbered or otherwise the same is not free from all charges and
encumbrances in that event the Purchasers will not purchase the said Flat and
the Vendors will be bound to refund the earnest money to the Purchasers
forthwith on demand together with incident costs incurred by the Purchasers.
10) If the PURCHASER fails to pay as per terms of payment as stated in the
agreement mentioned in The Second Schedule or fail to complete to purchase
the said flat on that event Vendors shall have right to forfeited 20 % amount
from the advance money AND rest amount shall be refunded to the purchaser
and the agreement shall stand cancel.
11) That the Vendors on receiving the full amount of consideration will deliver
the possession of the Flat to the purchaser within the time specified in this
agreement and the Vendors will also be liable to execute and register the Deed
of Conveyance in respect of the said Flat in favor of the Purchaser.
12) If the Vendors fails to handover possession of the said flat to the Purchaser
after receiving total consideration amount within the specified time as agreed
upon in this agreement, the Vendor shall have to pay demurrage charges @ 20
% of the total paid-up money to the Purchaser for such delay.

13) That the Vendors hereby declare that the flat in question to be transferred
is free from all encumbrances, no money or advance has been taken previously
against the flat from any one. Neither Vendors nor the Vendor has taken any
loan from any person or organization keeping the flat mortgaged, no portion of
the flat has been deviated from the sanction plan. If the sale cancelled due to
any of the above reason mentioned in this clause the vendors shall be liable to
refund the total paid-up money with interest at the rate of 20% p.a. to the
purchasers within 30 days of such cancellation.
14) Be it further mentioned that the registration shall be completed by the
purchaser within the stipulated period and at the same time the Purchaser will
pay the entire consideration money to the Vendors and completion of the
Government duties and formalities paid by the Purchaser.
15) That the entire sale process shall be governed and be regulated by the clause
and bylaws of the ARCS. If the purchase OR sale could not be completed due to
any rules and regulation of the said society, then this agreement for sale stands
cancelled and the vendors shall liable to return entire advance amount without
any deduction to the purchaser within next (30 Thirty) days.
16) That all disputes and differences arising out of this Agreement or in respect
of this Agreement shall be redressed & resolved as per laws of the land.
THE FIRST SCHEDULE ABOVE REFERRED TO
(Description of the Flat)
ALL Flat being no. 2/7 in MIG(U) measuring about 44 Sq. mt.(approx), situate
at Birati Nabadiganta Co-Operative Housing Society Limited, Birati, Dag No .
5041, Mouza Dakshin Nimta under North Dum Dum Municipality, Holding No.
198(1/181), Word no. 25 (Old 10), P.S –Nimta, Dist – 24 Parganas (North)-
700049 with common area i.e. over head tank, underground reservoir, stairs of
the ground floor and top floor, space for ingress and egrees from the main road,
loft etc.) of the said FLAT consisting of ONE BED ROOM, ONE LIVING CUM
DINING ROOM, ONE VERANDAH, ONE TOILETS, AND ONE KITCHEN
togetherwith undivided proportionate share or interest in the impartiable land,
beneath the said building as described in the FIRST SCHEDULE above referred
to and also together with all amenities and facilities attached therewith such
as common rights in all common spaces, stair ways, hall ways, corridors, water
pump, underground reservoir, overhead tank, meter space, darwan room and
pump room (situates out of the plinth area but within the said premises) and
also togetherwith the right of ingress to and egress from the said flat and
building.

THE SECOND SCHEDULE ABOVE REFERRED TO

Total consideration of the Flat will be Rs. 14,00,000/- [Rupees Fourteen lakhs) only. The said
consideration is to be paid by the Purchaser in following manners:

 At the time execution of this Agreement Rs. 5,00,000/-


 Balance at the time of registration/ possession Rs. 9,00,000/-
handover of the flat.
TOTAL : Rs.14,00,000/-
[Rupees Fourteen Lakh ] only.

IN WITNESS WHEREOF the parties have hereunto set and subscribed their
