Definitions
Herein, "we," "our," "us," and "Delhivery" refer to Delhivery Private Limited, its subsidiaries, branches, and controlled entities, and their respective
employees, agents, and independent contractors. "Merchant","you" and "your" refer to Kumba Mattress and its employees, principals, and agents.
'Customer' shall mean any Person/party/entity who/which is transacts on any platform operated by the Merchant.
'Shipment' means all the products consolidated, packaged and/ or invoiced together and handed over to the Service Provider by the Merchant for
Delivery.

Term:

These terms and conditions shall be effective on the date you accept the said terms and conditions and shall be valid, legal and binding from
such date unless terminated by either Party.
Agreement Start Date: Mon Apr 08 00:00:00 GMT 2019
Agreement End Date: Thu Jan 31 00:00:00 GMT 2030

Fees:

As set out in Annexure I.

Responsibility for Payment

You shall make payment of all Fees for availing Delivery Services through the Delhivery Miles purchased by you.

Your Obligations

You warrant that each Shipment is properly described along with all relevant documents, acceptable for transport by us, and properly
marked, addressed (including postal code), and packed to ensure safe transportation with ordinary care in handling. You are responsible for
and shall indemnify us against all charges and possible surcharges and assessments including fees related to our prepayment of the same,
governmental penalties and fines, taxes, and our lawyers' fees and legal costs, related to this Shipment.
You shall not book / handover or allow to be handed over any Shipment which is banned, restricted, illegal, prohibited, stolen, infringing of
any third party rights, hazardous or dangerous or in breach of any tax laws.

Limitation of Liability

Our maximum liability for the damage, loss, theft or misappropriation of any Shipment during the transit period shall be INR 2,000.00 or
the actual aggregate value of the product, whichever is lower.
Our maximum liability for Reverse Pick-ups shall be limited to INR 2,000.00 per Shipment or 50.00% of the aggregate value of the product
shared in the manifest whichever is lower.
For any loss or theft or misappropriation of any Shipment with a value above INR 2,000.00 we shall provide you a COF only.

Insurance

We are not the insurer of the products. Our liability is limited subject to the Limitation of Liability as provided above.

Indemnity

Each Party shall defend, hold harmless, indemnify and keep indemnified and harmless the other Party, it’s directors, employees, contractors
and agents against all suits, investigations, enforcements, actions, fines, penalties, fees, interests, losses, damages and costs (including
reasonable attorney fees) incurred by the other Party due to any breach of this Agreement.

Both Parties shall observe all applicable laws, rules and regulations as may be prescribed by the Government of India and authorities in relation to the
delivery services.

This Agreement is to be read in conjunction with the detailed agreement and scope of work available at here. In case of a conflict of any of the terms
of this Agreement, it is agreed between the Parties that in such cases, the terms of this Agreement shall supersede. We reserve the right to make
changes to the detailed agreement and scope of work. We will keep you informed of any such changes on the email provided by you.

This Agreement shall be construed and governed by the laws of India.
