COOPERATOR'S AGREEMENT

AGREEMENT NUMBER: – BASF/Satellite ASF /Gangavathi/May 2019

This Agreement is made and executed at Gangavathi on this the 1st day of June, 2019, by
and between

Mr. Panasaraju M S/o. Late Mr. Chandrarao M, Ayodhya Village, Gangavathi Teh,
Koppal District, Karnataka, India (hereinafter referred to as “Cooperator”, which
expression shall, where the context so admits, include its Legal heirs of executors,
representatives and assigns) of the one part.

And

BASF INDIA LIMITED, a company incorporated under the Indian Companies Act, 1913 and
having its registered office The Capital, ‘A’ Wing, 1204 – C, 12th Floor, Plot No. C-70, ‘G’
Block, Bandra Kurla Complex, Bandra (East), Mumbai - 400051 (hereinafter referred to as
BASF and unless repugnant to the context shall mean and include its successors in interest,
assigns, administrators.

Both the parties shall hereinafter be collectively referred to as “Parties” and individually as
“Party”.

WHEREAS

The Cooperator is the absolute Owner of the Agricultural Land bearing Survey No 83,
admeasuring 2.0 Acre located in Chikkajanthakal Village, Marali hobli, Gangavathi Teh,
Koppal District, Karnataka, India (hereinafter referred to as the experimental plot) and

The Cooperator is desirous of putting to use the land for conducting insecticides and
fungicides trials on vegetable and such other field extension service to BASF on the terms
and conditions as witnessed hereafter:

I. NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:

A. Cooperator agrees to make available to BASF: An area of land in Survey No. 83


admeasuring 2.0 Acre located in Chikkajanthakal Village, Marali hobli, Gangavathi
Teh, Koppal District, Karnataka India for growing insecticides and fungicides trials
on vegetable.

B. This Agreement shall be valid for period of 6 Months 5 days commencing from June
1st, 2019 to 5th December, 2019 growing season unless terminated earlier in
accordance with the terms and conditions of this Agreement.

C. The Cooperator shall bear the cost of irrigation required to maintain healthy crop.
II. OWNERSHIP OF RESEARCH, PLANTS, AND CROP

A. BASF is the sole owner of the data/information produced from the experiment at all
times during the tenure of the agreement. The crop would be harvested/cut before
maturity at green pod stage in front of the BASF company’s representative; after
taking the research observations/information etc. The chopped plants would be
ploughed down into the field or would be disposed off as deemed fit. Farmer would
not be allowed to feed the green chopped plants either to the cattle.

B. Cooperator will not give access to any person into the experimental area other than
authorized by BASF. Cooperator would be responsible for the protection of the
crop/data etc. related to the experiment.

C. Plants or plant parts derived therefrom will not be transferred to any third Party.

III. HARVESTING/ Closing of the trial


A. BASF India Limited will destroy the trial after completion of research activity by
spraying non-selective herbicide. Cooperator would plough the field or dispose off
the plants as deemed fit.

IV. COMPENSATION

A In consideration of making available the research plot(s) and carrying out the farming
activities as per the instruction and directions of BASF, the cooperator shall be
entitled to receive compensation as per Annexure I.

V. TERM AND TERMINATION

A. This Agreement shall be effective upon the executed date hereof and shall exist and
continue for a period of 6 months 5 days only.

C. BASF shall be entitled to terminate the Agreement upon the happening of any kind
of the following events;

i) Failure by Cooperator to comply with any of its obligations under this


Agreement.

ii) Any false representation or warranty by Cooperator, immediately on discovery


of such an event;

D. Upon termination of this Agreement with or without cause, Cooperator shall chop/
spray the crop with non-selective herbicide.

VI. CONFIDENTIALITY:

COOPERATOR SHALL MAINTAIN THE CONFIDENTIALITY OF THE


INFORMATION RELATED TO THE EXPERIMENT AT ALL THE TIMES.

VII. GENERAL PROVISIONS

A. BASF reserves the right for any of its employees, representatives, or other
appropriate regulatory representatives to enter the plot(s) at any time to take
measurements, or samples, or to inspect the crops.

Cooperator agrees to comply with any requests made by BASF in order for BASF
and Cooperator to comply with applicable governmental regulations. This could
require on-site inspections and collection of samples by BASF or regulatory
agencies.

B. Neither Party will be liable for failure to comply with the terms of this Agreement due
to weather, fire, or other such factors beyond the control of either Party.

C. This Agreement cannot be assigned by Cooperator without the written consent of


BASF. No unconsented assignment, including an assignment by operation of law,
shall be valid against BASF, and unless BASF consents, it shall have no obligation
to make payment here under to anyone other than Cooperator as provided herein.

D. The arrangement created by this Agreement shall be one of independent contractors


and not one of partnership, joint venture, employment, or principal and agent.

F. The Courts at Gangavathi shall have exclusive jurisdiction on all the disputes that
may arise out of this Agreement.

G. This instrument represents the full Agreement. The Parties agree that no change,
modification, or alteration of the terms of this Agreement shall apply unless the same
is in writing and signed by Cooperator and BASF

H. All statutory obligations that may arise by virtue of this Agreement are complied and
shall maintain all such records, statements and documents as may be required to be
maintained under law for provision of the services under this Agreement with by the
parties individually and severally;

IN WITNESS WHEREOF, the Parties hereto have executed this Agreement on the date and
year first here in above written and have signed in the presence of witnesses who confirm
that the contents of this Agreement have been explained to the Cooperator in the language
understood by him and has been understood by him and that the Cooperator has signed
this Agreement voluntarily with complete understanding of all the terms and conditions of
the same.

Annexure I

1) Cooperator shall be entitled to the compensation of Rs 50,000.00 for the cultivation


area and the activities undertaken by them as mentioned in clause I & II as per the
schedule of payment given below;
