AGREEMENT TO SELL

This Deed of Agreement to sell is executed at _____________ on this ____ day of __________
20___ BETWEEN _____________________________________________________________

__________________________(hereinafter called the ‘FIRST PARTY’) of the one part.

AND

_________________________________________(hereinafter called the ‘SECOND PARTY’)
of the other part. The expressions ‘FIRST PARTY’ and ‘SECOND PARTY’ shall mean and
include their respective heirs, successors, representatives and assigns.
WHEREAS the FIRST PARTY is the legal allottee/owner of Flat No-

__________________________________ and has now agreed to transfer/sell the same to the
SECOND PARTY at the total cost of _________________/-(Rupees

1. That the First Party has received Rs. __________________/- (Rupees

Money from the Second Party in the Following mode :-

and the balance price of Rs. _____________________/- (Rupees


____________________________________________only) of the said plot/house/flat/shop shall
be paid by the second party to the First Party at the time of Registration of Sale
Deed/transfer/GPA of the said plot/house/flat/shop before the concerned Sub-Registrar.

2. That the Time Limit for Registration of Sale Deed/Transfer/GPA of the said
plot/house/flat/shop has been mutually agreed to as on or before __________________.

3. That in case the First Party refuses to get the Registration of Sale Deed/transfer of the
said plot/house/flat/shop in favour of the Second Party within the above specified
period, for any reasons whatsoever, the Second Party has right to get the Sale
Deed/transfer registered, through DOUBLE/SPECIFIC PERFORMANCE OF
CONTRACT by Court of Law at the cost and expenses of the First Party. In case, the
Second Party fails to get the sale deed registered/transfer by making full and final
payment of the said plot/house/flat/shop to the First Party within the above specified
period, the Earnest Money of Rs. _______________/- paid by his/her will be forfeited by
the First Party.

4. In case of any Legal objections in the Papers of Property is found and Property is not
approved by the bank and bank is unable to provide Loan then the deal between first
party and second party will be cancelled and First Party is responsible to return the entire
advance money to the Second Party.

5. The First Party is liable to provide all papers related to the Property being discussed
herein at the time of Agreement of Sale for formalities related to bank approval for Loan,
to the Second Party. Time Limit of Registration to Sale Deed would be extended by any
delay in number of days taken for providing any pending documents related to Property
for Bank Approval of Loan for the aforesaid property.

6. The Second Party is empowered to get the property registered or get the sale completed
through execution of Attorney documents etc. either in his/her own name or in the name
of any nominee (S) or Any Persons, for which the First Party shall have no objection.

7. All the expenses in respect of Registration of Sale Deed/ Attorney documents, Stamp
Duty Registration Charges and other Misc. expenses shall be borne by the Second Party.

8. The property to be transferred/sold under this Agreement is free from all encumbrances,
sale, mortgage, loan, dispute, litigation etc. and the First Party shall give the peaceful
vacant physical possession of the said property to the Second Party at the time of
Registration of Sale Deed. AND all the outstanding dues such as of water, electricity and
sewer etc. against the said property shall be cleared/paid (N.O.C.) by the First Party upto
the date of Registration of sale deed.
This Deal has been matured through _____________________________________who
shall charge commission @ ___% on the total deal from both the parties, separately.

IN WITNESS WHEREOF, both the FIRST PARTY and SECOND PARTY have signed
this Agreement in taken of their accepting the terms hereinabove given in the presence of
following witnesses.
