This Statement of Work (SOW) is issued pursuant to the Consultant Services Master
Agreement between LEVCAP3001 HOLDINGS INC, (“Client”) and Rakesh Singh
(“Contractor”), effective November 29, 2017 (the “Agreement”). This SOW is subject to the
terms and a condition contained in the Agreement between the parties and is made a part
thereof. Any term not otherwise defined herein shall have the meaning specified in the
Agreement. In the event of any conflict or inconsistency between the terms of this SOW and
the terms of this Agreement, the terms of this SOW shall govern and prevail.

This SOW (hereinafter called the “SOW”), effective as of November 29, 2017, is entered into
by and between Contractor and Client, and is subject to the terms and conditions specified
below. The Exhibit(s) to this SOW, if any, shall be deemed to be a part hereof. In the event of
any inconsistencies between the terms of the body of this SOW and the terms of the Exhibit(s)
hereto, the terms of the body of this SOW shall prevail.

Beginning of Development
The development shall begin on December 1, 2017.

Introduction

The purpose of this document is to describe the complete scope of both functional and non-
functional requirements for the proposed project “Loop/cLive”.

This document describes the business requirements for the application. It serves as input to
identifies business rules and requirements to be implemented in system.

 Business Users use this document to understand and validate the business
requirements of the project.

Purpose
The purpose of this application is to facilitate online platform which connects Establishments
with Consumers by Streaming Live content of your establishment.

Overview
The main key feature of application is when a new Business user gets interacted with our
application, he/she will able to do following activities:

 Publish their brand/Online

 User Engagement
 Tracking & Analytics of consumers
 Proximity Marketing
 Reviews/likes/dislikes from the consumers of their business/brand.

Scope of Work
Contractor shall provide the Services and Deliverable(s) as follows. The scope of this project
is to develop following applications with the following high-level features:

The work contain list of modules of Project as listed below:

1. Web App with login of 2 types of users i.e. Business user & End user.
2. Android & iOS mobile apps for business users.
3. Backend Support Dashboard

Contractor Responsibilities
Contractor shall provide the above-mentioned services to develop the mobile application.
The contractor is also responsible for the following:

1. Review SOW, associated documents with customer point of contact.

2. Establish and maintain contact with the customer point of contact as defined in
the section “Client responsibilities” below.
3. Review & administer project change control process as defined in the section
“Project change control procedure” with customer point of contact.
4. Coordinate, manage and execute the project via contractor assigned personnel.
5. IP pertaining to any work approved and completed belongs to the Client. Contractor
in no way holds any ownership to these assets including design concepts, visual
design elements and source code.

Deliverable Material
1. Android & iOS mobile app with complete source code and executable file.
2. Web App.
3. Backend Dashboard

Customer Point of Contact Responsibilities

Prior to the start of the Services, Client will designate a person ("Customer Point of Contact")
to whom all communications relative to the Services will be addressed, and who will have the
authority to act on Customer’s behalf in all matters regarding this SOW. Customer Point of
Contact will:

1. Serve as the interface between Contractor’s project team and all of your
departments participating in the Services;
2. Attend status meetings;
3. Obtain and provide applicable information, data, consents, decisions and approvals as
required by Contractor to perform the Services, within two business days of
Contractor’s request; and
4. Help resolve Services issues, and escalate issues within Customer’s organization, as
necessary.

Client Responsibilities
Contractor’s performance is dependent upon Client management and fulfillment of your
responsibilities, at no charge to Contractor. Any delay in performance of Client responsibilities
may result in additional charges and/or delay of the completion of the Services. Such additional
charges and/or delay will be handled in accordance with the Project Change Control Procedure.
Customer will:
1. Make appropriate personnel available to assist Contractor in the performance of its
responsibilities;
2. Ensure that current maintenance and license agreements are in place with
applicable vendors for those products and services upon which Contractor is
relying to provide the Services described herein;
3. Allow Contractor, at the completion of the Services, to cite Customer’s company name
and the general nature of the Services to other potential customers;
4. Obtain any necessary consent and take any other actions required by applicable laws,
including but not limited to data privacy laws as applicable to user profile creation,
storage and sharing,
5. Be responsible for the content of any database, the selection and implementation of
controls on its access and use, backup and recovery and the security of the stored data.
This security will also include any procedures necessary to safeguard the integrity and
security of software and data used in the Services from access by unauthorized
personnel.

Payment Schedule & Terms

The agreed fees shall be payable as per the following schedule:

1. Client must pay the first invoice within 7 days of signing this SOW for the Contractor
to allocate resources and begin the project development. Rest of payment must be paid
towards invoices.
2. Services will be put on-hold, if the payment for open invoice is not cleared within 7 days
after receipt.
3. Non-payment will result in cancellation of all terms including that of IP & ownership of
assets as agreed upon in the Mutual NDA or in this document or any other agreement
signed by the parties.

Upon completion of this development, Contractor and Client will have the option to renew
this agreement for an additional then-stated number of employees at the then-current monthly
rate for those resources identified.

 Completion Criteria
Contractor shall have fulfilled its obligations when any one of the following first occurs:

• Contractor accomplishes the Contractor activities described within this SOW, including
delivery to Client of the materials listed in the Section entitled “Deliverable Materials,”
and Client accepts such activities and materials without unreasonable objections. No
response from Client within 2-business days of deliverables being delivered by Contractor
is deemed acceptance.

Assumptions
1. Color Scheme for logo, mobile apps and website will be provided by client.

Project Change Control Procedure

The following process will be followed if a change to this SOW is required:

• A Project Change Request (PCR) will be the vehicle for communicating change. The PCR
must describe the change, the rationale for the change, and the effect the change will have
on the project.
• Both Project Managers (Contractor or Client) will review the proposed change and
determine whether to submit the request to the other party.
• Both Project Managers will review the proposed change and approve it for further
investigation or reject it. Contractor and Client will mutually agree upon any charges for
such investigation, if any. If the investigation is authorized, the Client Project Managers
will sign the PCR, which will constitute approval for the investigation charges.
Contractor will invoice Client for any such charges. The investigation will determine
the effect that the implementation of the PCR will have on SOW price, schedule and
other terms and conditions of the Agreement.
• Upon completion of the investigation, both parties will review the impact of the proposed
change and, if mutually agreed, a Change Authorization will be executed.
• A written Change Authorization and/or PCR must be signed by both parties to authorize
implementation of the investigated changes.
