This Agreement made and executed this ____ day of ________________, in the
______________________, Philippines, by and between:
MA. CHRISTINA DONAFEL SIMTSRE, of legal age, Filipino and with resident and
postal address at _________________________________________________, hereinafter
referred to as the “FIRST PARTY”;

LAURA DE VERA, of legal age, Filipino and with resident and postal address at
__________________________________________________hereinafter referred to as the
“SECOND PARTY”;
WITNESSETH:
WHEREAS, the FIRST PARTY is the lessor of 0573 GA Unit 104 Hormiga Street,
Binondo, Manila and the SECOND PARTY is a businessman which operate and manage a
Canteen/Eatery/Restaurant;
WHEREAS, the FIRST PARTY agreed to lend/loan to the SECOND PARTY the amount
of Two Hundred Thousand Pesos Only (Php200,000.00) Philippine Currency, to be used as
initial capital investment for the operation of a Canteen/Eastery/Restaurant and the FIRST
PARTY agreed to lend the above-mentioned leased premise as the location for the business;
WHEREAS, the SECOND PARTY accepted the offered amount and will use it to start,
establish and operate a Canteen/Eatery/Restaurant at leased premise of the FIRST PARTY
located at 0573 GA Unit 104 Hormiga Street, Binondo, Manila;
NOW, THEREFORE, for and in consideration of the mutual covenants herein contained,
the FIRST PARTY hereby agrees in favor of the SECOND PARTY, the following terms and
conditions stated hereunder.
1. THAT, the Principal Amount of Two Hundred Thousand Pesos (Php200,000.00) will
be paid by the SECOND PARTY on or before the end of one (1) year commencing on
_______________;
2. THAT, the Principal Amount will have corresponding Interest Rate of Five Percent (5%)
per month or in the amount of Ten Thousand Pesos (Php10,000.00);
3. THAT, the Interest amounting to Ten Thousand Pesos (Php10,000.00) shall be paid for
eleven (11) months starting __________________ until ___________________ and will
be paid at the 16th day of each month;
4. THAT, after the payment of the Principal Amount and the Interest the SECOND PARTY
shall continue the operation and management of the business instituted at the premise
stipulated above;
5. THAT, the SECOND PARTY will solely manage and maintain the operation of the
Canteen/Eatery/Restaurant;
6. THAT, the SECOND PARTY shall pay all expenses and incidental fees in relation to the
operation, management and maintenance of the Canteen/Eatery/Restaurant such as but
not limited to utilities (light, water and telecommunication);
7. THAT, this Memorandum of Agreement may be amended from time to time by mutual
agreement of the PARTIES in a written modification signed by both PARTIES.

8. THAT, the FIRST PARTY shall be liable for the payment of real property tax and other
expenses incurred, if any, not related to the operation of the business in the stipulated
premise;
10. The PARTIES shall each be solely responsible for any and all costs associated with their
responsibilities under this MOA.
11. This Memorandum of Agreement shall be effective upon the signing of both PARTIES
and indicated below of this Memorandum of Agreement are their signatures below.
IN WITNESS WHEREOF, the parties have hereunto set their hands this __________day
