KNOW ALL MEN BY THESE PRESENTS:

This contract was made and entered into by and between:

SIDEKICK FORCE SECURITY AGENCY, a security agency duly licensed and existing under and by
virtue of the laws of the Republic of the Philippines with Branch office address at 3739 C. Ave Cor 3rd Street
Balibago Angeles CityPampanga, Philippines, represented in this act by its Branch Operator, MS. JENNET
GRACE V.BARRION, referred to as the AGENCY;

-and

LEE CHONGSHIN TRADING INC., an company duly organized and existing in accordance with Philippine Laws,
located at CIS INTERNATIONAL BLDG Lot 10, Blk 71 Poinsettia St., Timog Park Pampang Angeles City
Pampanga, Philippines represented by ,MS LOURDES D. BUENAOBRA, hereinafter referred to as the CLIENT;
WITNESSETH; that

WHEREAS, the AGENCYis duly licensed security agency engaged in the business of providing security
services;

WHEREAS, the CLIENTis desirous of engaging the security services of the AGENCY and the latter had
agreed to render such services under the terms and conditions stipulated herein.

I. SECURITY SERVICES

1. The AGENCY shall provide Security Services to the CLIENT at the latter’s premises located at
CIS INTERNATIONAL BLDG Lot 10, Blk 71 Poinsettia St., Timog Park Pampang Angeles
City .
2. Initially, the AGENCY shall provide Two (2) security guards to be assigned at the CLIENT’S
premises. The number of guards may be increased or reduced at the discretion of the CLIENT
and effective upon written advice served to the AGENCY.
3. The security guards assigned shall assist in maintaining peace and order in the guarded
premises, to watch, safeguard and protect the people, building and its premises from theft,
robbery, destruction, and other unlawful acts as well as to safeguard other properties entrusted
or turned over to the guards assigned. The guards shall also follow and implement any and all
instructions, rules and regulations enforced or given by the CLIENT.
4. The AGENCY shall not be liable for the loss of any cash or other valuable and easily
concealable items.

II. QUALIFICATIONS OF SECURITY GUARDS.

5. The security guards to be assigned to the CLIENT must have the following qualifications:

a. Filipino Citizen
b. At least High School Graduate
c. Physically and mentally fit
d. At least 20 but not more than 40 years old.
e. At least 5’4” in height
f. Of good moral character, and
g. Duly licensed by the PNP.
h. No Criminal record
 6. The AGENCY shall provide guards with logbooks / flashlights / radios, complete uniform ,
metal detector , duly licensed firearms and other paraphernalias required.

REPLACEMENT OF GUARDS

7. The CLIENT shall have the right to have any guard assigned replaced with other qualified
guards whose work performance is unsatisfactory to the CLIENT at the latter’s sole discretion.

8. The AGENCY shall also provide immediate replacements or relievers for the assigned guards.
For this purpose, it shall be the responsibility of the AGENCY to ensure that the guards
assigned are on their post on the duty hours indicated herein.

III. DUTY HOURS

9. The guards assigned shall have the following duty hours including Sundays and Holidays;
7:00 AM to 7:00 PM
IV. NO EMPLOYER – EMPLOYEE RELATIONSHIP

10. It is clearly understood that there is no employer- employee relationship between the security
guards assigned and the CLIENT;.

11. Being the employer, the AGENCY shall exercise absolute and sole disciplinary authority over
the guards assigned. The AGENCY shall have the right to promulgate and enforce its own
internal rules and regulations for the discipline of their guards and to ensure proper
performance of their duties.

V. LIABILITY OF THE AGENCY

12. The AGENCY shall be liable for any losses or damages to the CLIENT’S properties entrusted
to / or inventoried by the guard assigned as provided for in the pars. 3 and 4 above during the
guard’s tour of duty and as a result of the latter’s fault or negligence, or intentional acts,
provided that any such losses or damages shall be reported by the CLIENT in writing to the
AGENCY within 24 hours from occurrence or discovery thereof.
13. It is likewise understood that the AGENCY is not an insurer of the CLIENT’S properties.
Therefore, the AGENCY is not liable for any losses or damages arising from fortuitous events
or force majeure, or for reasons beyond the control of the guards assigned such as incidents
arising from armed robberies which could not be prevented notwithstanding the exercise of due
diligence.
 14.The AGENCY is not likewise liable for the losses attributable to the CLIENT such as the acts or
negligence of the CLIENT’S employees nor is the AGENCY liable for personal items belonging
to the CLIENT’S employees or under their personal care and responsibility in relation to their
duties

VI. FEES.

17.For the foregoing services, the CLIENT shall pay the AGENCY the amount of FOURTEEN
THOUSAND PESOS (PHP14,000) per guard per month. WITH PHP1000 PER HEAD
ADJUSTMENT UPON REACHING 6 MONTHS SERVICE, NOVEMBER 16, 2018 AS THE
SPECIFIC DATE.

18.The security fees shall be billed and payable on a semi- monthly basis. For this purpose, the
AGENCY shall send a monthly billing every 15th & 30th of every month which billing shall be paid
within FIVE (5) days from receipt.

19.The CLIENT shall have no right to offset any claims for losses or damages against the security
fees due under this contract nor to withhold payment as a result of any claims which have not been
determined or found as due from the AGENCY.

VII. TERM.

20.This contract shall start from MAY 16, 2018 and shall be for a period of one year from the said
date. Thereafter, it shall be deemed renewed automatically for another period , each instances
subject to negotiation of the security fees and other new terms and conditions which may be
mutually agreed upon.

21.Not withstanding the term provided for herein, this contract may be terminated by the Client at
any time upon service of 30 days written notice to the other party for failure to pay the security fees
or for violation of any other terms and conditions as provided for herein.

VIII. VENUE AND COST OF SUIT.

22. In case of court suit, the venue of any action shall be before the proper courts of Angeles City.
Any party who is adjudged liable by a competent court as having violated the terms and conditions
of this contract shall be liable to pay Attorney’s fees equivalent to 25% of the amount involved but
in no case less than Php10,000.00 plus actual litigation expense and cost of suit.

23. The parties to this contract are duly represented by the signatories herein who are duly
authorized by their respective corporation.

24. All other terms and conditions not herein otherwise provided for shall be governed by Philippine
Laws.
