Invitation to Bid of Construction of Office for HBP Camp in Garraf Oilfield (the
"Project") issued by China Oil HBP Science and Technology Corporation Ltd
(the “HBP”) and dated [ ] (the "ITB")
Following receipt of the ITB by [name of Bidder], we acknowledge that the ITB
contains non-public information which is confidential to HBP and/or its group
companies and affiliates ("Confidential Information").
In accordance with the terms of the ITB, we hereby agree as follows:-
1. We shall use the Confidential Information only for the purpose of preparing
our Bid
and for the purpose of potential engagement as counterparty to the
Contract.
2. Save as provided, we shall not disclose the Confidential Information or any
information relating to HBP involvement in the Project to any person.
Disclosure is allowed only in the following circumstances:
a) Where HBP has consented to the disclosure in writing;

b) Where we are required by any Applicable Laws or any regulatory
authority relevant to us or to the Project; or
c) Where disclosure is required in connection with legal
proceedings.
3. If unsuccessful, immediately following notification of non-acceptance of Bid
and,
if further requested by the Company, we shall confirm in writing that all
electronic correspondence in respect of the ITB and the Invitation to Bid
Documents (plus any electronic copies of the documents comprising the same)
have been deleted from its files and that the Bidder retains no hard copies of
any Invitation to Bid Documents (including the Confidential Information
contained therein).
4. This Undertaking shall take effect from the date of this letter and continue
to be

5. All capitalized terms used in this Undertaking shall have the meanings
