We acknowledge with thanks receipt of your above-referred Letter of Intent for the subject
Package. We hereby confirm our acceptance for the same and enclosed herewith duplicate copy

of LOI duly signed & stamped on each page as a token of our acknowledgement.

However, as discussed and confirmed during our Pre-bid meetings at JSW, Dolvi and JSW
Mumbai and Kick-off meeting held at your office with your technical team on date, please note
getting approval from NHAI to use their corridor for construction of Transmission Line is in
the scope of JSW and we once again would like to reiterate that the project execution shall be
started after NHAI approval & the completion period of. 12 months shall be counted from
NHAI Approval date. Please refer our final offer and comments on your draft terms and
conditions as well.

In view of the above and as confirmed by your technical team in the Kick off meeting held at
your office on date, we request you to mention the above clause in the detailed work order.

Ref: Various correspondences and discussions on the subject and meeting held at our Mumbai office.

With reference to above, we are pleased to issue the letter of intent (LOl) to you for Design, Supply,
Erection, Testing & Commissioning Services of 220KV Monopole Double Circuit Transmission Line
from Nagothane to GIS (Wadkhal) as per tfie following major terms and conditions.

1'scopeof supply:
The scope of this Lol includes Design, supply, Erection, Testing &
Commissioning Services of 220KV Monopole Double Circuit Transmission
Line from Nagothane to GIS (Wadkhal) for JSW Steel Dolvi as per the
technical speciflcations and scope duly signed and agreed.

2. Total Purchase Price:

The Total Purchase Price for the above scope of besupply shall
Rs.116,60,48,406/- (Rupees One Hundred Sixteen Crores Sixty Lakhs Forty
Eight Thousand Four Hundred Six Only) on Landed Cost Basis. The Tote,l
Purchase price is inclusive of freight and GST @ 18%. The Total Purchasrr
Price is also inclusive of lodging, boarding and travelling charges durinl;
erection, commissioning & Testing services. TDS as applicable for erection ll
commissioning services shall be deducted from the invoices submitted by yot-.
The Total Purchase price shall remain firm and shall not be subject to any cost
escalation including fluctuations in the exchange rate between any currencies.
The detailed price break up is as attached in Annexure-|.

3. Effective date of LOI:

The LOI shall be effective from the date of LOl.

4. Delivery/ComPletion Schedule:

The delivery/completion under the scope shall be completed within 12 months

from the effective date subject to availability of front'

5. Payment Terms:
For Supply:-basic
10o/oof ihe purchase price shall be paid as advance against submission of
APBG for equivaient amount valid till delivery period plus two (2) Months'

80% of the basic purchase price with 100% taxes will be paid within 30 days of
receipt of materiaiiequipment at site duly inspected, cleared & approved by
MSETCL on prorata basis and submission of commercial document'

10% of the basic purchase price shall be paid on successful erection,

commissioning / charging and upon all necessary clearances from electrical
inspector and lubmission of Performance Bank Guarantee (PBG) of equivalent
amount valid till warranty period plus (2)two months.

For Services:
90% of the basic purchase price with 100% taxes will be paid within 30 days of
erection against certification of RA bills and submission of commercial
documents.

10Toof the basic purchase price shall be paid on successful erection,

commissioning / charging and upon all necessary clearance from electrical
inspector and lubmission of Pedormance Bank Guarantee (PBG) of equivalent
amount valid till warranty period plus (2) two months.

6. Liquidated damages for delay in completion of work:

1fre liquidaied damages for delay in completion of work shall be 0.5% of Total
purchase Piice per week of delay for first four weeks, thereafter 1o/o of the Total
Purchase Price per week of delay or part thereof, subject to a maximum of 7'5%
of Total Purchase Price.

7. Rejection:
lf items / material supplied by you under your Scope are not found as per the
MSETCL/MSEDCL approved design / drawings, we shall have right to reject the
same.

8. Warranty: 12 months from the date of commissioning or 18 months from the date of
delivery as per Article 4, whichever is earlier. Warranty on replaced parts shall
be 12 months from the date on which the concerned part is put into operation or
18 months from the date of last delivery on FOR basis, whichever is earlier.

9. Penalty for Safety:

a) Rs. 100,000/- per accident.
b) Rs.10,00,000i- per fatal accident.

10. Defect Liability against Workmanship:
12 Months from the date of successful completion of work.

11. Design Defect Liability:

Your obligations to the "Design Defect Liability" of all equipment supplied under
the aforesaid warranty shall be effective for 60 (sixty) months from the date of
completion of successful commissioning. Under this aforesaid period, failures of
the equipment or any part of the equipment attributable towards design related
defects shall be replaced by you free of cost to us'

12. Patent Liability:

Your liability under any kind of patent infringement with respect to this LOI shall
be unlimited.

13. Site Mobilization:

You shall discuss and mutually agree in writing with our project dept. regarding
resources to be made available for execution of this project including
milestones to be achieved and ensure compliance thereof without fail.
Exclusive resources shall be mobilized by you as agreed at Site for the scope
of work without diverting existing resource(s) from any of your on-going jobs
at our and/or our group company's locations.
You undertake not to lure any resources of our and other Contractor(s) already
working in any of our and/or our group company's Location(s).

14. Limit of Liability:

Maximum 'lOO% of Total Purchase Price, except for patent infringement as pet'
Article 12 and risk purchase as per Article 15.

15. Risk Purchase:

Notwithstanding anything contained in this LOl, if at any stage delay has taken
place in supply and/or we feel that delay is taking place or likely to take place irr
the execution of LOI then we shall have right to procure required equipmeni
from alternate sources at your cost and expenses including the incidentai
expenses. lf we exercise this option, then you shall stop processing ancl
deiivery / application of the specified item without any cost to us. This shall ber
over & above limit of tiability as per Article 14.

1 6. Insurance Coverage:
You shall take insurance coverage for your deployed staffs/ workmart
(Workman compensation) at your cost'

I 7. Gonfidential informatlon:
You agree that any information received pursuant to this contract shall be
treated as confidential information and shall not be disclosed to any third
party except as is required by law or legal process. !

18. Press Release / Public announcements:

You shall take prior written consent by providing well in advance provide draftr;
for any kind of press release, public announcements or any other notificationt;
with respect to this contract, for our approval under ons of law.

19. Governing Laws & Jurisdiction:
Any dispute arising out of or in connection with this contract, including any
question regarding- its existence, validity or termination, shall be referred to
and finally r'esotveO by arbitration in accordance with the Arbitration Rules of
the Mumbai Centre for International Arbitration ('MCIA Rules"), which rules
are deemed to be incorporated by reference in this clause

20. Final Agreement:

It is the intention of the parties that will negotiate in good faith and execute the
finalAgreement.
This Litter of Intent merely summarizes certain of the principal terms and
conditions proposed and agreed between us with respect to the transactions
contemplated bY us.
