Proposed Bylaw Amendment to

Establish Minimum Attendance Requirements

for the NRA Board of Directors
Pursuant to Article XV, Section 1 of the Bylaws of the National Rifle Association of America, the
undersigned NRA Members (all of whom are eligible to vote) hereby propose that the NRA Bylaws be
amended by adding the underlined text shown in bold below. If approved, this amendment would
operate prospectively from the date of approval.

Article IV
Board of Directors

Section 5. Required Attendance at Board Meetings.

(a) For purposes of this section, “absence” means failure to attend in person. Attendance may not
be accomplished by proxy or by telephone or other remote communications equipment.

(b) Any Director’s absence from two (2) of the three (3) regular meetings of the Board of Directors
in any given year shall disqualify that Director from nomination by the Nominating Committee
for any of the next three elections, although such Director may still be nominated by petition
of the members pursuant to Article VIII, Section 3.

(c) Any Director’s absence from any three (3) consecutive regular meetings of the Board of
Directors shall permanently disqualify that Director from nomination to or service on the
Board of Directors, effective at the expiration of that Director’s current term.

Exceptions to this policy may only be made for good cause, as determined by a simple majority vote of
the Board of Directors. Any Director seeking an exception pursuant to this section shall abstain from
all votes taken on that Director’s exception request. No Director may request an exception more than
once.
