Articles of Incorporation

of the
Baguio City Overseas Workers Foundation, Inc.
KNOW ALL MEN BY THESE PRESENTS:
That we, all of whom are of legal age and residents of the
Philippines, have this day voluntarily associated ourselves
for the purpose of organizing the Foundation, a non-stock
and non-profit corporation under and by virtue of the laws of
the Republic of the Philippines, and
WE HEREBY CERTIFY THAT:
First. The corporate name of the Foundation shall
be Baguio City Overseas Workers Foundation, Inc. and
may be otherwise called and known as “BOWF“.
Second. The purposes and mission for which the Foundation
is formed are as follows:
To help develop and harness the educational potential of
underprivileged but determined elementary, high school,
and college students in the City of Baguio;
To help develop and harness opportunities for Baguio City
students in their quest for formal education;
To promote our motto “Education Should Be an Opportunity
for All” in accord with the principles of the Foundation by
searching, sponsoring, and guiding qualified students who
may not have the opportunity to go to school without
financial assistance;
To instill among the youth the value of education in the now
competitive age;
To serve as a safety net for qualified students who may
encounter hardships and difficulties in meeting the financial
requirements of their studies;
To adopt, promote and enhance the purposes of the national
educational development program of the government;
To encourage the responsive involvement of the private
sector to help promote education in the country;
To support, promote and enhance the spirit of camaraderie,
fellowship and unity among its members;
To transact any and all other lawful activities which the
Board of Trustees considers appropriate to further the
purposes of the Foundation, and
To encourage and if need be finance other similar
organizations that support the education of the youth.
Incidental Purposes
In furtherance of its mission, vision and goal, It may acquire
properties, whether real or personal, by purchase, donation,
usufruct, bequest, and/or by other legitimate means, and
encumber or sell such properties for its legitimate purposes;
receive membership fees and dues, assessments, contribu-
tions, gifts, legacies, grants-in-aid, endowments, subsidies
and donations from members, as well as non-members,
from here and abroad; may invest and expend its funds,
moneys and properties in such tourism-related ventures,
projects and activities as the Board of Trustees may deem
proper and necessary in pursuit of its objectives; and
Generally, as may be permitted by law, may do all such
other acts and exercise such powers and prerogatives as
may be directly or indirectly necessary, suitable and proper
to attain any of the objectives and purposes of the Founda-
tion.
Third. The Foundation is an education-oriented organization
composed of overseas workers, either retired or in the active
employment abroad, who are residents of Baguio City. It is
non-profit and as such, no part of its revenues shall be
distributed, nor any of its assets shall ever be used or
expended for nor inured to the benefit of any of its officers
or members. The revenues it may generate incidental to its
operation shall, as deemed necessary and proper under the
circumstances, be expended solely for the furtherance of the
purposes for which the Foundation is organized. The
Foundation is non-partisan, non-sectarian and non-
ideological.
Fourth. The principal office of the Foundation shall be lo-
cated at the address of the office of the incumbent Secretary
or any other convenient location which the Foundation may
deem appropriate in order to serve and carry out its
objectives.
Fifth. The term for which this corporation shall exist is fifty
(50) years from and after the date of incorporation, renew-
able for such other terms as now or may hereinafter be per-
mitted under the laws of the Republic of the Philippines.

to the Securities and Exchange Commission from time to

Seventh. The affairs of the Foundation shall be governed by
the Board of Trustees of seven (7) members, and that the
names, nationalities, and residences of the Trustees, who
are to serve as such until their successors should have been
duly elected and qualified in accordance with the By-Laws,

Eighth. The Foundation shall be financed, operated, and


maintained by membership fees and dues, assessments,
contributions, gifts, bequests, legacies, donations, grants-in-
aid, endowments, subsidies, as well as interests and other
earnings of the legitimate investments of its funds and
assets.
Ninth. Ms. Arianne A. Loyola has been duly elected by the
incorporators as corporate treasurer of the Foundation, to
act as such until her successor has been duly elected and
qualified in accordance with the By-Laws and that, as such
Treasurer, she has been authorized to receive for and on
behalf of the Foundation and to receipt in its name all
membership fees, dues, assessments, contributions, gifts,
bequests, legacies, donations, grants-in-aid, endowments
and subsidies, to support and maintain the operations of the
Foundation..

REAL ESTATE MORTGAGE AGREEMENT
KNOW ALL MEN BY THESE PRESENTS:
This Real Estate Mortgage Agreement executed by and
between: Jack Ma, Filipino, of legal age, single and with
address at Cebu City, hereafter called
the Debtor/Mortgagor;
– and –
Jack Na , Filipino, of legal age, single, and a resident of
Cebu City, hereafter called the Creditor/Mortgagee;
W I T N E S S E T H : That –
1. The Property. – The Property subject of this contract is a
parcel of land, more particularly described as follows:
Transfer Certificate Of Title No. _1234____
Registry Of Deeds For __Cebu___ City
A PARCEL OF LAND (Lot 20 Blk 54 of consolidation
subdivision plan (LRC) Pcs-13265, being a portion of the
consolidation of Lots 4751-A and 4751-B situated in Cebu
City together with all the improvements thereon, herein
collectively referred to as the Property.
2. The Loan. – Debtor/Mortgagor has obtained a loan from
the Mortgagee in the sum of Fifty thousand Pesos
(P50,000.00) subject to the terms and conditions
hereunder prescribed, to wit:
2.1. The loan shall be payable on or before 15 December
2019.
2.2. It shall bear interest at the rate of twelve percent
(12%) per annum payable every 15th day of the month
corresponding to the month for which interest is due.
2.3. The amounts due by way of interest payments shall
be covered by five (5) postdated checks of P600 each and
the principal loan of P50,000 shall also be covered by a
postdated check dated 15 December 2019.
2.4. Failure and/or refusal or the Debtor/Mortgagor to
pay two (2) consecutive monthly interests (or when the
checks are dishonored) shall automatically make the
principal loan of P50,000 due and demandable, together
with the unpaid interest, if any.
3. The Mortgage. – For and in consideration of the loan
stated in paragraph 2 hereof and by way of a security
therefor, the Debtor/Mortgagor hereby constitutes a real
estate mortgage on the Property in favor
of Creditor/Mortgagee, under the following terms and
conditions:
3.1. The mortgage shall secure the payment of the loan,
together with the unpaid interest, if any.
3.2. In case the maturity of the loan is extended, upon
mutual agreement in writing of the Parties, this mortgage
shall be a continuing security for the obligation/s of
the Debtor/Mortgagorto the Creditor/Mortgagee without the
necessity of executing a new contract of real estate
mortgage.
3.3. If the Debtor/Mortgagor shall well pay and/or
comply with his all and every obligation under this Deed,
then this mortgage shall cease to have any force and effect.
However, if the Debtor/Mortgagor shall fail and/or refuse, for
any reason whatsoever, to fully pay and/or comply with all
or any of his said obligations, then
the Creditor/Mortgagee may judicially or extrajudicially, at
his option, foreclose the mortgage on the property in
accordance with law.
3.4. In case collection of any amount due under this
mortgage agreement is referred to a lawyer by
the Creditor/Mortgagor, the Debtor/Mortgagor is under
obligation to pay the former twenty percent (20%) of the
amount due.
4. Expenses. – Expenses for notarial fees shall be for the
account of the Debtor/Mortgagor. All other expenses for
the registration with the appropriate office / the Register
of Deeds shall be for the account of
the Creditor/Mortgagee.
5. The parties agree that all court actions concerning this
Agreement shall be brought before the proper courts of
Quezon city or the city of Makati to the exclusion of any
other venue.
6. If any one or more of the provisions of this Agreement is
declared invalid or unenforceable, in any respect under
any applicable law, the validity, legality or enforceability
of the remaining provisions contained herein shall not in
any way be affected or impaired.

CHATTEL MORTGAGE
KNOW ALL MEN BY THESE PRESENTS:
I, Jack Da of legal age, single with postal address at
Cebu City hereinafter known as the MORTGAGOR, and Jack
Ga of legal age, single, with postal address at Cebu
City hereinafter known as the MORTGAGEE, witnesseth:

That the MORTGAGOR is indebted unto the


MORTGAGEE in the sum of two hundred thousand
(200,000.00), Philippine Currency, receipt of which is
acknowledged by the MORTGAGOR upon the signing of
this instrument, payable within a period of ten years, with
interest thereon at the rate of (5) % per annum;
That for, and consideration of , this indebtedness,
and to assure the performance of said obligation to pay,
the MORTGAGOR hereby conveys by way of
CHATTEL MORTGAGE unto the MORTGAGEE, his heirs
and assigns, the following personality now in the

and effect.

LEASE CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE is made and executed at the City


of Cebu, this 10th day of February, 2018, by and between:

Jack Sa, of legal age, single, Filipino, and with


residence and postal address at Cebu City, hereinafter
referred to as the LESSOR.

-AND-

Jack Ta, Filipino and with residence and postal


address at Cebu City, hereinafter referred to as the LESSEE.

WITNESSETH; That

WHEREAS, the LESSOR is the owner of THE LEASED


PREMISES, a residential property situated at Cebu City;

WHEREAS, the LESSOR agrees to lease-out the property to


the LESSEE and the LESSEE is willing to lease the same;

NOW THEREFORE, for and in consideration of the foregoing


premises, the LESSOR leases unto the LESSEE and the
LESSEE hereby accepts from the LESSOR the LEASED
premises, subject to the following:

TERMS AND CONDITIONS

1. PURPOSES: That premises hereby leased shall be used


exclusively by the LESSEE for residential purposes only and
shall not be diverted to other uses. It is hereby expressly
agreed that if at any time the premises are used for other
purposes, the LESSOR shall have the right to rescind this
contract without prejudice to its other rights under the law.

2. TERM: This term of lease is for ONE (1) YEAR. from


March 1, 2018 to March 1, 2019 inclusive. Upon its
expiration, this lease may be renewed under such terms and
conditions as my be mutually agreed upon by both
parties, written notice of intention to renew the lease shall
be served to the LESSOR not later than seven (7) days prior
to the expiry date of the period herein agreed upon.
3. RENTAL RATE: The monthly rental rate for the leased
premises shall be in PESOS: FIVE THOUSAND (P5,000.00),
Philippine Currency. All rental payments shall be payable to
the LESSOR.

4. DEPOSIT: That the LESSEE shall deposit to the LESSOR


upon signing of this contract and prior to move-in an
amount equivalent to the rent for THREE (3) MONTHS or the
sum of PESOS: FIFTEEN THOUSAND (P 15,000.00),
Philippine Currency. wherein the two (2) months deposit
shall be applied as rent for the 11th and 12th months and
the remaining one (1) month deposit shall answer partially
for damages and any other obligations, for utilities such as
Water, Electricity, CATV, Telephone, Association Dues or
resulting from violation(s) of any of the provision of this
contract.

5. DEFAULT PAYMENT: In case of default by the LESSEE


in the payment of the rent, such as when the checks are
dishonored, the LESSOR at its option may terminate this
contract and eject the LESSEE. The LESSOR has the right to
padlock the premises when the LESSEE is in default of
payment for One (1) month and may forfeit whatever rental
deposit or advances have been given by the LESSEE.

6. SUB-LEASE: The LESSEE shall not directly or indirectly


sublet, allow or permit the leased premises to be occupied in
whole or in part by any person, form or corporation, neither
shall the LESSEE assign its rights hereunder to any other
person or entity and no right of interest thereto or therein
shall be conferred on or vested in anyone by the LESSEE
without the LESSOR'S written approval.

7. PUBLIC UTILITIES: The LESSEE shall pay for its


telephone, electric, cable TV, water, Internet, association
dues and other public services and utilities during the
duration of the lease.

8. FORCE MAJEURE: If whole or any part of the leased


premises shall be destroyed or damaged by fire, flood,
lightning, typhoon, earthquake, storm, riot or any other
unforeseen disabling cause of acts of God, as to render the
leased premises during the term substantially unfit for use
and occupation of the LESSEE, then this lease contract may
be terminated without compensation by the LESSOR or by
the LESSEE by notice in writing to the other.

9. LESSOR'S RIGHT OF ENTRY: The LESSOR or its


authorized agent shall after giving due notice to the LESSEE
shall have the right to enter the premises in the presence of
the LESSEE or its representative at any reasonable hour to
examine the same or make repairs therein or for the
operation and maintenance of the building or to exhibit the
leased premises to prospective LESSEE, or for any other
lawful purposes which it may deem necessary.

10. EXPIRATION OF LEASE: At the expiration of the


term of this lease or cancellation thereof, as herein provided,
the LESSEE will promptly deliver to the LESSOR the leased
premises with all corresponding keys and in as good and
tenable condition as the same is now, ordinary wear and
tear expected devoid of all occupants, movable furniture,
articles and effects of any kind. Non-compliance with the
terms of this clause by the LESSEE will give the LESSOR the
right, at the latter's option, to refuse to accept the delivery
of the premises and compel the LESSEE to pay rent
therefrom at the same rate plus Twenty Five (25) % thereof
as penalty until the LESSEE shall have complied with the
terms hereof. The same penalty shall be imposed in case
the LESSEE fails to leave the premises after the expiration of
this Contract of Lease or termination for any reason
whatsoever.

11. JUDICIAL RELIEF: Should any one of the parties


herein be compelled to seek judicial relief against the other,
the losing party shall pay an amount of One Hundred
(100) % of the amount clamed in the complaint as
attorney's fees which shall in no case be less than
P50,000.00 pesos in addition to other cost and damages
which the said party may be entitled to under the law.

12. This CONTRACT OF LEASE shall be valid and binding


between the parties, their successors-in-interest and assigns.

EXTRAJUDICIAL SETTLEMENT OF ESTATE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Extrajudicial Settlement of Estate


(“Deed”), made and entered into by and between:

Jack Ba and Jill Ba, all of legal age, Filipino and residents of
Cebu City, herein referred to as the HEIRS;

WITNESSETH :

That the above-named HEIRS are the only surviving


and lawful heirs of John Ba, who died intestate on February
1, 2018;

That the deceased at the time of his death left


certain personal properties (“Estate”) hereto attached as
Annex “A” and made an integral part of this Deed;

That there are no known debts or obligations due against


the estate of the said decedent;

That, it is to the very best interest of the parties


hereto to adjudicate unto themselves the entire estate
extrajudicially in the form and manner hereinafter set forth;

NOW THEREFORE, for and in consideration of the


foregoing premises and invoking the provision of Sec. 1 Rule
74 of the Rules of Court, the said HEIRS above named have
agreed to settle the estate extrajudicially and to this effect
do hereby partition and adjudicate the same unto
themselves and the foregoing inheritance, subject however
to the liabilities imposed by Sec. 4, Rule 74 of the Rules of
Court for a period of two years in favor of any other possible
heirs, creditors or any other person deprived of the lawful
participation over the said estate of the deceased and
encumbrances;

The parties agree to publish this instrument in a newspaper


of general circulation in the City and Province of Cebu once a
week for three consecutive weeks.
In the remote event that any other property of the decedent
should ever be found which is not included hereinabove, the
HEIRS hereto further agree as they do so agree to settle and
distribute the same in like manner and proportion as herein
established and disposed.

That the HEIRS hereby covenant and further warrant that


should there be preterition or omission of one, some, or all
of the compulsory heirs in the direct line, whether living or
not at the time of the execution of this Deed, will not
invalidate/nullify the terms and conditions of this Deed.
Instead, the HEIRS shall proportionately oblige themselves
to pay to the omitted Heirs or the latters’ heir(s) the share
which belongs to him/them, in accordance with the rules of
succession under the Civil Code of the Philippines.

IN WITNESS WHEREOF, I have hereunto affix my signature


this 5th day of February 2018, at Cebu City, Cebu,
