Attorney-in-Fact for me and in my name, place and stead, and for my own use
and benefit to do the following acts and deeds:

1. I hereby authorize the Agent, in matters relative to the Company,

to represent and transact for and on my behalf, to enter into
arrangements, agreements, contracts and any and all kinds of

“______”, under such terms and conditions as the Agent may
deem necessary or appropriate, and to execute, deliver and
perform any and all of the agreements, contracts, documents,
instruments and other writings that may be necessary to obtain

acts necessary, required and/or incidental to the grant of
authority specified in the preceding paragraph, as well as, to

3. I hereby further grant unto my said Agent full power and

authority to do and perform every act and thing whatsoever
requisite and necessary to be done relative to the foregoing grant
of authority, as fully to all intents and purposes as I might or
could do personally or cause to be done by virtue of these
presents.

I further affirm, confirm and ratify all the things/acts done and documents
executed and entered into by the Agent pursuant to and in accordance with
the foregoing authorities. I likewise affirm, confirm and ratify all things/acts
done and documents executed and entered into by the Agent in my behalf
prior to this grant of authority.

I further represent and warrant to ________that this grant of authority in favor

of the Agent remains valid and subsisting and that Nexus may rely on such
grant notwithstanding anything to the contrary unless I have physically
furnished _______ with a written notice revoking the authority I have granted
herein to the Agent. For avoidance of doubt, such revocation of authority shall
be effective only upon receipt by Nexus of the aforesaid notice of revocation.

I likewise undertake to save free and harmless as well as indemnify Nexus

from any and all liabilities, claims, suits, charges, or expenses, of whatever
nature arising out of, in connection with or by virtue of the implementation of
the foregoing grant of authority or any of the transactions and/or agreements
executed and/or implement pursuant to this grant of authority.
