MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement made and entered to this ___ day of __________, 2018 in the Province
of Isabela, Philippines by and between:

THE a Local Government Unit (LGU) existing under the laws of the Republic of the
Philippines with office address at the Provincial Capitol, City of Ilagan, Province of Isabela,
herein represented by its duly authorized representative Sangguniang Panlalawigan Member,
Director General of the Festival Executive Committee (FEC), by virtue of Resolution No. 245,
Series of 2017 of the Sangguniang Panlalawigan of Isabela, hereinafter referred to as “PGI-FEC”;

-and-

., a domestic corporation duly registered and existing under the laws of the Republic of
the Philippines with business address at Golden Head Building, Centro 1, Luna, Isabel,
Philippines, herein represented by its General Manager/Onwer, , and hereinafter referred to as
“”.

WITNESSETH THAT:

WHEREAS, PGI, in its effort to further achieve economic development through tourism,
trade and investment, shall conduct the 7th Annual Bambanti Festival at the Provincial Capitol
Compound on January 24-28, 2018 with the active involvement and participation of its thirty-
four (34) towns and three (3) cities as well as its socio-civic-cultural communities and non-
government organizations in the various cultural, arts, trade and community service activities;

WHEREAS, pursuant to Sangguniang Panlalawigan Ordinance No. 10 dated 29 th day of

May, 2012 entitled “AN ORDINANCE DESIGNATING AND DECLARING BAMBANTI FESTIVAL ON
THE 27TH-31ST OF JANUARY AND EVERY YEAR THEREAFTER”, the Festival Organizing Committee
(FOC) headed by Hon. Rolando L. Tugade, Chairperson, shall undertake and take the lead in the
planning, coordination, implementation and conduct of programs and activities of the
Bambanti Festival 2018;

WHEREAS, there is a need to engage the services of RYNE TOURS who shall perform
specific tasks in the transportation of VIP guests during the Bambanti Festival 2018;

NOW, THEREFORE, foregoing premises considered and the terms and conditions
hereunder set forth, the parties hereby agree to undertake, execute and implement the Project
as herein specified:
EVENTS:

DATE: January 23-28, 2018

EVENT: Bambanti Festival
DESTINATION: Quezon City to Isabela (Vice-versa)

SECTION 1: Objectives

1. To undertake the transportation of VIP guests who will attend the Bambanti
Festival;
2. To organize and facilitate a tour for the VIP guests that will highlight the
tourist destinations of the Province of Isabela in line with the Festival’s
objectives in promoting the tourism industry of the province;

SECTION 2: The Scope of Responsibilities of PGI-FEC shall include but shall not be limited to the
following:

1. Shall provide RYNE TOURS with the itinerary for the scheduled trip;
2. Shall provide the necessary parking space in order to safely load and unload
the VIP guests upon arrival in their destination;

SECTION 3: The Scope of Responsibilities of RYNE TOURS shall include but shall not be limited
to the following:

1. Shall provide ONE (1) unit of air conditioned bus (49 seater);
2. Shall see to it and guarantee that the bus is road worthy or in good and
pristine condition;
3. Shall be at the pick-up location at least ONE (1) hour before the scheduled
departure;

SECTION 4: PROFESSIONAL FEES

FOR AND IN CONSIDERATION of the foregoing services and subject to the prompt
release of the funds, RYNE TOURS shall receive the sum of NINETY THOUSAND PESOS
(P90,000), INCLUSIVE OF VAT and other governmental taxes, payable as follows:

a. Fifty Percent (50%) upon the execution or signing of this instrument;

b. Fifty Percent (50%) within FIVE (5) days before the scheduled trip;

All Checks shall be made payable to CHRISTOPHER ROY M. ALVARADO.

Applicable taxes shall be withheld and a Certificate of Tax Withheld shall be

issued by PGI-FEC as withholding agent.
SECTION 5: Any cancellation made THREE (3) days before the scheduled trip shall be subject
a TWENTY (20%) percent cancellation fee.

Any cancellation made on the day of the trip will entail a ONE (100%) hundred
percent cancellation fee.

No cancellation fee shall be charged in case of cancellation due to force majeure

(i.e. causes which are outside if the control of the parties and could not be avoided by exercise
of due care), fortuitous events (i.e. unforeseen occurrences not caused by either of the parties,
nor such as they could prevent) and acts of God (i.e. acts occasioned exclusively by violence of
nature without the interference of any human agency).

A rescheduling of the cancelled trip based on the above situation may be made
within ONE (1) month from the scheduled date depending on the availability of the bus.

SECTION 6: This Agreement shall take effect and continue to be in full force until February,
2018 after which time the Project shall have been completed with all the terms and conditions
therein satisfied.

SECTION 7: Any loss or injury sustained during the trip due to the fault or negligence of any of
staff/employee of RYNE TOURS shall be at the latter’s expense.

SECTION 8: The parties shall mutually agree upon any amendment or modification of this
Agreement or its renewal. No modification or amendment of this Agreementshall be valid
unless the same is in writing and signed by both parties. No waiver of any provision of this
Agreement shall be valid unless it is in writing and signed by the party against whom it is sought
to be enforced.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first
above written.
