LEGAL SERVICE PROPOSAL

and
ENGAGEMENT

To: MS. BON PADIGOS:

We appreciate the opportunity to provide LEGAL SERVICE pertaining to the


registration of your business to the appropriate offices of the Philippines. To ensure
quality of service and clarity to this proposal, this Legal Service Proposal will describe
the scope of work to be performed by Thaddeus Business Group Inc. as well as
additional services available including their nature and limitations. Rewel Jr. J.
Medico., our Legal Head and Corporate Secretary in charged will be the primary
contact person for this Engagement Service.

I. BACKGROUND

It is the belief of the Client that the Legal Service Provider possesses the skills,
qualifications and abilities necessary to provide services to the Client.

IN CONSIDERATION OF the mutual benefits and responsibilities provided in this


PROPOSAL and ENGAGEMENT, the receipt and sufficiency of which consideration
is hereby offered, both the Client and the Legal Service Provider agree as follows:

II. ENGAGEMENT

The Legal Service Provider agrees to provide the Client with the following services,
and any other mutually agreed upon services that the Client may from time to time
require (the “Services”):

REGISTRATION OF THE BUSINESS IN THE PHILIPPINES AS MANDATED


BY LOCAL GOVERNMENT LAWS AND OTHER EXISTING LAWS, THUS:

a. BARANGAY BUSINESS CLEARANCE


b. MAYOR’S PERMIT
c. CERTIFICATE OF REGISTRATION (BIR)
d. VARIOUS RECEIPTS (BIR)
e. AUTHORITY TO PRINT (BIR)
f. BOOKS OF ACCOUNTS (BIR)
g. COMPLIANCE TO NATIONAL PRIVACY COMMISSION (NPC)
h. REGISTRATION OF TRADEMARKS TO INTELLECTUAL PROPERTY OFFICE
(IPO) as per R.A. no. 8293
i. Other LEGAL DOCUMENTATIONS AND REVIEW

The Client and the Legal Service Provider understand and accept that the Legal
Service Provider is acting as an independent contractor and not as an employee with
regard in the provision of the Services. There is no partnership or joint venture
between the two parties.
III. TERM OF SERVICE

The Agreement will take effect immediately upon execution, and shall remain in effect
until the Services set forth herein have been completed.

In exchange of providing the Services, the Client agrees to compensate the Legal
Service Provider a fee of THIRTY THOUSAND PESOS (PHP30,000), for the business
registration, inclusive of value added tax. The Client further agrees that direct
expenses such as: notarial fees, filing fees, and such other incidental fees for the
processing of the above-mentioned services shall be borne against the Client.

Both parties understand that the above described compensation is purely, solely and
exclusively compensation for the services mentioned in this agreement.

IV. REIMBURSEMENT OF EXPENSES

Relative to the 2nd sentence of the immediately preceding paragraph, the Client will
reimburse the Service Provider for all the necessary and reasonable expenses
incurred supported with receipts in connection with providing the Services in case
the Legal Service Provider has dole out such expenses.

Note: All expenses to be incurred will be supported with receipts except with other
costs of representation paid in order to expedite the processing of Business
Registration which will be agreed upon beforehand.

V. PAYMENT SCHEDULE

The Client shall pay the Legal Service Provider either as:

a. Lumped Sum Cash;


b. Cash Advances must be given promptly and shall be liquidated and supported
with official receipts to the company

VI. AMENITIES

The Legal Service Provider may be provided with the Amenities necessary for the
execution of the Service.

VII. CONFIDENTIALITY

The Legal Service Provider recognizes the need to keep all confidential information
with absolutely confidentiality, and prevent its release to the public, as a material
term of this agreement.

The Legal Service Provider agrees not to disclose, report or use, for any purpose, any
of the confidential information disclosed to the Legal Service Provider by the Client
as a result of providing the Services, or which the Service Provider has otherwise
obtained or accessed.

All obligations regarding the protection of the confidentiality of the confidential


information shall be effective for a period agreed upon by the parties or from the date
of this Agreement’s expiration or termination, as the case maybe The Legal Service
Provider will be permitted to disclose any of the confidential information in the
following circumstances:

a. If the Client has given written consent for the Legal Service Provider to disclose
the information to a third party;
b. If the Legal Service Provider is required to disclose such information by law or
at the request of any governmental, administrative, legislative, or judicial
body, provided that the Legal Service Provider will first give prompt notice to
the Client of any possible or prospective orders or disclosure and the Client
has been afforded a reasonable opportunity to prevent or limit such
disclosure.

VIII. EFFECTIVITY

IN WITNESS WHEREOF, we have here unto affixed our signature on this day
of July 2019 here at Quezon City, Philippines.
