ASSUMPTIONS

4. Masco cost for roof mounted structure doesn’t include roof bearing capacity or its associated inputs/analysis.
5. Client is responsible to arrange a clear and safe access to the site.

STANDARD TERMS AND CONDITIONS OF SALE
The offered price is valid for 15 days from the date of submission. However, price variation because of USD & EUR variation

DISCLAIMERS prices for any other project because of variances in quantity, costs, freight, exchange rate, etc. The costs given are
exclusive of any such duty/tax and if imposed at our time of order placement then they shall be applied accordingly.

The foregoing limited warranty does not warrant any specific electrical performance of the System except as indicated in the
warranty document, does not cover a System defective for any other reason than stated above and does not extend past the
ten-year term. In addition, the limited warranty does not cover cosmetic defects stemming from normal wear and tear of the
System. Contractor will not remedy, replace or pay for any work done on warranted goods by any parties other than the
Contractor and/or Contractor’s authorized agents. Warranty claims must be filed in writing within the applicable warranty
period and can only be made by or on the behalf of the original end customer or person to whom title has been transferred.
Specific to roof penetrating System installations, Contractor provides a limited warranty for damages to roof structure caused
EXCLUSIONS AND LIMITS by Contractor during a System installation for areas within a (3) inch radius of any roof penetrations. The period for this
limited warranty the roof damages is only to the extent of the remaining period of any existing warranties at the time of
System installation provided by the contractor(s) who installed or built the roof.
All protection devices (i.e. fuses, breakers, SPDs, relays, switches, lighting arrestors etc.) are not covered under any
warranty.
If roof condition is not ideal for installation or any loss is occurred due to high winds or unforeseen weather conditions the
cost will be borne by the Buyer.
Service charges for any warranty claims will be borne by Buyer.
SALES TAX Quoted Price is exclusive of GST/Duties as per current law; and this may vary as per Govt. orders
Price Quoted is based on current exchange rates and all duties & taxes are considered as per current Pakistan Taxes Laws.
DUTIES, TAXES & DEVALUATION
If there is any change in duties, taxes, and exchange rates etc. then it will be applied as per Govt. Laws pertaining at the

Civil Works – Construction of Building, Cable trenching, civil/mounting pads/pedestals, water drainage and overhead
concrete for cleaning water storage tanks, safety wall around the installation, any modification/construction in existing
building, steps for catwalk around the project (if required). Inaccuracy in the construction of civil pedestals can cause
alignment issues for the solar structures and panels. Any modifications or changes needed is the responsibility of the Buyer.
Mechanical Equipment – Cleaning water pumps, ventilation fan for control room, fire alarm and firefighting equipment, exit
door (if required).
Utilities - Electricity and water should be available for the installation team (if required).
Labor – For site cleaning, clearance and watchman (if required).
Wi-Fi - Strong Wi-Fi signals need to be available at the inverter installation. If signals are not available through existing
router/modem in the vicinity, then the customer should install a router/modem next to the inverter. If at inverter installation
Wi-Fi signals are not strong enough and commissioning cannot be done then the company will charge Rs.5, 000 for every
visit after this for setting up online monitoring. (if applicable)
LAN/CAT 6 - Internet via LAN need to be available for inverter online monitoring before commissioning can be done. If at
inverter installation internet through LAN/CAT6 wire is not strong available and commissioning cannot be done then the
company will charge for every visit after this for setting up online monitoring.
Mechanical material - Piping, water fitting and valves, water pressure and temperature gauges (if required).
Inverter Shade – If inverter and other items are installed on the roof a shade should be made to protect the inverter, breaker

box and other accessories from the rain, strong winds, direct sunlight and accidental water spraying.
& RESPONSIBILITY
Earthing Pit – Needs to be made available as it is a requirement by the utility company for net-metering.
AC/DC Earthing- Required for protection for the system
Insurance – Needs to be made by Buyer for equipment in-transit from Contractor warehouse to Buyer site, storage at site
and during installation and until final commissioning. Equipment should be insured for during and after installation for
complete protection against unforeseen conditions
Delivery- Once equipment is delivered at site the storage and security are the responsibility of the buyer and his/her
representatives at site.
Access and Assistance- Access to a storage site for equipment and clear unrestricted access needs to be given to the
installation location on the roof. Complete manual labor assistance for moving equipment safely to the installation location
on site shall be provided by the Buyer. Any damage cause during movement of equipment within the premises is the liability
of the Buyer and should be covered under the buyer insurance policy.
Security- Cameras, Gauze wire, Guards, or any type of security for site or for project (if required). Equipment delivered at
site is under supervision of the Buyer and security of equipment should be ensured. Any pilferage risk is on the Buyer as
the equipment is on site.
Documents- All documents required for net-metering should be delivered to our respective office (by hand/courier)
Check/Cash payments- All payments need to be delivered (by hand/courier) to our respective office (KHI/LHE)
Transportation- Out of city transportation will be charged as per actual

In case of order cancellation from buyer, Contractor reserves the right to charge stocking fee of 15% of the selling price of

respective equipment or complete solar system.

NET-METERING

Contractor will assist in applying for obtaining the net-metering license from NEPRA. Documents will be prepared on the
basis of information and documents provided by the Buyer.
Buyer is responsible for arranging any name or sanctioned load change required on the meter.
Note the contractor will only assist in the application of net-metering. Processing of the application is done be the DISCO
NET-METERING
and NEPRA who will take their stipulated time and is not under the control of the contractor. Contractor cannot get any
updated on the status of the application therefore the buyer is advised to wait until the max 72 working days (NEPRA Net-
Metering Guidelines) from the date of submission of application, to request the contractor for an update on the process.
Application for Net-Metering will be processed after entire payment has been cleared.
Contractor is exempt from Income Tax on supplies under section 50(4), as per CBR notification # SRO 97 (1) 2002 dated

Notwithstanding anything contained herein until the entire contract price has been paid, title to the contracted goods shall
TRANSFER OF TITLE remain with Contractor. In case of any default in payment terms the contractor shall have the right to repossess the
equipment
ORDER REVERSAL 40% amount will be refunded whereas the rest of the payment will be non-refundable
Contractor is not responsible and bears no liability for the malfunctioning of existing electrical equipment at the site, including
EXISTING CONDITIONS
but not limited to the main electrical service panel, any major electrical devices, or any other fuses or similar devices.
Contractor is not responsible for delays or expenses related to unanticipated, unusual, or unforeseen conditions at the site,
including but not limited to inclement weather, roof condition and structure, subsurface conditions, underground or
UNFORSEEN CONDITIONS aboveground water, gas, or severed pipes, electrical or cable lines or transformers, or any other physical or material
hindrance to the installation of the System. If the Contractor discovers unforeseen conditions requiring additional cost,
Contractor shall present such costs to Buyer and receive Buyer’s written approval before beginning or continuing installation.
Extra work and Change Orders become part of the contract once the order is prepared in writing and signed by the parties
prior to commencement of any work covered by the new change order. The order must describe the scope of the extra work
or change, the cost to be added or subtracted from the contract, and the effect the order will have on the schedule of
EXTRA WORK AND CHANGE IN progress payments. Notwithstanding the provision, the Contractor shall have the right to substitute System equipment
ORDERS without Buyer’s agreement, so long as the substitution adds no extra cost to the project and does not materially affect the
System’s performance. After installation & commissioning is complete every visit will be charged at Rs.5,000 (residential)
&Rs.10,000 (commercial/industrial) excluding transportation charges that will be charged separately for any setting changes
or trouble-shooting not covered in the manufacturer’s warranty.
Buyer grants Contractor and any subcontractor’s full permission to enter the site during the duration of the System
installation, and to use reasonable work areas in order to complete the System installation. Buyer also grants Contractor
SITE ACCESS
permission to access the site after the System’s completion, for the purposes of repair, inspection, monitoring, or update of
the Project, or any of the same with respect to the monitoring system.
Buyer grants Contractor (lie full rights and permission to publicly use, display, share, and advertise the photographic images,
System details, price and any other non-personally identi1iing information of the Buyer’s System. Contractor shall not
PRIVACY/PUBLICITY knowingly release any personal data about Buyer or besides the above, any data associating Buyer with the System Site.
The Buyer shall have the right to opt-out of these publicity rights by communicating such wishes with the Contractor in
writing.
Contractor may terminate this Agreement for any breach of this Agreement, material or non-material, for any failure of Buyer
TERMINATION AND DEFAULT to agree to an appropriate change order, for any failure of the Buyer to pay the Contractor any amount due, for any
bankruptcy or financial distress of Buyer, or for any hindrance to Contractor in the installation process.
Without limiting the generality of the foregoing, so long as the following events, despite the exercise of reasonable efforts,
cannot be avoided by, and are beyond the reasonable control of and without the fault or negligence of the Party relying
thereon as justification for such delay, nonperformance or noncompliance, Force Majeure events may include without
limitation: acts of God, actions of the elements such as heavy rains, floods, earthquakes, hurricanes, ice storms, landslides
or tornadoes; high winds of sufficient strength or duration to materially damage a Solar Facility or significantly impair its
operation, dust-storms; long-term material changes in Solar Energy potential across a Solar Facility caused by climactic
change; explosion; lightning; fire; volcanic activity; sabotage; vandalism beyond that could reasonably be prevented by
Contractor; terrorism; war; riots; explosion; blockades; insurrection; strike; slow down or labor disruptions (even if such
difficulties could be resolved by conceding to the demands of a labor group); conditions at the Site(s) (including conditions
that make construction more expensive or more lengthy, environmental contamination, archeological or other protected
cultural resources, and endangered species or other protected habitats); transportation delays; unavailability of materials;
full or partial reduction in electric output caused by defective equipment failure due to design defects or serial defects;
Forced Facility Outages affecting a Solar Facility; System Emergency; and actions or inactions by any Governmental
Authority taken after the date hereof (including the adoption or change in any rule or regulation or environmental constraints
FORCE MAJEURE
lawfully imposed by such Governmental Authority) but only if such requirements, actions, or failures to act prevent or delay
performance; and inability, despite due diligence, to obtain any Permits required by any Governmental Authority.
Buyer shall be responsible or liable for any delay, failure or loss in its performance under this Agreement, failure, or other
occurrence or event become an Event of Default, to the extent such delay, failure, occurrence or event is substantially
caused by conditions or events of Force Majeure
Delays Attributable to Buyer. Contractor shall be excused from a failure to meet its obligations under this Agreement where
such a failure is proximately attributable to any delay or failure by Buyer in performing its obligations under this Agreement
(whether or not caused by any conditions or events of Force Majeure), and, in the event of such a failure, if affecting the
achievement of Commercial Operation Date, the Guaranteed Commercial Operations date shall be extended for a period of
time equal to the delay caused to the failure by Buyer of its obligations hereunder.
Force Majeure Termination.

Contractor may terminate this Agreement by giving written notice of such termination to Buyer, if a Force Majeure occurs
and prevents Contractor from making available Solar Energy from the Solar Facility or performing other material obligations
or conditions under this Agreement for a period of at least two (2) consecutive Months. Such termination shall be effective
as of the Day specified in the written notice.
*Solar module degradation will be applicable as per attached datasheet.

The Buyer hereby expressly acknowledges to have agreed to the contents of the Terms & Conditions, and have caused the
Terms & Conditions to be executed by its duly authorized officers or representatives:
