1. Payment: 100% payment should be made prior to delivery of the goods, unless specifically agreed to otherwise by Thermo Fisher Scientific India
Pvt.Ltd. (Thermo Fisher Scientific) in this Invoice.
2. In case of any delay in payments, the Buyer agrees to pay interest at 24% p.a. from the due date till the date of payment.
3. In case of default in payment, Thermo Fisher Scientific shall have absolute right to repossess the goods, without any further notice.
4. Any addition/ increase in levies, charges, taxes, cessess etc., which become applicable as on the date on which the property in goods is transferred
to the Buyer, shall be paid by the Buyer.
5. Thermo Fisher Scientific shall not be liable for delays in delivery of goods or services if caused by factors beyond Thermo Fisher Scientifics'
reasonable control. Delays shall not excuse the Buyer's obligation to make payment for such goods.
6. No claim for any discrepancies in goods shall be considered unless it is made in writing to Thermo Fisher Scientific within seven (7) days of delivery.
Lodgment of a claim shall not excuse the Buyer's obligation to make payment for such goods.
7. Thermo Fisher Scientific shall not be liable for any third party claims arising out of the use of invoiced goods. The Buyer Thermo Fisher Scientific all
keep indemnified from / against such claims.
8. Warranty: The product warranty on the items included in this invoice shall be as per the warranty provisions stated in the terms and conditions
including those appearing on the package.
9. The goods included in this invoice shall not be resold, diverted, transferred, transshipped or otherwise disposed of to any other country, either in their
original form or after being incorporated through an intermediate process into other end items without prior written approval to Thermo Fisher Scientific.
10.shall have no further liability or responsibility for any direct, indirect or consequential injury, loss or damage whatsoever and howsoever arising
except to the extent allowed by law, Thermo Fisher Scientifics' liability to the Buyer in any case of defect or fault shall be limited to and at the sole option
of Thermo Fisher Scientific to either;
(a) Replace the goods or supply equivalent goods;
(b) Repair the goods;
(c) Pay the cost of replacing / acquiring equivalent goods;
(d) Pay to repair the goods;
11. Packing will be done carefully but Thermo Fisher Scientific accepts no responsibility for breakages, damage/loss after goods leave the godown.
12. All transactions arising out of this sale will be subject to the courts in Mumbai.
13.Thermo Fisher Scientific hereby certifies that our registration certificate under the Maharashtra Value Added Tax Act, 2002 is in force on the date on
which the sale of goods specified in this tax invoice is made by us and that the transaction of sale covered by this tax invoice has been effected by us in
this tax invoice is made by us and it shall be accounted for in the turnover of sale while filling of return and the due tax, if any, payable on the sale has
been paid or shall be paid.
14. The Buyer on taking the delivery of the goods agrees that the sale of the goods is subject to the terms & conditions contained herein and any terms
and conditions endorsed on any other document pertaining to any other request and, in particular, on any order form or request form produced by the
Buyer are expressly negated and do not form part of the contract between the parties unless has Thermo Fisher Scientific specifically adopted in writing
those terms and conditions.
15. Since the concessional rate of sales tax/vat through D Form has been questioned by the Sales Tax Authorities and the matter is sub-judice, the
Buyer undertakes to pay the full sales tax/vat liability in the event the Sales Tax/VAT Authorities rejects the concession of sales through D Form.
