aircraft from the Facility to the delivery location in Portland Oregon shall be at Seller's

expense.
6. Should Seller for any reason refuse to repair, or is unable to repair airworthiness
discrepancies or comply with required AD's or SB's after Purchaser has accepted the
aircraft in writing, the Seller agrees to reimburse Purchaser for the costs billed to
Purchaser by MSP Aero for the Pre-Purchase Inspection and Flight Check and such
other amounts as may be specified in the Purchase Agreement.
7. Aircraft shall have complete and continuous log books (in English) with no damage
which requires an FAA Form 337.
8. Upon signing of the Purchase Agreement, Seller agrees to remove Aircraft from any
and all advertising.
9. Parties agree that the terms of this Offer may not be disclosed, either in whole or in
part, to any third party except as required to complete this transaction.
10. Within three (3) business days of mutual acceptance of this Offer, Purchaser will place
a refundable $250,000.00 deposit with the escrow agent, Attention Kirk Wolford
President, Insured Aircraft Title Service, Inc. Oklahoma City OK.
11. Other than as specified in Sections 8 and 9 above, this Offer does not constitute a
binding obligation on either party and does not create an obligation on either party to
purchase or sell the Aircraft. A binding commitment to purchase the Aircraft will exist
only on the execution and delivery of a mutually acceptable, binding, written and
definitive Purchase Agreement subject to the terms and conditions contained therein.
Both parties agree that unless and until such Purchase Agreement has been executed
and delivered, none of Seller's or Purchaser's agents, brokers or any of their directors,
officers, employees, stockholders or owners has any legal obligation of any kind with
respect to any such transaction other than as set forth in Sections 8 and 9 above. This
Offer is merely the basis for continued negotiation of the terms and conditions of the
Purchase Agreement and either party may terminate such negotiations at any time.
Purchaser shall circulate a first draft of the Purchase Agreement within three (3)
business days of the parties' execution of th�Offer.
