Remarks :

An integral part of the purchase orders for the supply of goods/service


1.Occupational health &SafetySupplier / contractor shall comply with all regulations, laws and instructions applicable in the location of DPWB including safety and security instructions,
as well as restricted for supplier/contractor to employ any under- age manpower as regulated by regulatory laws in due concern. DPWB is entitled to prevent any person breaches such
instructions from entering his location without any reference to the supplier/contractorprovided that it shall notify the latter with the breach.
DPWB Safety and Security Regulations/Policy
1.All contractors are responsible for ensuring they and all persons working for them fully understand all safety, environmental, hygiene, and other requirements before commencing any
site work for DPWB.
2. Contractors must not commence work until they have checked with the HSE on relevant site safety requirements (e.g., hazards, permits, confined space, or other work activities).
3. Appropriate safety/protective equipment (PPE) e.g. high visibility clothing, hearing, foot and
eye protection, hard hats, harness, etc. must be used as appropriate to the area and work being do
4.All contractors' equipment, materials, and PPE must comply with all legal/regulatory requirements
5. Work must be conducted in a safe, healthy manner, and comply with legal/regulatory requirements, contractors must comply with all safety and Environmental directions as advised
by HSE at all times.
6.No equipment is to be repaired or maintained unless properly isolated /switched (including a tag on the fuse board) .off/stopped and tagged
7.Unsafe equipment must not be used. It must be tagged out and reported immediately to HS
8.Permits to work - A general permit must be issued before any work begins. Specific permits such as confined space entry, hot work, electrical, construction/excavation work may be
require
9. Provide HSE with Material Safety Data Sheets for any chemicals or hazardous substances used on DPWB premises.
10. Contractors are responsible to take all appropriate precautions to prevent contamination of the environment or waterways - all chemical/hazardous substance spills or environmental
contamination must be reported to HSE immediate.
All injuries/accidents (includes minor incidents & near misses) & equipment damage/breakages failures11.11.to be reported without delay to HSE.
12.Do not enter an area for which you are unauthorized, (unless with prior agreement of HSE) and always consider safety, security, privacy and confidentiality requirements.
13. on completion of any work or when leaving a worksite, ensure the area is left in safe/secure manner, displaying appropriate warning signs. All work to be completed in accordance
with any applicable job documentation/specifications and DPWB requirements.
14.No smoking is allowed in any building or vehicle under the control of DPWB
15. Possession or consumption of alcohol or illegal drugs or working under the influence, is prohibited. and DPW Berbera has the right to perform random or periodical drug and
alcohol tests to ensure the implementation of this policy.
16.Contractors are to ensure they are familiar with emergency evacuation procedures and fire prevention and protection systems in place in DPWB areas in which they are working
17.Be mindful of DPWB staff, visitors or other persons around the area in which you are working reduce any tripping hazards; pay attention to housekeeping; and display all necessary
warning signs. It is the responsibility of the principal contractor to ensure their employees and/or sub-contractors are made aware of and comply with DPWB health, safety and
environmental requirements. Failure to comply with these rules could breach contract conditions and lead to contract termination or other legal consequent.
18.It is the responsibility of the principal contractor to ensure their employees and/or sub- contractors are made aware of and comply with DPWB health, safety and environmental
requirements and failure to comply with the rules is considered as breaching to the contract condition and will lead the company to apply moral and financial and/or both disciplinary
action.
DPWB Safety and Security Regulations
DPWB SECURITY policy
1.You must follow the security and safety inductions inside the concession area.
2.Not allowed touring / walking inside the restricted areas (stacks) and unauthorized places without
permission from security department.
3.Not allowed approaching from any containers, in this case we sorry to suspend your gate passes
and deliver this case to the police forces
4.No photo or filming inside the concession area, without permission from the governmental
Authorities and inform the security department.
5.Instant reporting for any security prejudice and gaps.
6.No additional payments to be made within the Concession Area to any personnel of DPWB
2. Work Flow Follow- Up
2.1In delivering service/ contracting works in DPWB location by contractor’s labors,it is for supplier/contractorto becommitted to stake to instructions and guidance of professionals
affiliated to DPWB and the implementation deems suitable to work in accordance with the origins and rules so as to respond DPWB requirements in mutual arrangements between both
companies, and to provide skilled labor.
2.2In delivering service/ contracting works in DPWB locationby contractor’s labors, the supplier/contractor shall take the appropriate action to avoid all risks that may result in conduct of
business, as well as all of risks which may result in usage of machinery and equipment, in addition to the supplier/contractor commitment to country laws.
2.3Supplier/contractor to Comply with all respects with relevant provision of statutes, rules and regulations applicable to or to its employees with respect to the Labor Law, Social
Insurance Law, Tax Laws and such other laws, rules and regulations that is required to be complied with in pursuit of the execution of the Scope of Work.
3. Service Warranty: Supplier/Contractor warrants to DPWB that it's products/ service to be free of defects in material or workmanship for a period as per agreed previously in the offer.
Supplier also warrants that its employees & representatives possess the requested skill & expertise to perform the services. This service warranty shall be valid as per agreed in the
offer terms starting after completion of service.
4.Works Quality & GuaranteeSupplier/contractor guarantees the quality, accuracy and efficiency of works & materials provided for under this contract.Supplier assures quality, accuracy
& efficiency to execute works as per accepted technical & commercial offers
5. Privacy & confidentiality
5.1 Supplier/Contractor undertakes to maintain the confidentiality and privacy of information of DPWB.
5.2 Supplier/contractor shall not do any of the acts prohibited by applicable environment laws or environmental and safety international standards considerations

6. Applicable law and court jurisdiction


With respect to local purchase orders and contracts, theSomaliland law shall apply to any dispute that arises from, in connection with any of articles of this agreement, its
implementation and shall be resolved by the specialized courts.
7. Violation.DPWB is entitled to ask for materials costs pay- back, as well as hold responsible for any result subsequences in case it’s confirmed that the supplier/contractor has
supplied non-original materials in due missions
8.Assignment.The supplier/contractor will not have the right to assign all or part of his obligation to third party unless DPWB written approval is obtained.
9. Severability. If any provision or portion of the localpurchase order shall be adjudged invalid or unenforceable by a court of competent jurisdiction or by operation of law, that provision
or portion of this agreement shall be deemed omitted and the remaining provision shall remain in full force and effect.
10. Invoicing
10.1 Suppliers provide goods/services from local market to submit two original invoices
Addressing Finance department procurement section.
For abroad suppliers to attach the bank details in a stamped letter. Invoice statement will be
required with submitted invoice for payment follow up. In addition to all PO’s number must
to be quoted on all relevant invoices & packing notes. The name of supplier,
tax card number, Commercial Registration number and invoice number should be mentioned
on the invoice.
10.2All payments & cheques release will be as per supplier company name mentioned in DPWBpurchase order.

11.Anti-Corruption: Supplier/contractor agrees that it shall comply with DPWB regulations, policies & vendor code of conduct with all applicable laws including but not limited to laws of
anti-corruption& bribery act. Failure of supplier to comply strictly with these regulations will be subject for sanctions or immediate termination of the purchase order/agreement with the
supplier.

12.Force majeureBoth companies agreed that in case of the supplier/contractor failure to achieve the agreed upon works because of force majeure such as Act of God, wars, terrorism,
fires, disasters, hurricanes, strikes, sets- in, revolutions and/or any other emergency cases, this purchase order shall be suspended without any penalty on both companies provided
that such event shall be recorded in writing
13. 11. Order of Documents: In the vent of conflict between the documents of the contract / purchase order the following sequence order of documents shall be:
- LOA (If available) - PO – Contract - Accepted offers
Note: The documents issued at a later date shall take precedence over documents of an earlier date. Schedules containing guaranteed technical data filled in by DPWB shall be placed
on higher priority.
14. Defects in goods & services rendered: If goods supplied or services rendered display a defect, DPWB shall be entitled to require the supplier/contractor to rectify the defect free of
charges either by means of repair, replacement or re execution.
15. Local Issued PO Currency Payment : DP world Berbera pays all local suppliers by Somaliland shilling as per the Central Bank selling rate of the payment date.
