1. Vehicle Condition:
1.1 The Trucks placed by FO under this contract are validly registered under the Motor Vehicles Act, 1988, Central Motor
Vehicle Rules, 1989, Rules made thereunder and as amended from time to time.
1.2 The Trucks shall be duly serviced from time to time and shall be in a road worthy condition.
1.3 The Trucks shall be equipped with required tarpaulins, belts, ropes, wooden logs/support for safe keeping of
materials/goods.
1.4 The Fleet Owner shall be solely responsible and liable for periodical maintenance of vehicles/breakdown/accidental
repairs.
2. Permits and licenses:
2.1 The Trucks placed by FO under this contract shall duly comply with all applicable Rules, Acts, and Notifications.
2.2 The Trucks shall possess valid permits as applicable and the same shall always be kept renewed and valid during the
term of this contract.
2.3 The Trucks shall carry originals/true copies of the Registration Certificate, Valid Insurance, Valid and Applicable
Permits, Fitness Certificate if applicable, PUC (Pollution under Control Certificate) and such other documents as always
required.
2.4 The Fleet Owner shall be solely responsible and liable for compliance/up keeping of documents aforesaid.
3. Drivers:
3.1 The Trucks shall at all times be driven by a dedicated driver/s who has valid Driving License. The cleaner accompanied
shall at all times be an adult and shall as well possess valid Conductor/Cleaner License.
3.2 The Fleet Owner shall be solely responsible to maintain track record/details (Viz. Address, Identity, Driving License,
Cleaner License) of the Driver/s /Cleaner/s deployed and it shall be solely responsible for their acts and omissions.
3.3 The Fleet Owner shall be solely responsible and liable for payment of any wages/salary/emoluments to
driver(s)/cleaner(s).
3.4 The Drivers/Accompanied with Trucks shall declare their Mobile Number for tracking.
4. Statutory requirement:
4.1 Fleet owner / his driver shall comply the entire statutory requirement during the delivery of material, i.e., making of
Behti and other legal formalities etc. If any kind of penalty is imposed due to the fault of driver of Fleet owner, same
shall be the full responsibility of Fleet owner.
5. Insurance:
5.1 The Trucks shall be adequately insured to cover Driver/s, Cleaner/s, Vehicle and Third Parties in case of Accidental
Damage, Death, Injuries, Disability, Fire, Hi-Jack, etc.
5.2 The Fleet Owner shall be solely responsible and liable for any loss, damage, injury, death, disability of
driver/s/cleaner/s of the Trucks or any third party. Blackbuck will not be responsible for any such losses/injury.
5.3 The FO will at its own costs, at all times insure and keep itself insured against all liabilities under this contract with a
reputable and financially responsible insurance company.
6. In trip expenses:
6.1 All expenses (like fuel, driver allowance, and toll) will be borne by Fleet owner. The FO shall create an account in the
BOSS platform of Blackbuck and part of the payment under this agreement shall be received by the FO in his BOSS
account and he shall utilize the same for Fuel in accordance with the terms and conditions envisaged thereunder.
7. Tracking GPS and Mobile Handset:
7.1 All trucks should have BlackBuck GPS installed and always kept active
7.1.1 BlackBuck GPS should be installed within first 2 trips of the contract
7.1.2 Installation will be done by BlackBuck partnered mechanics only
7.2 BlackBuck GPS will be installed with no additional cost or expense to the Fleet Owner
7.3 Once GPS is installed and activated, the Fleet Owner can track each truck on the BlackBuck mobile application
7.4 All transit and payment calculations will be done based on Distance Clause.
7.5 Fleet Owner will not tamper/ uninstall the BlackBuck GPS device at any point during the contract.
7.6 Device handover at Contract Termination:
7.6.1 In case the contract is terminated no extra charge would be levied for the next 3 years for using the GPS
device. The truck location can be tracked using the existing Blackbuck Supply App.If the Fleet Owner wishes
to continue using the GPS device, the Fleet Owner will bear all costs and expenses for continued services
from the GPS vendor.

7.7 If the Fleet Owner wishes to continue using the GPS device, the Fleet Owner will bear all costs and expenses for
continued services from the GPS vendor.
8. Claims:
8.1 The Fleet Owner shall be solely responsible and liable for the loss debited on BLACKBUCK by the
Consignor/Consignee/Customer for the loss/theft/damage of in-transit and shipped consignments. FO agrees that
BLACKBUCK shall be entitled to deduct such payments out of the payables to be made to Fleet Owner and to recover
the same.
9. Commercial Terms:
9.1 The commercial terms are mentioned in the Annexure A.
10. Timely Delivery:
10.1 Fleet Owner shall ensure that each vehicle runs minimum of 450 KM per day. In case the respective Truck fails to
traverse 450KM per day or traverse the minimum required Kilo Meters for the given destination in the specified
number of hours then there shall be a penalty on hourly basis of Rs.125/hour for every hour delayed. Transit time
would start from earliest of Advance paid time or Truck leaving loading location and would end when truck enters
unloading location.
11. Availability of Vehicle:
11.1 Fleet owner shall ensure smooth availability of engaged vehicle (s) through the entire month. However 5 free day on
monthly basis for maintenance/leave/service etc. shall be allowed and the leave cannot be carry forwarded to next
month. If vehicle(s) is not available for more than 5 days in a month, then penalty of 5k/extra day (beyond 5 days)
will be levied. In case vehicle becomes unavailable for more than 10 days, FO and BB MS will mutually decide month
end settlement, however final decision taken by blackbuck would be binding.
12. Reporting of truck to Loading point:
12.1 Truck should report to next Loading point within 12 hours of unloading (unless it wants to undergo maintenance or
driver wants to go home). The same shall be informed to Blackbuck 12 hours in advance, post that a delay of each day will
attract a penalty of Rs.5k/day or on pro-rata basis depending on number of hours of delay.
13. Loading of material:
13.1 The Fleet Owner shall ensure that the Drivers of Trucks shall carry instructions of BLACKBUCK and shall follow
designated route, driving parameters, loading parameters, halting, loading/unloading pattern etc.
13.2 The Fleet Owner/Driver/Cleaner shall not carry any unauthorized/goods prohibited by law/contraband. In case it is
found that these are being carried by the Fleet Owner/Driver/Cleaner, then the Fleet Owner shall be solely responsible
and liable for the same. In any such event, BLACKBUCK shall be entitled to terminate this CONTRACT immediately and
take appropriate action against Fleet Owner/Driver/Cleaner
13.3 Second party shall not load any other material than specified by MS team but if any unauthorized/illegal material
loaded with the material of First Party/ its customer than in that eventuality Second Party shall be solely responsible
for the same as well as for consequential expenses arising thereof. In case, First Party finds any other material loaded
with First Party’s materials then Rs. 50,000/- will be levied as penalty on Second Party for those trips in addition to
any loss or damage that may be suffered by First Party due to this.
13.4 Second Party must not exercise any lien on goods during or upon termination and/or expiry of this Agreement,
howsoever occasioned, Second Party shall, in case of any claim or dispute with First Party, promptly deliver the Goods
along with all relevant documents to the First Party.
13.5 FO or his driver should inform BlackBuck immediately at the time of loading in case any defective material is loaded.
Failing which Blackbuck shall not be responsible for the penalty imposed at unloading location.
14. Loadable Weight:
14.1 The vehicle should always be ready to load till the mentioned passing weight and at loading points driver shall ensure
the loading up to the passing weight and if loaded less, then BlackBuck will deduct the difference in freight of actual
weight and the passing weight.
15. Payment process:
15.1 Fleet owner/his driver will execute the payment process (e.g., sending the POD, collecting cash/cheque), as specified
depending on the type of order.
15.2 The final settlement and payment for the month would be done in 5 days from the month completion.
15.3 Payments will be released by Account Payee Cheque/NEFT on monthly basis after deduction of tax deducted
at source as applicable in laws. BB shall issue TDS certificates for such deductions.
16. Payment timelines:
16.1 Variable rate, which is rate paid per km will be paid at the start of the journey based on the Google map distance. The
monthly retention variable will be paid at the time of month end settlement.
16.2 The dry-run compensation, incentives and penalties (if any) and the settlement would be done at the time of month
end settlement.
16.3 In case of TPD (To Pay Driver) order, the future advance will not be paid until TPD amount gets adjusted
completely.

16.4 In case FO is found loading market loads rather than blackbuck load then a penalty of Rs. 50,000 would be
levied and the monthly retention would not be paid.
17. Termination of Agreement:
17.1 In case of unsatisfactory performance by either party, both parties can terminate the agreement before expiry date by
giving 15 Days prior notice. In case to exempt the notice period Rs. 50,000/- per vehicles as penalty will be given by one
party who will not serve the notice.
However, Blackbuck reserve the right to discontinue/hold or terminate the contract at any time without prior notice in case
of violation of any aforementioned clauses or dis-satisfactory performance by Fleet Operator.
18. Inspection: The officers of the First Party will be authorized to inspect the condition of the truck, permits, insurance books
of each truck, up to date vehicle tax paid receipts and driving licenses of the drivers and the Second Party will produce the
said documents for inspection to the officers of the First Party whenever required to do so. If the officer of the First Party
comes to the conclusion that any truck is not of good condition or lacking in any other respect, he can require the Second
Party to take back the said truck for which the Second Party shall not be entitled to any charges."
19. Duration of Contract:
19.1 The contract duration is mentioned in Annexure A. The no. of days in a month considered for the contract is 31 days.
20. Renewal of contract:
20.1 Once the contract is expired, the renewal of the agreement would happen at the new rates offered at that point of time.
The details would be communicated through SMS, Email and acceptance over the same can be considered final for
renewal.
21. Disputes:
21.1 Any disputes or differences whatsoever between Truck Owner and BlackBuck which cannot be settled by mutual
discussions shall be settled in a competent Court of law, for which the Courts at Bangalore shall have exclusive
jurisdiction.
22. Indemnification:
23.1 The Second Party shall indemnify the First Party for all the losses and damages suffered by it due to acts of Second
Party/its agents/drivers/crew.
23. POD Submission Clause:
23.1 POD can be handed over by the driver to BB representative at blackbuck collection offices located at all major cities
in the country. Driver must ensure to get a return receipt from BlackBuck representative unfailingly (with order no.
-if applicable, truck no, shipment date on the return receipt). Without return receipt, driver shall not give the POD.
23.2 Alternatively, POD shall be dispatched to:

23.3 Timeline to submit hard copy of the POD to Blackbuck office and to dispatch courier to above address shall be
maximum 15 days from the day of POD receipt by driver. In case of this not happening post 15 days of POD receipt,
we will put a charge of 20% Freight Amount of that trip taken by the Truck. In case POD not coming beyond 30 days
of POD receipt, we will put an additional charge of remaining 80% of Freight Amount on that Truck.
23.4 Once we receive a valid POD, we will release the relevant charge (20% or 100%) within 7 days of receiving the POD.
Note that in case of PODs coming to us post 30 days of Truck Unloaded, it may take a bit longer to release the payment.
23.5 A permanent POD penalty of Rs. 100 / day will be levied after 15 days of unloading till the penalty amount reaches
20% of the order value.
24. Force Majeure
24.1 Force Majeure, as used herein, shall mean any event, not within the control of the Party affected, which that Party is
unable to prevent, avoid or remove, without fault or negligence, and shall include, but not limited to, the following:
(i) war, whether declared or not, hostilities, invasion, armed conflict, act of foreign enemy, riot, insurrection, strike,
revolution; (ii) acts of terrorism or sabotage; (iii) natural catastrophes including, but not limited to, earthquakes,
floods and exceptionally inclement weather; and (iv) strikes, bandhs, harthals, political insurgencies.
In case of such event as mentioned above the contract will be put on hold for those many days. All such days
will be considered for truck unavailability and BlackBuck shall not pay the fixed amount for those many
days and accordingly the month end would be extended by those many days.
25. Power of Attorney Clause
25.1 This clause would be valid in case the Fleet Operator is incapable of handling financial transactions on his
own and thus he is attaching the vehicle through operator who be handling all his transactions on his behalf as
per the consent given by him. The details are mentioned in the Annexure.
26. Detention Clause:

26.1 Detention will be paid at given rates if there is more than 24 hours of delay. The rates are given in below-mentioned
table for different delay types.

27. Fuel Variation Clause
The base variable rate per km would be increased/decreased depending upon the variation in diesel price as per the below
mentioned table. For this calculation average diesel price of all four metro cities is concerned.

28. Distance Clause:
All payments would be made based on the optimized route* distance between the points. The fleet owner solely agrees on
it and has to abide by the same at the time of month settlement.
*The optimized route distance between any two points would be the route travelled by majority of the trucks between the said
points. For new routes or lanes where data is not available, the distance taken would be Google Mapes Distance.

……………..and as I am incapable of handling financial transactions and operate solely. I/We do hereby appoint and

Attorney in my / our name and on my /our behalf to do any one or all of the following
Acts, deeds and things, namely:
1) Handle payments on my behalf for all transactions pertaining to the truck attached in the Blackbuck Managed services
program
2) Handle all communication with Blackbuck authorized personnel relating to the day to day modalities of running the
trucks attached with Blackbuck – Managed services
3) Take all decisions related to the running of the truck and these can be considered to be binding upon me and I will have
no objection. In case of any disputes Blackbuck will not be held responsible and both parties will operate as per the Managed
services contract signed with Blackbuck.
If there is any dispute between the fleet owner and appointed Attorney, BlackBuck will not have any liability towards the
Fleet Owner. All the dues shall be settled by BlackBuck directly with the appointed Attorney only. Also, the responsibility
of explaining the account statement to the FO would lie upon the appointed attorney.
