ANNEX C

CONTRACT TO SELL
 
KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL, made and executed this 4th day of November, 1994 by and
between:
 
       Spouses JOSEPH L. SAN PEDRO and MARTHAS. SAN PEDRO,of legal age, Filipino, and with
residence and postal address at Lot 4, Block 8, Mayaman Subdivision Atlag, Malolos, Bulacan,
hereinafter referred to as the "SELLER/VENDOR";
 
-AND-
 
       Spouses MARIA M. DELA CRUZ and PEDRO G. DELA CRUZ, of legal age, Filipino and with
residence and postal address at Lot 5, Block 8, Mayaman Subdivision Atlag, Malolos,
Bulacan , hereinafter referred to as the "BUYER/VENDEE".
 
WITNESSETH;
 
        WHEREAS, the SELLER/VENDOR is the absolute and registered owner of a parcel of
land consisting of THREE HUNDRED TWO (302) SQUARE METERS PORTION OF (LOT A-2) OF
A 502-SQUARE METER LOT (LOT A) , located at 386 Maunlad St. Atlag, Malolos, Bulacan and
covered by Original Certificate of Title No. P-9731 issued by the Registry of Deeds of Bulacan;
 
        WHEREAS, the BUYER/VENDEE has offered to buy and the SELLER /VENDOR has
agreed to sell the above mentioned property under the terms and conditions herein below set
forth;
 
        NOW THEREFORE,  for and in consideration  of the total sum of THIRTY THOUSAND
PESOS (Php: 30,000.00) Philippine Currency, and of the covenants herein after set forth
the SELLER/VENDOR  agrees to sell and the BUYER/VENDEE agrees to buy the aforesaid
property subject to the following terms and conditions: 
 
1. The total consideration shall be THIRTY THOUSAND PESOS (Php: 30,000.00) PESOS,
Philippine Currency, payable as follows:

2. Capital Gains Tax and Real Estate Tax, shall be for the account of the SELLER/VENDOR;


 
3. Documentary Stamps Tax, Registration Fee, registration expenses, and all other
miscellaneous fees and expenses shall be to the account of the BUYER/VENDEE;
 
4. Possession to the subject property shall be delivered by the SELLER/VENDOR to
the BUYER/VENDEE upon full payment of the total consideration;
 
5. Upon full payment of the total price, the SELLER/VENDOR shall sign and execute a DEED
OF ABSOLUTE SALE in favor of the BUYER/VENDEE. The SELLER/VENDOR shall likewise
execute and/or deliver any and all documents, including but not limited to the original copy of
Transfer Certificate of Title, Tax Declaration and all other documents necessary for the transfer
of ownership from SELLER/VENDOR to the BUYER/VENDEE.

 
IN WITNESS WHEREOF, the parties have hereunto affixed their signatures, this 4th day of
November, 1994 at Malolos, Bulacan, Philippines.

BENTAHAN NG LOTE AT BODEGA
Ang Kasunduan ng Bilihan na ito ay ginawa at napag-usapan ngayong ika-31 ng Oktubre,1993 sa
Malolos,Bulacan, Pilipinas, sa pagitan nila:

JOSEPH L. SAN PEDRO, Pilipino, may sapat na gulang at naninirahan sa Lot 4, Block 8, Mayaman
Subdivision Atlag, Malolos, Bulacan, na simula dito’y tatawagin na “TAGAPAGBENTA”.

- at –

MARIA M. DELA CRUZ, Pilipino, may sapat na gulang at naninirahan sa Lot 5, Block 8, Mayaman
Subdivision Atlag, Malolos, Bulacan na simula dito’y tatawagin na “BUMIBILI”.

SAMANTALANG, ang TAGAPAGBENTA ay ang rehistradong may-ari ng isang lupa na makikita sa


(LOT A-2) 386 Maunlad St. Atlag, Malolos, Bulacan (mula ngayoy tatawagin na “PROPERTY”), ito ay may
sukat na Dalawang-daan (200) parisukat na metro , humigit kumulang , na nakarehistro sa Registry of Deeds ng
Bulacan.

SAMANTALANG, ang BUMIBILI ay nag-alok sa bilihin ang PROPERTY at ang TAGAPAGBENTA ay


payag na ibenta ang nasabing PROPERTY sa BUMIBILI.

NGAYON, DAHIL DITO, bilang kapalit sa pagbayad ng Dalawang-daang Libong. Piso (P200,000.00),
ang pagkakatanggap ng nasabing pera ng buong-buo galing sa BUMIBILI ay INILILIPAT, at INIHAHATID ang
nasabing lupa, kasama ng lahat ng mga pagpapabuti na matatagpuan doon, SA BUMIBILI, sa kanyang mga
tagapagmana, sa kanyang mga itatalaga at sa kanyang mga kahalili sa interes , ng walang anumang mga prenda o
pabigat. Napagkasunduan din dito na ang BUMIBILI ang syang magbabayad ng Capital Gains Tax at Documentary
Stamp Taxes pati na rin ang lahat ng Transfer Taxes.

Ang Kasunduan ng Bilihan na ito ay ginawa at pinirmahan ngayong ika-31 ng Oktubre,1993 sa Malolos,

Subdivision Atlag, Malolos, Bulacan na simula dito’y tatawagin na “BUMIBILI”.

SAMANTALANG, ang TAGAPAGBENTA ay ang rehistradong may-ari ng isang lupa na makikita sa


(LOT A-2) 386 Maunlad St. Atlag, Malolos, Bulacan (mula ngayoy tatawagin na “PROPERTY”), ito ay may

RE: Demand Letter to Perform Obligations under the Contract to Sell

Dear Mr. and Mrs. San Pedro,

On November 4, 1994, you entered into a Contract to sell with my client over your property located at
386 Maunlad St. Atlag, Malolos, Bulacan and covered by Original Certificate of Title No. P-9731
issued by the Registry of Deeds of Bulacan.

The terms and conditions of the Contract to Sell stated that:

“5. Upon full payment of the total price, the SELLER/VENDOR shall sign and execute a DEED
OF ABSOLUTE SALE in favor of the BUYER/VENDEE. The SELLER/VENDOR shall likewise
execute and/or deliver any and all documents, including but not limited to the original copy of
Transfer Certificate of Title, Tax Declaration and all other documents necessary for the transfer
of ownership from SELLER/VENDOR to the BUYER/VENDEE.”

My client has already provided that amount of FOUR HUNDRED THOUSAND PESOS ( Php.
400,000.00) as purchase price as well as THIRTY THOUSAND PESOS (Php. 30,000.00)
indicated on the above mentioned contract.

On behalf of my client, we are now demanding the execution of a deed of absolute sale and
perform the obligations stated under the Contract to Sell.

Failure to execute the above mentioned deed, will result into exercise of whatever rights and
remedies we have under the law to enforce such obligation, including but not limited to
institution of legal proceedings against you.

COMPLAINT

COMES NOW the plaintiff, MARIA M. DELA CRUZ, through the undersigned and unto
this Honorable Court, most respectfully states:

1. That the plaintiff MARIA M. DELA CRUZ, is of legal age, Filipino, married to PEDRO G.
DELA CRUZ, and with residence and postal address at Lot 5, Block 8, Mayaman
Subdivision Atlag, Malolos, Bulacan, where he can be served with summons and
other processes of this Honorable Court;

2. That the plaintiff PEDRO G. DELA CRUZ, is of legal age, Filipino, married to MARIA M.
DELA CRUZ, and with residence and postal address at Lot 5, Block 8, Mayaman
Subdivision Atlag, Malolos, Bulacan, where he can be served with summons and
other processes of this Honorable Court;

3. That the defendant, JOSEPH L. SAN PEDRO, of legal age, married to MARTHAS. SAN
PEDRO, Filipino, and with residence and postal address at Lot 4, Block 8, Mayaman
Subdivision Atlag, Malolos, Bulacan;

4. That the defendant, MARTHAS. SAN PEDRO, also of legal age, married to JOSEPH L.
SAN PEDRO, Filipino, and with residence and postal address at Lot 4, Block 8,
Mayaman Subdivision Atlag, Malolos, Bulacan;
5. That on 04 November 1994, the plaintiff entered into a Contract to Sell a Parcel of Lot
with Spouses San Pedro, covered by OCT No. P-9731 which was issued in the name of
the latter by virtue of Free Patent No. 031416-96- 9126 and executed a contract to sell
herein attached as “Annex C”;

6. That prior thereto defendants executed two (2) handwritten documents entitled bentahan
ng lote at bodega dated 3rd of January, 1993 and 31st of October, 1993 respectively
copies of which are hereunto attached as Annexes A and B;

7. The contract stated that the defendants sold to the plaintiff a 302 square meter portion
(Lot A-2) of a 502-square meter lot (Lot A) for P30,000.00;

8. That the plaintiff in 2006, sent a demand letter to Spouses San Pedro, demanding them
to execute a deed of absolute sale that reflects the conveyance of Lot A-2 to them
(Spouses Dela Cruz).The copy of the demand letter is attached herein as “ANNEX D”

9. That the defendant in a reply-letter, told the plaintiff that there was an “honest mistake” in
the sale of the property and offered to return the purchase price.

10. That the plaintiff in 2012, sent another demand letter to Spouses San Pedro, demanding
them to execute a deed of absolute sale that reflects the conveyance of Lot A-2 to them
(Spouses Dela Cruz).The copy of the demand letter is attached herein as “ANNEX E”

11. That in fact, the matter has been referred to the Barangay for possible settlement/or
conciliation of the dispute, but to no avail;

12. That the plaintiff demands to perform the obligations set under the Contract to sell over
the property above mentioned and wishes to invoke her right under the following
provisions:

Under Article 1159 of the Civil Code of the Philippines provides that:

'Obligations arising .from contracts have the force of law between the contracting parties
and should be complied with in good faith. '

Likewise, Article 1170 of the Civil Code of the Philippines [provides] that:

'Those who in the performance of their obligations are guilty of fraud, negligence, or
delay, and those who in any manner contravene the tenor thereof are liable for
damages. '

13. That by reason of Defendant’s unjustified failure to perform their obligation the Plaintiff,
despite repeated demands, Plaintiff was constrained to engage the services of counsel
for a fee of TEN THOUSAND (Php10,000.00) PESOS plus ONE THOUSAND FIVE
HUNDRED (Php1,500.00) PESOS per court appearance as actual damages;

14. That Plaintiff suffered moral damages due to sleepless nights and anxiety in the
amount of TEN THOUSAND (Php10,000.00) PESOS;

PRAYER

IN LIGHT OF THE FOREGOING, it is most respectfully prayed of this Honorable Court


that after due notice and hearing, judgment be rendered in favor of Plaintiff and against
defendant ordering the latter, as follows:

1. To perform their obligations under the Contract to Sell;

2. To pay for moral and actual damages

3. The cost for attorney’s fees

Plaintiffs likewise pray for such other reliefs as are just and equitable under the
premises.
