SERVICE AGREEMENT

The agreement is made on this 06th of January 2010 by and between Art of
Middle East (FIRST PARTY) *add address and Amame International Trading &
Contracting *add address (SECOND PARTY).

That in consideration of the mutual covenants and agreements to be kept and

performed on the part of said parties hereto, respectively as herein stated, the
Parties Agree:

1) Second Party will do sale and marketing of the commercial break slot for
the TV show named Gulf Stars Sing & Show ( hereinafter to be called as
‘TV Show’) to be produced by the First Party.
2) The First Party will not approach any other parties for sale and marketing
of the commercial break slot of the TV Show. All the sale and marketing of
the commercial break slot for the TV Show shall be done exclusively
through the Second party only.
3) The commercial break slot shall comprise of advertisements and banners.
4) In addition to the above sale and marketing of the commercial break slot,
second party shall also have to arrange sponsors for the prize to be given
to the winners of the TV show.
5) All the expenses incurred while doing the marketing activities must paid by
first party within 2 days of submission of invoices.
6) The first party must provide transportation and other amenities as
described in Schedule1.
7) 15% of the approx profit shall be provided to Mr. Sabu in cash at the
beginning of the TV show.
8) The fee for the services to be provided by the Second Party shall be 25%
of each of the Advertisement, banner etc shown during the commercial
break slot of the TV Show and it shall be paid upon delivery of the cheque
by the advertiser to the First Party.
9) In case of breach of this Agreement, the First Party shall pay Sar 50,000/--
to the Second Party.
Project Schedule

Parties must work together to complete the project in a timely manner. First Party should
provide appropriate information and feedback to the Second Party as and when required.
Second Party agrees to work diligently to complete these projects in a professional and timely
fashion.

Design Credit

Second Party shall do the design and development of marketing materials for the TV Show and
the First Party agrees for inclusion of these items in their portfolio.

Project Process and Work Flow

The initial design concepts will be based on the information to be provided by the First Party in
the “Marketing Services Creation Worksheet”.

Arbitration

Any disputes between the parties will be resolved amicably. In case of failure to resolve any
disputes in the said manner, the same shall be decided by a sole Arbitrator appointed by the
consent of both Parties. The said Arbitrator is being fixed hereby as Sabu Sir. The Language of
Arbitration shall be English and the venue will be Riyadh, Saudi Arabia.

Sole Agreement

The undersigned hereby agree to the terms, conditions, and stipulations of this agreement on
behalf of his or her organization or business.
