LICENCE AGREEMENT

PLEASE, READ VERY ATTENTIVELY!

This License Agreement (further The License) is a legal document regulating The
relations between Public COMPANY "IBIK" (further The Legal Owner), and you (a physical or
legal body) for using the software The Multiuser Expansion ASTER for Windows 2000/XP,
components and updatings of this software (further Program ASTER). The agreement is valid
according to article 14 of The Law of The Russian Federation of September, 23rd, 1992 № 3523-1
“On the Copyright Protection Of Programs For Electronic Computing Machines and Databases”
(Закон Российской Федерации, статья 14, от 23 Сентября 1992 года, № 3523-1 “О Правовой
Охране Программ для Электронных Компьютеров и Баз Данных”).

WHEN INSTALIING, COPYING OR OTHERWISE USING PROGRAM ASTER, YOU ACCEPT

CONDITIONS OF THE THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE WITH CONDITIONS,
PLEASE DO NOT INSTAL AND DO NOT USE PROGRAM ASTER. IN THIS CASE YOU CAN RETURN
THIS SOFTWARE TO YOUR SELLER AND RECEIVE A FULL REFUND.

1. General

1.1 Program ASTER includes a set of program modules of The Multiuser

expansion ASTER recorded on any kind of media accompanying text and graphic
materials in a printed and electronic format, software means of installation and
customization of Multiuser expansion ASTER.

1.2 Updatings of Program ASTER given by The Legal owner (new versions) are
considered an integral part of Program ASTER.

1.3 Program ASTER is licensed as a single product. Its constituent parts cannot be
separated for use on more than one computer.

1.4 When installing Program ASTER on your computer, you undertake obligations to
meet the conditions of The License. If you do not agree with License conditions, then
you are not entitled to install and use Program ASTER.

1.5 Program ASTER is provided for use ("licensed”) but not sold. All Property Rights
and Copyrights to Program ASTER and its components belong to The Legal owner -
Open Company "IBIK" (INN 5026002770). The Copyrights to Program ASTER are
protected by The Law of The Russian Federation on Copyrights. The certificate on official
registration of software № 2007613225 was issued by The Russian Agency On Patents and
Trade Marks (ROSPATENT) on July 31st of 2007, under application № 2007612922 of July
17th of 2007.

1.6 All Property Rights and Rights to Intellectual Property concerning the informative
part that is not contained in Program ASTER, but to which Program ASTER gives
access, belong to The Owner of the informative part and protected by laws and The
International Agreements on Copyrights or The Rights to Intellectual Property.

1.7 Program ASTER requires activation by means of an Individual Serial Number

specified in the corresponding certificate (further The Authenticity Certificate).
Activation of Program ASTER is performed once for an unlimited term using The Remote
Activation provided by The Legal owner (furTher Remote Activation). The Activation is
considered performed upon reception of The Valid Key of Activation of Program ASTER by
you (further The Activation Key). The Activation Key is valid for hardware of your
computer. In case of replacement of hardware of your computer it may be necessary to
repeat activation of Program ASTER. You shall be responsible for saving and
nondisclosing The Key of Activation and Individual Serial Number of Program ASTER
given to you.

1.8 Program ASTER requires another Remote Activation in case of it being

installed on another computer. The present License gives you the right to execute
Remote Activation of Program ASTER no more than 4 (four) times (further Quantity
of Activations).

1.9 This License gives you a one-time right to use Program ASTER before
performance of Remote Activation during 10 (ten) days from the moment of the first
start-up of Program ASTER on your computer (further The Trial Period). After The
Trial Period, Program ASTER can be started up only after performance of Remote
Activation.

1.10 If you have the original Certificate of Authenticity with individual serial
number of Program ASTER, it confirms your right to use Program ASTER under the
terms of this License.

1.11 For legal bodies an additional License Certificate which is issued separately is
confirmation of their right to use the given version of Program ASTER. The Certificate
of Authenticity does not substitute for The License Certificate and does not give the
right to legal bodies to instal and use the given version of Program ASTER.

2. CONDITIONS FOR GRANTING THE LICENSE.

2.1 You are entitled to install and use Program ASTER on one computer.

2.2 You have the right to transfer (to install repeatedly) Program ASTER onto other
computer no more than the quantity of times provided by Quantity of Activations, if you
accept conditions of The License at the moment of transfer and in the presence of the
original Certificate of Authenticity of Program ASTER. The previous installed copy of
Program ASTER is to be deleted from the computer. Simultaneous use of two and more
installed copies of Program ASTER activated by one individual serial number is
inadmissible.

2.3 You can grant the right to use Program ASTER to other persons only if Quantity
of Activations is maintained in full and only together with the original Certificate of
Authenticity of Program ASTER and other accompanying documents, including the
purchase receipt, provided you do not keep for yourselves any copy of Program ASTER
and its components in any format, and the recipient accepts all conditions of The License.

2.4 This License cannot simultaneously be used on two and more computers.

2.5 You cannot lease, sell or provide Program ASTER, its copy or any constituent
part for temporary use, except the case when you sell the licensed copy of Program
ASTER and simultaneously transfer the right to use it under clause 2.3 of the present
License.

2.6 You may not disclose the technology and decompile Program ASTER , modify
Program ASTER and Remote Activation System except the case and only to the extent
that such actions are permitted under the laws in force.
 2.7 You have the right to make a copy of Program ASTER provided this copy is
intended only for the archival purposes and for replacement of a legally obtained copy in
cases when the original was lost, destroyed or became unsuitable for use. The copy
specified in this clause cannot be used for other purposes and is to be destroyed when
possession of a copy of Program ASTER ceases to be lawful.

2.8 You have the right to sell your copy to a person accepting conditions of this
License, in this case you cease to be the lawful owner of the copy of Program ASTER.
You are obliged to destroy all your copies of Program ASTER, including the archival copy.

2.9 You have the right to sell your copy to a person accepting conditions of this

2.10 If the obtained copy of Program ASTER is an update, you are entitled to install and use this
update only on the computer where the previous copy ofProgram ASTER used to be installed after it has
been deleted.

2.11 You may not decompile and/or modify Program ASTER.

2.12 You cannot use Program ASTER for instalation on a quantity of computers
bigger than Quantity of Activationsspecified in The License certificate.

2.13 You cannot lease, sell or provide Program ASTER for temporary use.

2.14 You cannot divide Program ASTER into components for their use on different
computers.

2.15 Legal owner and-or their partners are not liable for any damage connected with use
or impossibility of use of Program ASTER.

2.16 When operating with other software products you must honor The Licence Agreement
which accompanies this software product, observe it conditions and copyrights of the other
Legal Owner.

2.17 User should take into account the fact that computer stations based on Program
ASTER under license contracts with other manufacturers may be provided with additional license
agreements..

2.18 Program ASTER does not require connection of additional workstations, terminals, computers or other
devices, including those effected through any indirect, «multiplexing» or other software or hardware, which allows
collective access
or successive connection.

2.19 You have no right simultaneously to use different versions of Program ASTER.

2.20 You are liable for any illegal use of software products of other developers,
graphic representations, texts and other objects of the copyright, access to which is given
by Program ASTER. For software products of other delevopers, in case of use of these
software products together with Program ASTER, additional licences according to licence
agreements on these software products may be required.

2.21 Legal owner can terminate this License in case of non-observance of its stipulations
and conditions by you. Upon cancellation of The License you are obliged to destroy alll
copies and components of Program ASTER at your disposal.

2.22 This Licence Agreement does not give you any rights concerning any trade marks
belonging to The Legal owner.

2.23 Legal owner reserves all rights which are not given to you on this Licence
Agreement.

3. TECHNICAL SUPPORT OF PROGRAM ASTER.

3.1 Legal owner provides you with technical support of Program ASTER in the
volume estabilished in the conditions of using of your version of Program ASTER, issued
by The Legal owner.

3.2 You have the right to contact the service of technical support of Program ASTER
by means of an Internet Forum of The Legal owner and by e-mail. Also you have the
right to receive updatings of Program ASTER with the help of the updating delivery
systems provided by The Legal owner.

3.3 Legal owner carries out technical support of Program ASTER in the form of
consultations or issue of updatings.

3.4 Legal owner reserves the right to impose additional restrictions on using of
Program ASTER, to make any changes and additions to Program ASTER, not worsening
qualitative characteristics of this software.

3.5 In case of termination of Program ASTER production The Legal owner shall
provide you with technical support until the Program ASTER guarantee period expiry.

4. GUARANTEE CONDITIONS.

4.1 Legal owner guarantees that Program ASTER will function in all essential
aspects according to the written materials accompanying it during 90 days from the date of
its receipt providing observance of the conditions of operation established by The Legal
owner.

4.2 Your protection means may be, at the choice of The Legal owner, either to
refund in full the paid sum or to replace Program ASTER which does not meet
requirements established by the limited Developer’s Guarantee. In any case Program
ASTER of inadequate quality should be returned to Legal owner together with the
original Certificate of AuThenticity and a copy of the purchase receipt.

4.3 Developer’s Guarantee is void, if damage of Program ASTER, including damage

of the original Certificate of AuThenticity, is caused by an accident, inadequate
exploitation or misuse, and in the case of loss of the original Certificate of AuThenticity.

4.4 ONLY THOSE GUARANTEES WHICH WERE FORMULATED ABOVE ARE EXCLUSIVE.
AND OTHER GUARANTEES, IN WRITTEN OR ORAL FORM, CAN NOT BE USED OR IMPLIED
TO THE EXTENT STIPULATED IN THE APPLICABLE LEGISLATION. YOU ARE RESPONSIBLE
FOR ANY USE OF PROGRAM ASTER AND THE WRITTEN MATERIALS ATTACHED TO IT.

4.5 LEGAL OWNER PROVIDES THE PRODUCT AND TECHNICAL SUPPORT SERVICES
ON CONDITIONS "AS BUILT", WITH ALL MALFUNCTIONS IN THE MAXIMUM DEGREE
STIPULATED BY THE APPLICABLE LEGISLATION. THE LEGAL OWNER SHALL NOT GRANT
ANY OTHER DIRECT OR IMPLIED GUARANTEES WHICH INCLUDE IN ADDITION TO THE
ABOVE GUARANTEES OF MARKETABILITY AND SUITABILITY FOR A SPECIFIC PURPOSE,
GUARANTEE OF NON-VIOLATION OF COPYRIGHTS, GUARANTEES OF ABSENCE OF
MALFUNCTIONS AND NEGLIGENCE WHEN DEVELOPING, RELATED TO PROGRAM ASTER
AND THE WRITTEN MATERIALS ATTACHED TO IT.
 4.6 TO THE MAXIMUM DEGREE STIPULATED BY THE APPLICABLE LEGISLATION, THR
LEGAL OWNER SHALL NOT BE LIABLE FOR ANY LOSSES (INCLUDING IN ADDITION TO
THE ABOVE, DIRECT OR INDIRECT LOSSES AS A RESULT OF INFLICTING BODY INJURIES,
NON RECEIPT OF INCOME FROM ECONOMIC ACTIVITIES, FORCED DOWNTIME IN
ECONOMIC ACTIVITIES, LOSSES OF BUSINESS INFORMATION OR CAUSING ANY OTHER
KINDS OF PROPERTY DAMAGE), FOLLOWING THE USE OR IMPOSSIBILITY OF USE OF
PROGRAM ASTER, EVEN IN THE EVENT WHEN THE LEGAL OWNER HAS BEEN WARNED
ABOUT POSSIBILITY OF THESE LOSSES.

4.7 Liability of The Legal owner under any provision of this License Agreement is
limited to the amount which you have actually paid for Program ASTER.

5. FINAL PROVISIONS.

5.1 This License Agreement cannot be construed as an establishment between you

and The Legal owner of contractual relations on any other issues not provided directly by
The Agreement. Such relations can be established under additional contracts between The
Legal owner and you.

5.2 Should a court rule any provision of this License Agreement invalid or impractical,
such a ruling shall not entail invalidity or impracticability of other positions of The License
Agreement.

5.3 In case of infringement of provisions of The License Agreement by you The Legal
owner has the right to undertake actions for protection of its interests according to the
current legislation.
