Computer/Network Security Auditing and Penetration Testing Services Agreement

This Agreement for Professional Services (the "Agreement"), with an effective date of
______________________ is by and between Recordsoft, LLC, a Connecticut corporation
with its principal office at 2 Pomfret Road, Eastford, CT 06242 and
____________________________________________________________ (Client).

Recordsoft will provide computer and network security auditing to identify and report
security vulnerabilities. Additional services may include continuous monitoring of systems,
acceptable technology usage documentation and employee security awareness training. The
Client understands Computer/ Network/Internet security is a continually growing and
changing field and testing by Recordsoft does not and cannot mean the Client is secure from
every form of attack.

Recordsoft’s testing procedures do not require the opening, reading or transfer of data files.
Therefore, Recordsoft will not have access to any Client data.

The parties acknowledge and agree Recordsoft shall retain all right, title, and ownership in
and to all Recordsoft property, including but not limited to computer agents, all copyright,
trade secret, and any other intellectual property rights pertaining thereto. Recordsoft hereby
grants to Customer a royalty-free, non-exclusive license to use, reproduce, redistribute, and
modify the Recordsoft property solely to the extent necessary for Client’s internal use for the
duration of their relationship with Recordsoft.

Client will provide reasonable cooperation to Recordsoft in providing access, taking actions,
contacting other service providers and executing documents, as appropriate, to help
Recordsoft perform the Services. Client acknowledges Recordsoft’s performance and
effectiveness may be dependent on Client's timely and effective cooperation.

The Client will provide Recordsoft with information required to perform the tests and the
Client hereby warrants all information provided is true and accurate and the Client owns or
is authorized to represent the owners of the computers and systems described.

Recordsoft and the Client have imparted and may from time to time impart to each other
certain confidential information relating to each other’s business, specifically information
about the Client’s computer systems and security situation. Each party agrees it shall use
such confidential information solely for the purposes of the service and shall not disclose
directly or indirectly to any third party, other than those designated by the Client as a
technical contact, such information either expressed or otherwise, unless required by law.
Upon termination or expiration of this Agreement, each party's rights to use or possess
Confidential Information automatically terminate immediately. Each party will return, or at
the other party's request provide verification of destruction of, any copy of any the other
party's Confidential Information it may possess.
Fees:

Installation, initial scan and assessment $425 + $15 per computer

plus 30 days of daily monitoring

Daily monitoring, notification, security $8 per computer per month (annual

awareness training & web portal contract required)

Technology Usage Policy w/ employee $650 + $100 per year
