Question 11(b): The Board of Player Representatives of the NFLPA formed the National Football League Players
ncorporated (NFL PLAYERS) and has obtained exclusive rights to player group licensing rights. NFL PLAYERS derives
revenue primarily from licensing their name, logo and player rights, along with other sports marketing activities. 1133 20th
Street Building Corporation and NFL Players Challenge, nc. (Players Challenge) are wholly-owned subsidiaries of NFL
PLAYERS. The Players Challenge was formed to purchase an interest in the Quarterback Challenge event formerly
owned by NFL Properties. The 1133 20th Street Building Corporation was formed to purchase land and the building at
1133 20th Street, N.W., Washington, D.C. NFL PLAYERS and 1133 20TH Street Building Corporation and included and
consolidated into the LM2 at February 28, 2011.
Question 12: Calibre CPA Group, PLLC performed an audit of the financial statements for the year ended February 28,
2011 in accordance with auditing standards generally accepted in the United States of America.
Question 15: The Association disposed of obsolete equipment that maintained a cost of $110,653 and accumulated
depreciation of $108,863 at the date of disposal.
Schedule 4 also includes fixed asset purchases of $122,131 that were included in deposits at the end of the prior year
rather than in fixed assets.
Question 16: The mortgage held on the building at 1133 20th Street, Washington, DC is secured by a deed of trust on the
building and assignment of the tenant leases and rents. The note is unconditionally guaranteed by NFL PLAYERS. n
addition, NFLPA has pledged and set aside, in trust, $50 million for use in support of its members.
Question 17: The NFLPA and NFL PLAYERS have been named defendant or co-defendant in a number of other legal
actions. n the opinion of the
General Counsel and management, these lawsuits will be resolved with no material impact on the NFLPA or its
subsidiaries.

Loans Receivable Begin Total: The beginning balance of loans receivable changed to properly allocate prior year
repayments for one loan between principal and interest.
Schedule 13, Row1: An active player was any person who was employed as a professional football player by a member
club of the NFL, including any player who was a party to a NFL Player Contract or a player who was actively seeking
employment as a professional football player.
Schedule 13, Row2:Column (A); A former player member is any person who has been an active player in the NFL by
virtue of his signing a NFL contract. n addition, these are dues paying members. These members do not have voting
rights because, as a matter of federal law, they cannot be members of the collective bargaining unit.
Schedule 13, Row3: Associate members are players signed to Practice Player Contracts and pay a fraction of the regular

Question 71: The Association does not have a Secretary-Treasurer. The Executive Director is the principal administrative
officer and signs the form in lieu of a Secretary-Treasuer.
Schedule 11: During the year ended February 28, 2011, appearance and autograph fees, along with licensing royalties
and dues rebates were paid to several Executive Committee members. Those fees are included in Column (G). n
addition, costs of non-board member travel for attendance at the Board of Player Representatives meeting, as authorized
by a resolution of the Board of Players Representatives, are also included in Column (G). Executive Committee members
receive no compensation for their services as Executive Committee members.
Schedule 12: The association paid for temporary housing and relocation expenses for new employees. These amounts
are included in Column (G).
Schedule 15 includes amounts attributable to expenses for Member benefits that the NFLPA has elected to maintain as
confidential pursuant to the LM-2 instructions. The NFLPA and NFL PLAYERS entered into a employment contracts with
the Executive Director and Chairman, respectively, that employs him for the period March 15, 2009 through March 14,
2012. The employment contract with NFL PLAYERS established a Grantor Trust, which will be funded on an annual basis
with the NFL PLAYERS salary amounts. This amount is included in
Schedule 20 benefits under nonqualified deferred compensation plan. The Grantor Trust assets are included on
Schedule 7, Other Assets and the liability is included on
Schedule 10, Other Liabilities.
