PHOENIX COYOTES SEASON TICKET LICENSE TERMS AND CONDITIONS By tendering payment for or accepting Phoenix Coyotes season

tickets (Tickets), Licensee expressly agrees to be bound by the following terms and conditions of this nonrenewable and revocable license (License): 1. License. Licensee agrees and acknowledges that each Ticket is a limited nonrenewable and revocable license and all Tickets and rights attached thereto are owned by the Phoenix Coyotes (Team). For pre-season and regular season Phoenix Coyotes home games, the License permits the person presenting the Ticket (Bearer) the right to enter the publicly-accessible areas of Jobing.com Arena (Arena) at times determined by the Team, attend the game identified on the Ticket, and sit in the seat location identified on the Ticket. Tickets are issued at the Teams sole discretion and may be revoked by Team at any time with or without cause. Playoff Games, NHL All-Star Game, and Other Events. This License does not entitle Licensee admission to Playoff Games, the National Hockey League (NHL) All-Star Game, or any other events at the Arena. Any opportunity granted by the Team to purchase Tickets to Playoff Games, the NHL All-Star Game, or any other events at the Arena, is a privilege revocable, at any time, in the Teams sole and absolute discretion. The purchase of Playoff Games, the NHL All-Star Game, or any other events at the Arena shall be subject to the terms and conditions as set forth, from time to time, by the NHL, Team, Arena, or event promoter. Renewal for Future Seasons. This is a nonrenewable license. Licensee acknowledges and agrees that it neither has a reasonable expectation to renew the License, nor any right or privilege, implied or otherwise, to renew the License. Any opportunity granted by the Team to renew the License is a privilege revocable, at any time, in the Teams sole and absolute discretion. No Refunds. All sales are final. No refunds or exchanges will be given. Payment. Licensee agrees and understands it must pay all invoices in full on or before the due date. Failure to do so shall constitute a material breach of this License. Transfer. Licensee may not assign or transfer in any manner its Tickets, account, and any rights to another party without the express written consent of the Team, which consent may be withheld in Teams sole and absolute discretion. Any violation of the previous sentence shall constitute a material breach of this License. Team may freely assign or transfer this License without Licensees consent. Resale. Any sale or resale of Tickets must be done in accordance with applicable law or regulation. The resale or attempted resale of Tickets in a manner or at a price in violation of this License or any applicable law or regulation shall constitute a material breach of this License. Licensee may resell its Tickets via Coyotes TicketExchange. Resale credit from TicketExchange must be applied to Coyotes Playoff Games or future NHL seasons. Advertising and Promotions. Tickets may not be used for contests, sweepstakes, or other trade or promotional purposes without the prior express written consent of the Team. Violation of this paragraph shall constitute a material breach of this License. Bearer Conduct. While on Arena property, the Bearer agrees to comply with all applicable local, state, and federal laws, as well as all the rules or regulations adopted from time to time by the NHL, Team, or Arena (including the rules printed on the back of each ticket). Violation of this paragraph shall constitute a material breach of this License.

10. Material Breach and Violation of License. In the event Licensee materially breaches this License, the Team shall have the right to terminate this License. Should the Team terminate the License due to a material breach of the Licensee, Licensee shall forfeit all monies paid to the Team and Licensee agrees to pay the Team liquidated damages in the amount equal to the balance on the Licensees Ticket account at the time of termination. The liquidated damages shall be immediately due and payable to the Team. Furthermore, the use

of any Ticket in violation of this License, with or without the knowledge of the Licensee, is the sole responsibility of the Licensee, who shall remain absolutely and unconditionally responsible for any violations of the License and material breach of this License. Accordingly, the Licensee should control and supervise the use of all Tickets so that the License is not violated or materially breached. The Team reserves the right to investigate violations and/or alleged violations of the License. The failure of the Licensee or any person in possession of the Tickets to cooperate with any investigation constitutes a material breach of this License. The Team is not obligated to reinstate a Ticket account that has been terminated due to any material breach by the Licensee. 11. Lost or Stolen Tickets. The Team is not responsible for lost or stolen tickets. Replacement tickets may be issued at the Teams sole discretion. Stolen tickets will only be replaced upon written request of Licensee accompanied by a police report. In the event of replacement, the replacement ticket will be honored and the original Tickets will be disabled. 12. Search of Person and Personal Belongings. The Bearers belongings may be searched upon entry of the Arena. The Bearer of the Ticket consents to such searches and waives any related claims that may arise against the Team. If the Bearer of the Ticket elects not to consent to these searches, the Bearer will be denied entry into the Arena. 13. Assumption of Risk/Waiver of Liability. Licensee agrees on its behalf, as well as on the behalf of any Bearer, to voluntarily assume all risks and dangers incident to attending a game of hockey whether occurring before, during, or after the game, including but not limited to all personal or property injury or death caused by or related to pucks, sticks, hockey equipment, promotional items, or other projectiles. Licensee agrees on its behalf, as well as on the behalf of any Bearer, that the Team, the Arena, the NHL, the City, and their agents, employees, owners, partners, trustees, and related entities are not responsible for any such injuries. 14. Indemnification. Licensee and Bearer shall indemnify, defend, and hold harmless Coyotes Newco, LLC, Arena Newco, LLC, City of Glendale, the NHL, the member clubs of the NHL, NHL Enterprises, L.P., NHL Enterprises Canada, L.P., the NHLPA and current and former players, and each of their affiliates, parents, related entities, owners, governors, officers, directors, partners, partnerships, principals, employees, and their respective partners, officer, agents, and employees, successors and assigns from and against any and all claims, suits, causes of action, damages, losses, liabilities, costs and expenses (including without limitation, reasonable attorneys fees and court costs) of any kind whatsoever (collectively Claims) arising out of or in connection with the Licensees, Bearers, or their agents, employees, guests, assigns, or transferees (i) use of the Tickets and/or seats, (ii) breach of this License, or (iii) act or omission, neglect or wrongdoing. Licensee and Bearer agree and understand that this section shall survive the termination of this License. 15. Terms and Conditions Subject to Change. The Team reserves the right at any time, and without prior notice, to modify, amend, or supplement the terms and conditions of this License and the terms and conditions with respect to the purchase of Ticket(s). 16. Notices. The Licensee is obligated to promptly notify Team of any change of address, phone number, or account status. Such notice must be in writing and shall include the signature of the Licensee if an individual or the authorized officer if a legal entity. All written notices by Licensee shall be mailed to Coyotes Newco, LLC, Attn: Season Ticket Sales, 6751 N. Sunset Boulevard, #200, Glendale, AZ 85305 or faxed to (623) 872-2000. 17. Choice of Law. This License shall be governed by and construed in accordance with the laws of the State of Arizona without regard to choice of law principles. Licensee consents to the exclusive venue and jurisdiction of the Superior Courts of Arizona, Maricopa County.
