July 2011 Terms and Conditions for Bat-Yam's Facebook Contest Bat-Yam municipality announces on conducting a contest amongst

its Facebook page fans. 1. Definitions: a. The "Promoter" - Bat-Yam municipality. b. The "Administrator" - Mr. Erez Podemski Shaked and/or Mr. Or Shinhertz and/or Mr. Amos Meron. c. "Facebook page" - The promoter's Facebook page at: www.facebook.com/batyamtelaviv d. "Award" - A plane ticket + accommodation for 3 nights. e. "E-mail" - the administrator's e-mail address : tourbatyam@gmail.com f. "Participants" - Bat-Yam's Facebook page fans, 18 years aged or older, American \ European \ Russian residents only. g. Schedule: Contest starting on July 21st 2011 and ending on December 1st at midnight. The promoter retains the right to shorten/extend or alter the contest conditions and terms including closing date without prior notification. A notice will be given on the Facebook page sometime close to the date of the change. 2. Will not participate: Israeli residents; the promoter, the administrator and their managers, partners, employees and families; any person or organization that does not meet the definition of participant as stated (all or some). 3. Participating a. No purchase is necessary to participate in this contest. b. By submitting an entry, participants acknowledge their acceptance and understanding of these rules. c. During the contest, fans will upload their photo which was taken in Israel to the Facebook page. d. Each participant may enter one or as many photos or comments as one wishes. e. The participant must upload only photos of his/her own. f. The winner of the contest is the participant that received the most votes for his/her photo on the promoter's Facebook page. g. The promoter retains the right to cancel on his sole discretion the the winning of the first place, reward the second place instead, and so on.

h. The participant must enter the location where the photo was taken. i. Incomplete entries will be disqualified. j. The promoter is not responsible for the contents uploaded by its fans, but is eligible at anytime to remove photos and comments that are/may be considered offensive to others. k. Any false information provided within the context of the contest by any participant concerning identity, mailing address, telephone number, email address, ownership of rights or non-compliance with these rules may result in the immediate elimination of the participant from the contest. l. The promoter further reserves the right to disqualify any participant who tampers with the submission process or any other part of the contest. Any attempt by a participant to deliberately damage any web site or undermine the legitimate operation of the contest is a violation of criminal and civil laws. Should such an attempt be made, the promoter reserves the right to seek damages from any such participant to the fullest extent of the applicable law. 4. Award a. The announcement of the winner will be published on the Facebook page, at the end of the contest and by the end of year 2011. b. By claiming the award, the winner authorizes the use, without additional compensation, of his/her name and photo for use in promotional/advertising efforts in any medium (including and without limitation, radio broadcasts, newspapers and other publications in television or film releases, slides, videotape, and distribution over the internet) which the promoter may deem appropriate. c. The winner cannot transfer the award rights to any third party, neither cash it nor exchange it, without the full agreement of the administrator and the promoter. d. The administrator will send the notification to the winner through his/her Facebook profile and will make up to 3 attempts for contact. e. In case clause 4.d. fails within 14 days from the last attempt, the winner will be denied of the award, it will be delivered to the runner up instead, and so on. f. Proof of identity and of being in Israel before must be produced on request. g. The promoter retains the right to cancel on his sole and unfettered discretion participation and/or winning, in case of violating these rules or any justice.

h. For the avoidance of doubt, the promoter/administrator or whoever on behalf of them will not pay for any expense derived from executing the award and/or its expiration. i. Decision of the winner is final. No correspondence regarding objections will be accepted. j. Any tax liability, if to occur, will be debited on the winner. In case the promoter will be charged with any tax liability by law, as a result of delivering the award, it will be eligible to demand the amount from the winner or to deduct the amount from the winning, as the promoter chooses. 5. In cases that data/photos/messages/comments are not received as a result of an internet/communication or any technological failure that affects directly or indirectly on the proper progress of the contest in any way and/or the participation of fans, they will not have any complaint, claim or demand to the promoter/administrator or whoever on behalf of them. 6. The promoter/administrator or whoever on behalf of them will not receive any complaint, claim, demand or charge with any expense, resulted from a direct or indirect damage from the participation, or lack of it, in the contest. 7. The promoter retains the right to execute his rights as declared in these rules, and/or change the terms and condition from time to time, and/or stop the contest at anytime, all in its sole and unfettered discretion and by law. A notice for any of these changes will be given on the Facebook page sometime close to the date of the change. 8. This contest is subject to all Israeli laws. These rules shall be governed by, subject to, and construed in accordance with the laws of Israel. In case of a dispute regarding the contest, it will be sentenced in Tel-Aviv, Israel venue only. 9. If any provision(s) of these rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. 10.For the avoidance of doubt, the contest is held for gaming purposes purely, and will not be considered as a raffle as defined in The Penalty Law (TASHLAZ 1977) since the winning does not depend on luck or fate. 11.The contest and/or these rules are not a proposal from the promoter to the public or participants. They are used as an invite only to participate under these terms and conditions. 12.In any case of contradiction and/or mismatch between these rules to other publications of the contest, these rules will overpower. 13.In case of an event which is not under the control of the promoter, including a present or future security situation, and the promoter finds it necessary to postpone the contest, it will be eligible. 14.The promoter reserves the right at his sole discretion to cancel, terminate, modify or suspend the contest.
