BUSineSS develOPment 2009


In 2009, our business was shaped by the economic crisis and the integration of Ciba. As forecasted at the beginning of the year, sales and earnings were significantly below the previous years level. Sales declined by 19% to 50,693 million, while income from operations decreased by 43% to 3,677 million. Despite the difficult business environment, we only narrowly missed our goal of earning our cost of capital. The capacity utilization at our plants was at a historically low level. Demand recovered, however, over the course of the year, in particular in Asia. Our measures to reduce costs and increase efficiency were effective and contributed significantly to stabilizing earnings and increasing cash flow to a record high.

In the Chemicals segment, we supply products to customers in the chemical, electronics, construction, textile, automotive, pharmaceutical and agricultural industries as well as many others. Furthermore, we ensure that other BASF segments are supplied with chemicals for the production of higher value products. Our portfolio ranges from basic chemicals, glues and electronic chemicals for the semiconductor and solar cell industries, to solvents and plasticizers, as well as starting materials for products such as detergents, plastics, textile fibers, paints and coatings and pharmaceuticals.

The Plastics segment includes a broad range of products, system solutions and services. We offer a number of engineering plastics for the automotive and electric industries as well as for use in household appliances and sports and leisure products. Our styrenic foams are used as insulating materials in the construction industry and in packaging. Our polyurethanes are extremely versatile: as soft foams, for example, they improve car seats and mattresses, and as rigid foams they serve as highly efficient insulation in refrigerators.

Performance Products help our customers to improve their products and processes. They give special characteristics to countless everyday products: from diapers, paper, vitamins for food supplements or UV filters for sunscreen to products for the oil, automotive and coatings industries as well as for the production of textiles and leather. The acquisition of Ciba strengthens the existing businesses and extends the portfolio to include plastic additives and products for water treatment and mining applications.

Oil & GAS

In the Functional Solutions segment, we bundle system solutions and innovative products for specific customers and industries, in particular for the automotive and construction sectors. Our portfolio comprises automotive and industrial catalysts, automotive and industrial coatings, as well as concrete admixtures and construction systems such as tile adhesives and architectural coatings.

Our crop protection products guard against fungal diseases, insects and weeds and they increase quality and secure crop yields. Our research in plant biotechnology concentrates on plants for greater efficiency in agriculture, healthier nutrition and for use as renewable raw materials.

As the largest German producer of oil and gas, we focus our exploration and production on oil and gas-rich regions in Europe, North Africa, South America, Russia and the Caspian Sea region. Together with our Russian partner Gazprom, we are active in the trading, transport and storage of natural gas in Europe.

Integrated report on the economic, environmental and social performance of BASF in India in 2009

the year 2009 proved to be a challenge for all businesses worldwide. BASF India was no exception. however, just as every dark cloud has a silver lining, the turbulent market conditions inspired us to undertake a series of thought processes, actions and initiatives to sustain and improve our business operations and profitability in India. All aimed to keep us steady on our course of sustainable development. times did change. But our chemistry with success continued.

Building a better future by growing sustainably even in challenging times

Dear Stakeholders,
The year 2009 will be regarded as one of the most challenging years in recent history. It came with its share of perceived setbacks, gloomy forecasts and financial pressure. Yet by the end of it, we have emerged stronger with renewed faith in our abilities, our belief in growing sustainably and our proactive approach. Sensing the unpredictable market scenario early on, we streamlined our operations, undertook drastic cuts in discretionary expenses and optimized our resources without compromising the safety, social or ecological perspective. Concurrently, we strengthened relations with our customers by generating innovative solutions that gave them a competitive edge in the adverse market scenario. We continued to connect with our current and prospective customers through various touchpoints including trade fairs, seminars and exhibitions. The year also proved to be a test of our resolve. There were several strategic decisions, which could have been postponed citing unfavorable market sentiment. However, we decided to walk the talk and successfully completed these major projects. These include the Ciba integration, sale of the Dadra site, company restructuring and shifting of the country head office from Mahindra Towers to Bandra-Kurla Complex.

I am proud to say that our journey of sustainable growth has been led by the sheer determination and can-do attitude of our most important asset, our employees. In the true spirit of everyone counts, our employees came together to learn, lead and implement thought processes and procedures that eventually made the difference. The following pages will give you an overall perspective of how BASF India weathered the storm and emerged stronger from the year 2009. As we speak, Indias economy is taking the right turns and the signs of stability and upturn are already visible. While times change, I do believe, our chemistry with success will continue.

In 2009 you announced an ambitious growth strategy for Asia Pacific. What makes you so confident that you can double BASF sales by 2020? BASF has been committed to Asia Pacific for many years, and we know this region and our customers here very well. The Asian markets will continue to develop dynamically and will account for 70% of the worlds additional demand for chemical products by 2020. Based on these positive fundamentals we developed our Asia Pacific strategy with the expertise and participation of BASF specialists across the entire region. From this deep knowledge, we are very certain that the Asia Pacific growth markets will continue to provide attractive opportunities.

We are focusing even more on local presence and close cooperation with customers. BASF Asia Pacific Strategy 2020 Through 2020, BASF aims to grow on average two percentage points faster than the Asia Pacific chemical market each year. To meet this ambitious goal, which would double regional sales by 2020, the company has developed the BASF Asia Pacific Strategy 2020. This strategy is based on a combination of growth and new business initiatives. In Asia Pacific, BASF will organize its sales efforts around key industries in order to grow faster than the market. The company has established an initial set of industry target groups where it intends to become a preferred supplier, including the automotive, construction, packaging, paints and coatings, and pharmaceuticals industries. We will increase our headcount by at least 5,000 from approximately 15,000 which were employed at the end of December 2009. At the same time, we will double the number of employees in research and development from currently 400 by 2020, especially at our two major R&D clusters in China and India. In our two challenging growth markets, China and India, we have set up dedicated recruitment centers to help us hire the talents we need. BASF plans to generate 70% of regional sales from local production, investing 2 billion between 2009 and 2013. This amount includes the expansion of its site in Nanjing, China, and its planned 400,000 tons per annum MDI project in Chongqing, China. Simultaneously, we aim to create further efficiency improvements that are expected to save 150 million annually by 2012, for example, by debottlenecking production and by exploiting technical synergies. BASFs first business contact with India happened in 1890. Our India presence began in 1967 when we acquired the shares of r.A. cole Private Limited, which had been founded in 1943. the subsequent years saw us spreading our footprint across the length and breadth of the sub-continent. the year 2009 has been a year of reckoning. to overcome the tough times, our manufacturing units learnt how to accomplish more with less, making processes even leaner, and our outlook, sharper. Business segments in India 1. chemicals Inorganics: BASFs Inorganics Division offers a broad portfolio of inorganic chemicals and specialties, mainly based on natural gas and metal compounds. Our basic chemicals as well as our specialties are sold to a range of customer industries across India. Petrochemicals: BASFs Petrochemicals product portfolio covers core chemicals such as acrylics, plasticizers oxo alcohols and solvents. In India, the volume drivers are products catering to different industry segments like PVC film and sheet, PVC-coated fabrics, paints and coatings, leather, agrochemicals, textiles and others. Intermediates: BASFs Intermediates division develops, produces and markets a comprehensive portfolio of intermediates worldwide. The most important of the divisions product groups include amines, diols, polyalcohols, acids and specialties. Among other applications, intermediates are used as starting materials for coatings, plastics, pharmaceuticals, textile fibers, detergents and crop protectants. 2. Plastics Performance Polymers: BASFs Performance Polymers division is one of the worlds leading suppliers of engineering plastics, polyamides and polyamide intermediates, foams and specialty plastics. Its customers are primarily in the construction, automotive, electrical and electronics, textile, packaging and furniture industries.

Performance Products Dispersions and Pigments: BASFs Dispersions and Pigments division is the most comprehensive raw materials supplier to the coatings industry. With the wide range of products such as dispersions, pigments, resins and additives, the division also supports its customers in continuously improving their products in the adhesive, construction, electronic materials, printing and packaging, and fiber bonding industries. Performance chemicals: BASFs Performance Chemicals division is an innovative partner, adding value to specific customer industries. BASF India acquired 85 hectares of land on lease from the Karnataka Industrial Area Development Board in Bala/Thokur villages, Surathkal, Mangalore, on the south-west coast of India during the year 1993. Currently, the production facility includes performance chemicals (leather and textile chemicals), dispersions and paper chemicals, automotive and oil coatings, construction chemicals and application centers. A state-of-the-art wastewater treatment facility has been built with a separate discharge line of 8.5 kilometer leading to the Arabian Sea. The site also developed a green belt on 33% of its land.

The production includes plastics, performance chemicals, care chemicals, construction chemicals, paper chemicals and dispersions and pigments. As a part of Responsible Care, a fish pond was constructed in December 2009 for continuous monitoring of the treated effluent before discharge. Dahej site In November 2000, BASF acquired M/s Pushpa Polymers Pvt. Ltd. which was then renamed to BASF Styrenics Pvt. Ltd. The site has about 38 hectares of industrial area. It operates HIPS (High-Impact Polystyrene) and GPPS (General Purpose Polystyrene) plants, in addition to utility plants like steam boiler, thermic fluid heater, nitrogen plant, DM water plant, chilled brine plant and cooling tower. Currently, four grades of HIPS and three grades of GPPS are manufactured at the Dahej site, which find use in consumer durable industries, food packaging industries, injection molding products and various other applications. construction chemicals sites

the year 2009 has been a year of landmark initiatives. there were several prominent growth drivers that helped us excel even in adverse market conditions the formation of the Industry target Groups (ItG), the integration of ciba, the foundation of the marketing Platform and the new leadership initiative at BASF. During the year, we also undertook several steps to interact and connect with customers and the industry through trade fairs, exhibitions, seminars and conferences. Industry target Groups and customer target Groups In Asia Pacific, we are organizing our sales efforts around key industries in order to grow faster than the market. In India, we have established an initial set of Industry Target Groups and are working towards becoming a preferred supplier for them. The five sectors thus identified include the automotive, construction, packaging, paints and coatings, and pharmaceuticals industries. By looking closely at the value chains in these key industries, we will better understand the needs of the customers and provide products and solutions based on BASFs global knowledge and resources. A few examples of chemical innovations from BASF, already introduced for these industries, include engineering plastics for lightweight cars, insulation systems and concrete admixtures for energy-efficient housing, biodegradable packaging material, environment-friendly paint ingredients, and advanced intermediates for pharmaceutical production. ciba India merges into BASF India expanded portfolio With this merger, as a combined entity, BASF now has a broader portfolio and is poised to expand in the specialty chemicals segment. Cibas manufacturing facility at Ankleshwar is a strategic fit, as it strengthens the paper chemicals business of BASF in India. Additionally, the state-of-the-art technical lab and technical centers in Mumbai will also add value. Combined research know-how, research competencies and internal collaborations with research teams in Germany and Switzerland will enhance the Indian research portfolio and supplement the growth targets in accordance with the Asia Pacific Strategy 2020. The merger paves the way for BASFs growth in the fastgrowing market for plastic additives while our portfolio expands with the addition of product segments such as UV stabilizers and antioxidants from Ciba India. With the merger, BASFs position in the paints, coatings and printing industries is also strengthened. the process BASF globally announced its plans to acquire Ciba in September 2008. The Board of BASF India Limited approved the Scheme of Amalgamation in September 2009, and the shareholders approval was obtained in December 2009. Thereafter, the Honble High Court of Judicature at Mumbai sanctioned the merger of Ciba India Limited, Diamond Dye-Chem Limited and Ciba Research

(India) Private Limited with BASF India Limited (BIL) in February 2010. The shareholders of Ciba India Limited received 90 equity shares and shareholders of Ciba Research (India) Private Limited received 18 equity shares of BASF India Limited for every 100 equity shares held by them. Looking ahead The integration process which commenced in January 2009 is now complete. New teams are in place and results are already visible. For example, the former Ciba colleagues together with BASF employees from the Care Chemicals division have already combined efforts to create a more comprehensive joint offering for an existing Ciba customer. Another instance of the post-Ciba integration advantage is the excellent synergy achieved between Diamond Dye-Chem Limited and BASF. We have made significant strides in the market with morpholine and diethanol amines. Our market knowledge with respect to the optical brighteners industry has also substantially improved.

Symphony - celebrating chemistry We hosted our largest customer event, Symphony, in September 2009 at Hotel Radisson, New Delhi to celebrate being rated as the Worlds Most Admired Chemical Company. For the first time, more than 100 top customers from across all areas of business gathered under one roof and allowed customers to share their ideas for the future. chemspec India 2009 BASF made its presence felt at Chemspec India 2009, the annual event for the Indian fine and specialty chemicals industry held in April in Mumbai. The focus of our pavilion this year was on specialty chemicals for Pharma, Agro and Coatings industries. Acetech 2009 At the sixth edition of ACEtech 2009, held in November in Mumbai, BASF showcased its innovative and sustainable products and solutions for the construction industry. These included two unique concepts for roofs and walls: Exterior Insulation Finish Systems (EIFS) and Flat Roofs System which combine thermal insulation with water proofing, an important challenge for the construction industry. Strategy 2020 plans for India Larger local team, enhanced r&D capabilities According to BASFs Asia Pacific Strategy 2020, India is one of the major growth poles in the region. To fulfill the future needs of the country, we are implementing an enhanced development plan to strengthen our existing local talent. For this purpose, we have set up dedicated recruitment centers to manage the increase in headcount, especially in the research and development segment. Part of the Global technology Platform In May 2005, BASF started research activities in India as a part of the Global Technology Platform. These research activities were extended in 2007 with the inauguration of a new laboratory to increase the synthetic capabilities as well as the process development capabilities of the group. Together with the new laboratory, our personnel strength was enhanced significantly. This was followed by the installation of a kilo laboratory, which allows the research group to scale-up the production of new chemicals and processes. Now, quantities up to 100 kilograms can be prepared in a fast and flexible manner, allowing our business units to do extensive application testing and provide enough material for market entry in important business areas. Relations with the central technology

platforms are strengthened by joint development of processes for products with end use in agriculture and energy management, performance chemicals, intermediates and fine chemicals, ionic liquids and other new organic chemical intermediates for specific applications. The Indian research team is closely collaborating with BASFs Global Technology Platform, and majority of the projects are carried out in close cooperation with researchers from Germany, USA, Singapore and France. Another milestone for the research group was the integration of former Cibas research activities into BASF in India. New research know-how, research competencies and internal collaboration with research teams in Switzerland quickly became part of the Indian research portfolio. The activities of the entire team will be concentrated at former Cibas state-of-the-art research site in Mumbai. Samruddhi BASF has launched the Samruddhi program (English: Prosperity) to enhance yields of crops such as soybeans and potato and improving the economic return for farmers in rural India. Our Crop Protection division focuses on a total solution and hands-on approach to demonstrate clear yield enhancements and quality improvement leading to prosperity of farmers. Our Samruddhi program targets yield enhancement levers like fertilization, right seed rate, proper spacing, and timely and efficient usage of crop protection products. Through Samruddhi, many of the BASF field employees work with farmers pre-season, during the season and post-season to impart the knowledge on new farming techniques leading many farmers to perceive BASF as an important Partner in Progress. Data analysis of more than 1,300 farmers reveals an increase of 24% in yield and 41% in net returns.
I grow potato crop in Kharif season for PepsiCo. I applied for BASFs Potato Samruddhi in 2009 for one acre of my crop. As instructed by the BASF field staff, I started with the seed treatment and followed it up with pest and disease management with the usage of BASFs crop protection agents (CabrioTop, Acrobat + Polyram, Lihocin and Intrepid). For the rest of my crop, I used conventional pesticides. During harvest, the one acre Samruddhi plot yielded 9.9 tons of potatoes compared to the non-Samruddhi plot which yielded only 6 tons, per acre. I got an additional yield of 3.9 tons and a profit of approximately Rs.78,000. In both the plots, the expenses of crop protection agents came to about Rs. 4,000 per acre. I am grateful to BASF for the project Samruddhi and will recommend it to other farmers too.

energy The most important means of reducing our energy consumption and thereby also lowering emissions is energy efficiency, which is defined as primary energy consumption (fuel, electricity, steam) per ton of product. While electricity, fuel and steam consumption in 2009 increased by 19%, 17% and 33% respectively as compared to 2008 primarily due to the acquisition of Ciba, our overall energy efficiency improved on account of improvement in certain production processes. For instance: At Dahej, a traditional centrifugal compressor has been replaced with a new screw compressor, leading to substantial reduction in electricity consumption at the plant. Also, the waste heat of the lubricant is used to heat boiler feed water. Both measures led to considerable savings of fuel in the year 2009.

Product Stewardship BASF considers Product Stewardship as an integral business process. We actively support our customers in safe application of our products. The latest information on product safety is promptly communicated through material Safety Data Sheets, seminars and our marketing network. With our global database, we are able to provide information about products worldwide at any time. The global database is regularly updated to meet the challenges of new product introductions, innovations and needs arising from new product portfolios through acquisitions. Safety Occupational safety As occupational safety at BASF is of utmost importance, we strive to reduce accidents and injuries. In 2009, the LTI (lost-time injury) rate per million working hours stood at 0.73 for BASF employees and 1.05 for contractors as against 0.71 and 0.62 respectively for the year 2008. On investigation, it was found that most of the incidents were due to slipping or falling while working or walking. Slip, trip & Fall campaign A detailed study of various accidents in BASF was carried out and it was observed that slips, trips and falls accounted for 55% of employee lost-time-injuries at BASF offices and plants in Asia Pacific this year. Therefore, Corporate EHS and country EHS managers, with the full support of site and plant management, have started a campaign to increase employee awareness about slips, trips and falls, and their debilitating effects. During 2009, we have successfully launched C.A.R.E. program at Dahej, Mangalore and Chennai sites. transportation and Distribution Safety (tDS) Safety and security of transportation and distribution are essential parts of sustainable management at BASF. We assess our logistics service providers and only when we are sure that our partners meet all our safety requirements we entrust them with our products. In addition, BASF has established a gate check system under which all trucks are subject to safety checks and approval before entering and leaving BASF sites. Presently, with support from our regional experts on transportation and distribution safety, we are coordinating with chemical industry associations to promote the concept of Road Safety Assessment in India. As a part of our distribution safety, warehouse storage locations are assessed according to BASF global guidelines by TDS experts to ensure that BASF safety standards are adhered to by all service providers before engaging them and the same are maintained at already operational warehouse locations across India.

The neighboring community and district crisis committee are invited during our mock drills to build up confidence about our emergency preparedness and response. We also have a district crisis committee for taking care of off-site emergencies. Most of the nearby industries are members of this committee. Safety of our employees is of paramount importance to the company. Therefore, BASF in India has launched an elaborate Disaster Management Program for its employees. A well-equipped Disaster Control Center has been created at Navi Mumbai with qualified professionals to handle this project. Occupational health

Webz Grow Despite the difficult economic situation we continued to build our team. We recruited 30 new engineers from various technical institutes as part of the Grow Program. It is a structured oneyear program comprising four phases which are a blend of classroom training and experiential learning. Phase I is a three-week classroom orientation: the objective is to support their transition into corporate life and induct them into the BASF culture. Phase II is spread over three months where trainees undertake an independent project and study how the department functions. Phase III is a one month period where the trainees study how other departments in their business function. BASF has identified two social projects to focus on. every year employees volunteer to achieve the annual objectives of these projects. Both are linked to the core philosophy of BASF and issues that are important to India. the first project, Sadbhavana (empathy), is dedicated to womens empowerment and education. BASFs response to natural disasters also falls under this project. through our second project, the million minds initiative, BASF has taken a stand against corruption. Sadbhavana Under the aegis of Sadbhavana, which literally means Empathy, BASF strives for Community Development with an emphasis on education and womens empowerment as well as relief and rehabilitation initiatives. community development: BASF Kids Lab at Pilikula, mangalore BASF Kids Lab is a hands-on lab experience, where kids can learn about chemistry in a fun-filled manner. In India alone, it has introduced more than 28,000 school kids to the magical world of chemistry. Our Mangalore manufacturing site decided to spread this magic to its neighborhood. Subsequently, BASF Kids Lab was held in Pilikula, Nisargadhama for the third consecutive year together with Karnataka Urban Infrastructure Development and Finance Corporation under

its ECO Club activities. Over 1,500 students from 150 schools covering three districts across Karnataka region participated. Another new dimension to this Kids Lab was that BASF employees themselves were mentors to the participating kids. Basic computer classes for the future generation BASF is empowering the future generation by fostering basic computer awareness and an interest in technology among our employees children. The manufacturing site at BASF Mangalore has started basic computer classes to train the children of BASF employees as well as those from the neighboring village. 18 children of employees and 22 children from Ottekayur village have enrolled in these classes.

Skill Development Program for Spouses We are empowering our employees spouses by training them with creative skill sets that enrich their lives and enable them to provide additional financial support to their families. Mangalore manufacturing site has organized workshops for tailoring, embroidery, zardosi, carving, fabric painting, baking and food preserving for the employees spouses. To further boost their confidence, an exhibition-cum-sale of clothing articles prepared by the participants was also organized. These articles were then auctioned off in the presence of all BASF India Executive Committee members. The auction received an overwhelming response as BASF employees bought the creative articles crafted by these talented spouses. relief and rehabilitation: UN-habitat and BASFs post-tsunami water and sanitation reconstruction project Together with UN-Habitat, BASF is working on a water and sanitation project to provide sustainable relief for the victims of the Tsunami disaster in the interiors of Southern India. 23 villages in Cuddalore district of Tamil Nadu have been identified as beneficiaries. The project intends to provide clean water and build sanitary toilets in these villages and in selected schools. Our partner UN-Habitat has vast experience in providing clean drinking water and sanitation facilities in disaster-struck areas around the world. The project also aims to support the disabled by constructing and running disability resource centers.

Fighting corruption Integrity, which forms a part of our corporate value statement, inspires us to take a firm stand against the cancer of corruption. Studies indicate that even a marginal drop in corruption could add 1.5% to Indias GDP growth. Fighting Corruption in Public Life is a unique program under which BASF focuses on the giver, who contributes to the act of corruption. Through the Million Minds project, BASF aims to encourage the citizens of India to take a stand against corruption. BASF PAc (People Against corruption) BASF has undertaken many projects driven by BASF PAC, which is composed of BASF employee volunteers. Good Governance Icon Series We have launched the Good Governance Icon Series to showcase individuals who have upheld the highest levels of good governance, while succeeding in their fields. The first icon, Mr. V. J. Kurian, former Managing Director of Cochin International Airport Limited (CIAL), and his success story on the set-up and turnaround of CIAL, were captured in a case study developed by Indian Institute of Management, Kozhikode. The current years program has already identified new icons Julio Ribeiro, Indias former super cop and Dr. Indu Shahani, Principal of H.R. College of Commerce and Economics and the Sheriff of Mumbai. Seminar Series on corporate Governance and Business ethics at educational institutions In the current dynamic economic environment, corporate governance and business ethics are central concepts for strengthening the moral fabric and development of any organization. We have developed a Seminar Series on Corporate Governance and Business Ethics in collaboration with leading academia. This 16-hour Seminar Series comprises eight sessions on Corporate Governance and Business Ethics and is a mix of lectures and case study discussions. It aims to instill good practices among future corporate citizens, i.e., students on the threshold of corporate India, by training them in practical aspects of governance and ethical issues through a study course. One such certificate course is already being offered at SIES Institute of Management Studies in Nerul.

Our Fighting Corruption Project has received support from many prominent personalities, including the former President of India, Hon. A.P.J. Abdul Kalam. He showed a keen interest in the project as well as the Citizens Guide to Fighting Corruption. He shared his thoughts on the same, which were then compiled and distributed in the form of a leaflet.

Performance worth an applause

Prashansa Patra Award from National Safety council of India (NScI) BASF received the Prashansa Patra Award for the year 2007, based on its safety performance and OHS Management Systems / Procedures, from the National Safety Council of India. The awards rigorous assessment procedures took place over a period of three years. They included presentations and a visit by expert teams. Of 29 manufacturing companies all over India, which received awards, BASF was one of the three companies from the Karnataka region.

Super Achiever Award by Kanara chamber of commerce & Industry BASF received the Super Achiever Award in the manufacturers category by Kanara Chamber of Commerce & Industry in January 2009. The determining factors for the award were the percentage increase in the companys turnover in the previous two financial years, percentage increase in taxes paid to Central and State Governments and other predetermined criteria.

Boiler Fuel efficiency Award Our Mangalore site won the second prize for boiler fuel efficiency in the state of Karnataka at a function organized on March 4, 2009 in Bangalore. Directorate of Factories & Boilers Award for Safety Performance BASF won the second prize in the State Level Competition on Safety Performance among the Medium Category of Industries in Karnataka for the year 2008.
