ANNEXURE I TERMS & CONDITIONS

1. 2. PRICE :The prices quoted are unpacked, ex-works, Pune. PACKING & FREIGHT CHARGES :Packing extra @ 5% of the basic total. Freight extra at actuals. EXCISE DUTY :Nil. SALES TAX :Within Maharashtra :M.V.A.T. extra @ 12.5% or as applicable on the date of dispatch. Outside Maharashtra :C.S.T. extra @ 12.5%. In case customer can issue appropriate concessional form for availing sales tax concession, difference amount in sales tax charged will be refunded to customer if the said concessional form is received by us within 3 months from date of our invoice. UNLOADING CHARGES :Unloading charges at customers site will be to customers account. TRANSIT INSURANCE CHARGES :Extra at actuals; otherwise Nil in case insurance cover is arranged by customer. OCTROI/ENTRY CHARGES :Extra at actuals. TERMS OF PAYMENT :50% advance along with Purchase Order; Balance along with all taxes, duties & other payables against Proforma Invoice prior to dispatch of material, after inspection by customer at our Works. Only current-dated cheques or demand drafts drawn on any nationalized or reputed bank will be accepted. The cheques or demand drafts should be payable at par at Pune. Goods will be dispatched only after realization of the cheques or demand drafts. Post-dated cheques will not be accepted under any circumstances. 9. DELIVERY SCHEDULE :Within 12-14 weeks from date of receipt of techno-commercially clear & confirmed purchase order or date of receipt of advance, whichever is later.

10. SCOPE OF SUPPLY :As per technical specifications detailed in the quotation. Customer must sign & return to us, their acceptance of the above specifications & scope of supply, along with their purchase order. 11. PRE-DISPATCH INSPECTION :By customer at our Pune office/works before dispatch. Material will be dispatched only after obtaining dispatch clearance from customer. Requests for subsequent modifications/alterations will not be entertained. Factory Acceptance Test / Third Party Inspection / Validation (including IQ, OQ, PQ etc.) will not be permissible. 12. INSTALLATION :By us at no extra charges. Local hospitality for two persons to be provided by customer free of cost to us. 13. VALIDITY :-

The offer is open for acceptance for 60 days from the date of offer, & thereafter subject to our written confirmation. 14. WARRANTEE :The system will have a limited carry-in warranty for 12 months from the date of dispatch, for manufacturing defects only. We reserve the right to repair or replace, at our discretion, components that are found to be defective, during the warrantee period. Material found faulty by the customer to be sent back to us at customers cost & risk, for assessment & subsequent repair or replacement. On-site warrantee & free service warrantee will not be provided. 15. NEGOTIATIONS :Prices & terms quoted herein are firm & not negotiable. 16. PURCHASE ORDER TERMS :Tender or purchase order terms such as earnest money deposit, security deposit, performance bank guarantee etc. are not acceptable to us.
