THE REPUBLIC OF UGANDA CONSULTANCY SERVICES AGREEMENT BETWEEN [CLIENT_NAME] AND [CONSULTANT_NAME]

AND [CONSULTANT_NAME] (Herein after referred to as THE CONSULTANT) of the other part. WHEREAS:

The Client is the registered proprietor of [Property_Name] in [Place], [Country], Hereinafter referred to as the Property. The Client is proposing and intends to redevelop and rehabilitate the Property (Hereinafter called the Project).

The Client wishes to appoint a Consultant to obtain Civil/Structural Engineering design and supervision consultancy services for the project (Hereinafter referred as the Consultancy Services) The Consultant wishes to undertake the appointment by the Client to provide the Consultancy services for the project and has represented to the Client that they have the requisite professional expertise, skill, personnel, technical and logistical facilities and resources to provide the consultancy services and to observe and perform the obligations and covenants hereinafter stated. THE PARTIES HERETO HAVE AGREED AS

NOW THEREFORE, FOLLOWS:1.0 APPOINTMENT

The Client hereby appoints the Consultant, and the Consultant hereby agrees to act as Consultant for the Project on the terms of this agreement.

2.0

TERMS OF REFERENCE The Client requires, and the consultant shall offer the following services under this contract: 1) To carry out a Structural Appraisal of the existing buidings at [Property_Name] 2) To carry out designs and documentation of repair methodologies to be used in the rehabilitation. 3) To carry out structural design of any structures being added to or replaced in the exisiting structures. 4) To carry out supervision of all civil / structural works on the project.

3.0

COMMENCEMENT AND COMPLETION

3.1

The Consultant shall begin to carry out the consultancy services on 18th August 2011 or such other date as shall be agreed upon by the Parties in writing upon signing this agreement. The Consultant shall provide and complete the consultancy services within the period specified in the Contractors approved programme.

OBLIGATIONS OF THE CONSULTANT

The Consultant shall provide the consultancy services in accordance with the terms of reference.

OBLIGATIONS OF THE CLIENT

5.1

The Client shall Pay to the Consultant the agreed fees and reimbursables amounting to a total of Uganda Shillings Two million five hundred thousand only design and documentation. The Client shall pay to the Consultant Uganda Shillings Two hundred and fifty thousand only for every day the Consultant visits the project site.

TERMINATION. 8.1. 8.2 This Agreement may be terminated by a weeks written notice given by either party to the other. Upon termination of this contract: 8.2.1 The Consultant shall within one week following the termination, take all necessary steps to bring the services to a close in an orderly manner and shall submit a hand over report to the Client.

8.2.2 The Client shall make all payments due to the Consultant that are outstanding at the time of termination. 7.0 APPLICABLE LAW This Agreement shall be governed by the Laws of [Country].
