In consideration of the agreed fee, the Supplier, having performed or supplied the services as detailed above, agrees to assign to the Company all rights to the material produced thereby, which shall become the sole property of the Company or its assigns for a period of for use in , for the media specified, in any manner as it may deem fit. The period of this agreement will begin on the day of the first public appearance or broadcast of the material produced. 3. Special Conditions:
i. The Standard and Special Provisions printed on the reverse side thereof form part of this agreement. ii. Should the Supplier be recalled for a re-performance of the services, either in whole or in part, an additional fee will be negotiated, based on a percentage of the agreed fee. iii. Should the Supplier be found unsuitable for any reason, or in breach of this agreement, no fee will be payable.(For example appearing in competitive advertising or participating in unsuitable behaviour that would impact the Companys image negatively)

STANDARD PROVISIONS FOR THE ADVERTISING TALENT/SUPPLIER CONTRACT

1. RIGHT TO CONTRACT The Supplier states that, to the best of his/her knowledge, he/she is not bound by any agreement with or regarding any other company, product or service which is competitive to Mothers and the product or service covered in this agreement, and that he/she is free to enter into this agreement and to grant the rights and uses as specified therein. EXCLUSIVITY The Supplier states that, since accepting the employment covered by this agreement, he/she has not accepted employment nor has authorized the use of his/her name or likeness or identifiable voice or other services for any advertising for any competitive company, product or service, and that he/she will not for 1 year hereafter, accept engagement in or authorize the use of his/her name or likeness or identifiable voice or other services in any advertisement for a competitive company, product or service. This provision shall not apply to chorus singers not seen on camera. OTHER AND EXTENDED USES The Company shall have the right to use of any material produced with the services covered by this agreement beyond the terms agreed to therein, for which the Company shall pay to the Supplier additional fees to be negotiated. COMPANYS RIGHTS The Supplier acknowledges that he/she has no right, title or interest of any kind or nature whatsoever in or to any advertisement produced by the Company with the services of the Supplier. A role or part created by the Company and performed by the Supplier is owned by the Company and not the Supplier. All copyright and titles are vested in the Company. The Supplier further acknowledges that the Company is free to grant to any third party a license for the use of the material produced with the services of the Supplier, in which event the Supplier has no right of refusal nor to compensation. ARBITRATION If any dispute shall arise between the parties hereto as to any matter arising out of or in relation to this agreement or the construction or interpretation thereof, such dispute shall be referred to a single arbitrator in case the parties can agree on one or otherwise to two arbitrators, one to be appointed by each party, and in either case, in accordance with, and subject to the provisions of the Arbitration Act or any statutory modification or re-enactment thereof for the time being in force. The Supplier acknowledges that he/she has read all the terms and conditions in these Standard Provisions above and hereby agrees thereto.
