AGREEMENT

This agreement is made on ____(date)____ at Gandhinagar between __ (COMPANY) Company Limited, having its office at 5th floor, Nirman Bhavan, Opp. Gate No.4, Sachivalaya, Sector-10A, Gandhinagar (hereinafter referred to as COMPANY which expression shall mean and include unless repugnant to the context the successors, assigns, etc.) of the first part and Mr. ___(name)__, ___________________________(address)________________________ (hereinafter referred to as the ___(Designation)__ which expression shall mean and include unless repugnant to the context his/her heirs, executors, administrators, etc.) of the second part. And whereas COMPANY has decided to avail the contractual services relating to Metro Rail Project works. Whereas the ___(Designation)__ has offered to enter into contract to render above referred services and to work in accordance with the requirements, directions and orders issued by COMPANY. And whereas both the parties enter into this agreement for the purpose of contractual services on the following terms and conditions.

NOW THIS DEED WITHNESSETH AS UNDER: 1) That __ (COMPANY) Company Limited agrees to give the assignment of providing contractual services as a ___(Designation)__ to Mr./Ms./Mrs. ________________ in COMPANY which will include functions assigned to him/her from time to time for a period of one year from ___(date)___ to ___(date)___ or till the completion of Metro Rail Project, Regional Rail System and MoU review whichever is earlier. 2) That the ___(Designation)__ shall perform all duties to provide contractual services, conform to and comply with all the rules and regulations of COMPANY and the Government and shall not do or cause to be done anything against the interest of COMPANY. 3) That the ___(Designation)__ shall, during the said term shall carry out his/her assignment employ himself/herself efficiently and diligently and to the best of his ability. He/she shall carry out the duties and work as may be assigned to him/her and shall obey and comply with all lawful orders and directions given to him/her by COMPANY officers superior to him/her and shall honestly, diligently and faithfully render services to COMPANY and put his utmost endeavor to promote the interest of COMPANY. 4) That the ___(Designation)__ shall be just and faithful to COMPANY in all matters and shall not at any time except under legal process divulge to any person whosoever and shall put forth his/her best endeavors to prevent the publication or disclosure of any secret of COMPANY or any information concerning or in respect of decision of COMPANY or its dealings, transactions or affairs which may come to his/her knowledge. 5) The ___(Designation)__ agrees to render the services to the COMPANY in accordance with its directions with effect from ___(Date)__ to ___(Date)__ on which date his/her contractual services as a ___(Designation)__ shall be decided as per requirement for the project of COMPANY. 6) The ___(Designation)__ agrees to render the aforesaid contractual services at Gandhinagar or at any other places as may be directed by COMPANY. 7) COMPANY agrees to pay Rs._________ (Rupees ___________________ only) per month to the ___(Designation)__ by way of consideration for the contractual services as a ___(Designation)__ to be rendered to the entire satisfaction of COMPANY. Such consideration of monthly amount payable to the ___(Designation)__ is all inclusive and no other or further monetary or nonmonetary benefit shall be provided. 8) The ___(Designation)__ agrees that the services to be rendered by this agreement is purely contractual and for a limited and fixed period as started in Para no 1 of the agreement and it is in no way to consider this agreement for a regular appointment in COMPANY. 9) The ___(Designation)__ shall undertake travel within and outside the state as and when required in the interest of COMPANYs projects/ programs or activities. The ___(Designation)__ will be entitled for reimbursement of travel expenses as per Rules & Regulations of COMPANY. 10) The ___(Designation)__ agrees to render all the incidental services as part of the contractual services by this agreement. In case if there is any breach of laws, the ___(Designation)__ shall be fully responsible and the COMPANY shall not be responsible for the same.

11) That if at any time during this agreement the ___(Designation)__ is found guilty of misconduct or to have indulged into any willful breach of conduct, negligence of any term of this agreement or dereliction of the duties and/or instructions given to him from time to time by the COMPANY, ___(Designation)__ shall without prejudice to any other action as may be called for, without any notice or payment in lieu of any notice, put an end to and shall immediately terminate this agreement with the ___(Designation)__ shall be deemed to have brought about such a situation by his/her misconduct compelling the first part to put an end to this agreement and the ___(Designation)__ shall therefore, continue to be liable for all losses/damages of COMPANY. 12) In case, the ___(Designation)__ is found to have damaged or lost the property or cash money of COMPANY, the same shall be recovered from him/her. 13) This agreement is liable to be terminated by either party by addressing one months written notice. However, in case of urgency or expediency and where the COMPANY feels that the party of the second part has failed to render the professional services to its satisfaction about whose existence COMPANY shall be the sole judge, the agreement can be terminated by COMPANY with an immediate effect. 14) In case of any dispute or differences arising between the parties in connection with or in relation to the agreement, the same shall be referred for adjudication to the Chairman of COMPANY, who shall be the sole arbitrator and whose decision shall be final and binding to both the parties. 15) In case of leaving the services before completion of the period of one year, the ___(Designation)__ agrees to pay two months remuneration in lieu of leaving assignment prior to the expiry of the contract. In witness whereof both the parties have agreed upon and respectively signed this agreement on the day and date as mentioned hereinabove.
