CONTRACTFORSERVICES
THISCONTRACTismadeandenteredintobyandbetweentheCITYOFDALLAS,a municipal corporation, located in Dallas County, Texas, hereinafter called "CITY," and ____________________________________,hereinaftercalled"CONTRACTOR."
1.
DESCRIPTIONOFWORK
A. FortheconsiderationhereinafteragreedtobepaidtoCONTRACTORbythe CITY,CONTRACTORshallprovide_____________________________________ _______________________________________________________________ intheCITYandCountyofDallas,Texas,hereinaftercalledthe"Services."TheServicesareto beperformedinagoodandworkmanlikemannerandtoconformineveryrespecttothe followingdocuments: (i) (ii) (iii) CITY'SRequestforProposals; CITY'SSpecificationsfortheServices;and CONTRACTOR'SProposal.
CONTRACTORrepresentsthat,priortosubmittingaproposaluponthisContractand priorto signingthisContract,CONTRACTORhas become thoroughly acquainted with all mattersrelatingtotheperformanceofthisContract,allapplicablelawsandalloftheterms andconditionsofthisContract.AllServicesunderthisContractshallbecoordinatedunder, andperformedtothesatisfactionof,theDirectoroftheDepartmentof___________of CITY,orhisdesignatedrepresentative,hereinaftercalled"Director,"andCITYisauthorizedto
withholdpaymentofanyfundsunderthisContractuntiltheservicesperformedunderthis Contracthavebeeninspected,acceptedandapprovedbytheDirector.
3.
PAYMENT
Upon completion of periodic work by CONTRACTOR, and acceptance thereof by Director, CITY will pay CONTRACTOR in accordance with the Specifications and CONTRACTOR'S Proposal, upon receipt and approval of CONTRACTOR'S invoices, submittedperiodicallyforCITY'Sreviewandapproval.Eachinvoiceshallbeaccompaniedby sufficientbackupinformationasrequiredbyCITY.However,totalpaymentsbyCITYduring thetermofthisContractshallnotexceed$_____________,whichamount(oraportionthereof where theContract term mayexceed oneyear)ishereby setaside andsegregated for the purposeofpayingfortheServicesinaccordancewiththetermsofthisContract.CITYmay,at itsoption,offsetanyamountsdueandpayableunderthisContractagainstanydebt(including taxes) lawfully due to CITY from CONTRACTOR, regardless of whether the amount due arisespursuanttothetermsofthisContractorotherwiseandregardlessofwhetherornotthe debtduetoCITYhasbeenreducedtojudgmentbyacourt. 4. TERM
The term of this Contract shall commence on________________ and terminate on____________________,unlesssoonerterminatedinaccordancewiththeprovisionsofthis Contract. ForgoodcauseshownbyCONTRACTOR,theDirectormayextendthetimeto performtheServices. 5. PERMITS
CONTRACTOR shall obtain from CITY the necessary permit(s), if any, required by CITYordinancesfortheperformanceoftheServices. 6. INDEPENDENTCONTRACTOR
CONTRACTOR'Sstatusshallbethatofanindependentcontractorandnotanagent, servant, employee, or representative of CITY in the performance of the Services. CONTRACTORshallexerciseindependentjudgmentinperformingdutiesunderthisContract andissolelyresponsibleforsettingworkinghours,schedulingorprioritizingtheworkflow anddetermininghowtheworkistobeperformed.NotermorprovisionofthisContractor act of CONTRACTOR in the performance of this Contract shall be construed as making CONTRACTORtheagent,servantoremployeeofCITY,ormakingCONTRACTORoranyof
its employees eligible for the fringe benefits, such as retirement, insurance and workers compensation,whichCITYprovidesitsemployees. 7. INDEMNITY
CONTRACTORagrees todefend,indemnifyandholdCITY,itsofficers,agents and employees,harmlessagainstanyandallclaims,lawsuits,judgments,costsandexpensesfor personal injury (including death), property damage or other harm for which recovery of damagesissought,sufferedbyanypersonorpersons,thatmayariseoutoforbeoccasioned by CONTRACTOR'S breach of any of the terms or provisions of this Contract, or by any negligentorstrictlyliableactoromissionofCONTRACTOR,itsofficers,agents,employeesor subcontractors,intheperformanceofthisContract;exceptthattheindemnityprovidedforin thisparagraphshallnotapplytoanyliabilityresultingfromthesolenegligenceorfaultof CITY, its officers, agents,employees orseparate contractors,andin theeventof joint and concurring negligence or fault of the CONTRACTOR and the CITY, responsibility and indemnity,ifany,shallbeapportionedcomparativelyinaccordancewiththelawoftheState ofTexas,withoutwaivinganygovernmentalimmunityavailabletotheCITYunderTexaslaw andwithoutwaivinganydefenses oftheparties under Texaslaw. Theprovisionsofthis paragrapharesolelyforthebenefitofthepartiesheretoandnotintendedtocreateorgrant anyrights,contractualorotherwise,toanyotherpersonorentity. 8. COMPLIANCEWITHCODES
CONTRACTOR shall, during the performance of the Services, comply with all applicableCITYcodesandordinances,asamendedandallapplicableStatelaws,rulesand regulations,asamended. 9. INSURANCEREQUIREMENTS
CITYsDirectormay,atitsoptionandwithoutprejudicetoanyotherremedyCITY maybeentitledtoatlaw,inequityorelsewhereunderthisContract,terminatefurtherwork underthisContractinwholeorinpartforcauseorfortheconvenienceofCITYbygivingat leastten(10)dayspriorwrittennoticethereoftoCONTRACTOR,withtheunderstandingthat allServicesbeingterminatedshallceaseuponthedatespecifiedinsuchnotice. CITYshall equitablycompensateCONTRACTORinaccordancewiththetermsofthisContractforthe Servicesproperlyperformedpriortothedatespecifiedinsuchnotice,followinginspection andacceptanceofsamebyCITY'SDirector.CONTRACTORshallnot,however,beentitledto lostoranticipatedprofitsshouldCITYchoosetoexerciseitsoptiontoterminate. 12. NOTICES
Any notice, payment, statement, or demand required or permitted to be given hereunderbyeitherpartytotheothermaybeeffectedbypersonaldeliveryinwritingorby mail, postage prepaid. Mailed notices shall be addressed to the parties at the addresses appearingbelow,buteachpartymaychangeitsaddressbywrittennoticeinaccordancewith thissection.Mailednoticesshallbedeemedcommunicatedasofthreedaysaftermailing. RIGHTOFREVIEWANDAUDIT
CITYmayreviewanyandalloftheservicesperformedbyCONTRACTORunderthis Contract. CITY is hereby granted the right to audit, at CITYs election, all of CONTRACTORs records and billings relating to the performance of this Contract.
CONTRACTOR agrees to retain such records for a minimum of three (3) years following completionofthisContract. 14. APPLICABLELAWS
This Contract is entered into subject to the Charter and ordinances of CITY, as amended,andallapplicableStateofTexasandFederalLaws. 15. VENUE
This Contractshall begoverned byandconstrued inaccordance with the laws and courtdecisionoftheStateofTexas. 17. LEGALCONSTRUCTION
IncaseanyoneormoreoftheprovisionscontainedinthisContractshallforanyreason beheldtobeinvalid,illegal,orunenforceableinanyrespect,suchinvalidity,illegality,or unenforceability shall not affect any other provision thereof and this Contract shall be consideredasifsuchinvalid,illegal,orunenforceableprovisionhadneverbeencontainedin thisContract. 18. ENTIREAGREEMENT
ThisContractembodiesthecompleteagreementofthepartieshereto,supersedingall oralorwrittenpreviousandcontemporaryagreementsbetweenthepartiesrelatingtomatters herein; and except as otherwise provided herein, cannot be modified without written agreementoftheparties.
