HOLD HARMLESS AGREEMENT

AGREEMENT dated this 17th day of December, 2011 by and between Jamestown South Shore Center LP, (Lessor), dba Alameda South Shore Center and Alameda High School Sweets & Treats. Recitals Jamestown South Shore Center LP is the Lessor of the real estate constituting Alameda South Shore Center on an area which is defined for the purpose of this agreement as that real estate in Alameda, California, commonly known as Alameda South Shore Center located at the corner of Park Street and Otis Drive. Jamestown South Shore Center LP believes that it is in their best interest as well as the best interest of the Vendor to control and regulate common areas for special events to be conducted in around Alameda South Shore Center. Vendor or agent thereof has requested permission to conduct certain activities as explicitly set forth below, at Alameda South Shore Center. Accordingly, in consideration of the foregoing and for other valuable consideration the receipt whereof is hereby acknowledged. It Is Agreed 1. Vendor is hereby granted permission to conduct Sweet & Treats Bake Sale On a certain area in Alameda South Shore Center described as (PERMITTED AREA):

Modern Mouse Store Front, as outlined in Exhibit A on the following dates: Saturday, December 17, 2011 It is mutually agreed by Lessor and Vendor that there are no rental charges associated with this agreement. Vendor shall procure at its own cost and expense all necessary licenses and official permits for carrying out the activities authorized herein. Vendor acknowledges that it enters upon the operation of this Agreement with full knowledge of the conditions of the Permitted Area and assumes the sole and entire responsibility for (a) any loss of life or personal injury and (b) any damage to real and personal property that may be sustained in connection therewith. Vendor agrees to indemnify and to save Jamestown South Shore Center LP and Tenants of Alameda South Shore Center harmless in regard to all such liability. The Permitted Area is not leased to Vendor. Jamestown South Shore Center LP shall have the right to terminate this Agreement at any time. Upon termination of this Agreement, Vendor shall return the Permitted Area to Jamestown South Shore Center LP in as good condition of same at the commencement of the term hereof, reasonable wear and tear expected. This Agreement shall be non-assignable and non-transferable except with the written permission of Jamestown South Shore Center LP.
