The International Olde English Bulldogge Association (IOEBA) and United Canine Association (UCA) ask that all breeders subscribe to the Code of Ethics as well as promote the highest standards among breeders and owners and to encourage and support sportsmanship and cooperation in the preservation, advancement and improvement of IOEBA registered breeds. I will keep accurate records of my dogs. These records will include registration certificates, stud service contracts, pedigrees, vaccination and breeding records. I will maintain absolute identification of all my dogs, examples: photos, tattoos, microchips, registration papers and pedigrees. I shall plan each breeding with the objective of the improvement and advancement of the breed. I will thoughtfully select my stud dog and brood bitch with an emphasis on good health, correct conformation, temperament, working drive and ability while all the time referring to the IOEBA breed standard and the principles of genetics. I will maintain the highest standards of health and care for my dogs and I will provide sufficient water, food, shelter and veterinary attention as needed. I will show good judgment in the sale of my puppies. I will not sell my dogs/puppies to dog wholesalers, brokers or retailers. I will provide each buyer with IOEBA registration papers at the time of sale, unless a written agreement stating otherwise has been signed by the buyer. I will help and educate the potential clients as to the basic
characteristics, both physical and mental, of my breed to assist in determining if it is the right breed for them. I will provide proper socialization for all my dogs and puppies and interact with each daily. I will not be involved in or use my dogs for any illegal activity. None of my dogs are intended for any illegal activity and will not be sold for such use. I will refrain from releasing my puppies to their new owners until they are at least seven weeks old, or eight weeks if they are to be shipped. The IOEBA Code of Ethics has been designed as a guideline for breeders and fanciers. It is not a legal document and should not be construed as a rule or regulation to be enforced by punishment, it carries no enforceable punishment. SECTION 5: Voting & Elections: A: All voting will be done by members present in person or on line at meeting at time of voting.B: In no case shall a member be entitled to vote on any club business whose dues are not paid for the current year. C: A waiting period of 30 days is required for all new memberships and lapsed memberships before acquiring full rights to vote and/or hold a position in office. D: Amendments to Constitution & By-Laws will require a vote of no less than 2/3 majority of members in person or on line at time of voting. E: Election of officers for the New Year shall be held at the December meeting. Nominations shall be held at the November meeting. Voting in of new officials shall be made by the majority of members in person or on line at time of voting. SECTION 6: Offices of Club Leadership:A: PRESIDENT: The duties of the President are to head all meetings and shall have the duties and powers normally given to the office of the President in addition to those particularly specified in these constitutions and by-laws. B: VICE-PRESIDENT: The duties of the Vice-President are the duties of the President in the event the President is absent. The Vice-President will also assist the President in any club business when his/her help is needed. C: SECRETARY: The Secretary shall be responsible for recording all minutes of meetings of the officers, all matters of which the membership casts a vote and all club matters of importance. This officer shall have an accurate role of all members attendance at club meetings and club activities and it shall be the duty of this officer to notify all members of meetings, activities, and all correspondence of the club. D: TREASURER: This officer shall collect and receive all money and dues belonging to the club. All dues, donations or moneys shall go to the club treasury and shall be accessible to those authorized by the Treasurer. The Treasurer shall be responsible for paying normal month to month expenses of the club in its usual business, expenses which the club may incur by purchase of equipment, commitment to IOEBA, judges fees, rentals, insurance premiums or other expenses arising from or related to the ability of this club to sponsor a conformation show and/or weight pull. This officer shall maintain a ledger or recording of all deposits, expenditures, and current balance of club monies. The books shall be open at all times to the inspection of club officers and this officer will report the financial standings of the club at all official club meetings and any time he/she is called upon to do so. He/she shall deposit the amount in a bank approved by the officers in the name of the club. He/she shall conduct all duties required for collecting dues and activating new memberships upon approval. Officer will work closely to
the Registrar Officer regarding all memberships and show registrations. E: REGISTRATRAR: This officer will be responsible for all show registrations and memberships for the club. Officer will be responsible for all registration training of committee members, who will be assisting during registration. Officer will be responsible to turning in registration paperwork to IOEBA/UCA within 7 days of the show. SECTION 7: Appointment of Special Committee:The President and other officers can make the appointment of a special committee, board or appointee as the need arises in the club. Members must participate in at least one committee a year to keep voting status with the club. SECTION 8: Attendance: A: Members must attend meetings in person or on line regularly to retain voting privileges. Members missing two or more meetings or club activities consecutively, (unless notifying an officer in advance of extenuating circumstances) will lose voting privileges until regular meeting attendance is resumed and recognized by the officers. B: Officers are required to attend all meetings in person or on line (unless extenuating circumstances are involved). In the case of extenuating circumstances and/or dispute against an officer's attendance, inquiry and/or charges will be presented to the club membership at the next regular meeting for review and/or action. SECTION 9: Termination of Membership: A. Resignation: . . . . 1) General membership may give a written notice to any officer. 2) Membership of officers may resign from the club by submitting a written notice to the Club President. 3) Membership of the President will be submitted to the officers and the IOEBA President. 4) No member can resign when in debt to the club.
B. By lapsing - a membership will be considered as lapsed and automatically terminated if such members dues remain unpaid after first official meeting of each year. C. By expulsion - a membership may be terminated by expulsion; the expulsion process is as follows: 1) Charges: Any member may present charges against a member for
alleged misconduct prejudicial to the best interest of the club and/or the breed. 2) Hearing: The member charged with alleged misconduct shall be allowed to state his/her defense at a call for a special meeting to address said charges. Members may vote to drop the charges, suspend the member for a period of time up to three months, or expulsions, if charges warrant. a) Terms of Special Meetings Pertaining to Charges:i. Meeting will be held no more than 45 days after charges are presented. ii. Notification for meeting must be mailed out to all members no less than 30 days before date of meeting. iii. Only members present at the meeting will be allowed to vote. iv. If the special meeting is not held within 45 days of the alleged charges being brought forth the option for expulsion may no longer be considered. v. This meeting must be recorded in detail by the secretary. Minutes of this meeting must be presented by email or postal mail to the IOEBA office within 7 days. SECTION 10: Dissolution:In the event of dissolution of the club, none of the property of the club, any proceeds thereof or any assets of the club shall be distributed to any members of the club. All payments of the debts of the club shall be paid and any proceeds thereafter shall be donated to another United Canine Association sanctioned club that has obtained tax exempt status. SECTION 11: Exclusivity:The club pledges that upon achieving IOEBA sanctioned status, all sub promotions, functions and information are to be used exclusively to promote IOEBA shows and events and the IOEBA club advancement. SECTION 12: Electronic Information Sharing:A. Voting No official business shall be voted on by members not currently attending meetings in person or on line at which voting is taking place. All voting will be recorded by club Secretary and kept on record for the club.
B. Polling For the purposes of membership communication, electronic polling and opinions will be accepted through the club website and by email to officers. Polling can only be posted by club officers to the club website. C. Meeting Protocol No official records of meetings shall be made by electronic means, which include, but are not limited to: typing, voice recording, video taping, electronic transferring (instant messaging, emailing, etc.), or by any cellular means. D. Exceptions Secretary or person serving as secretary for the official meeting. E. Internet and Confidentiality No meeting minutes may be posted on internet websites, YouTube, message boards, or other public forums, electronic or otherwise. All members receiving electronic or hard copies of minutes agree to hold minutes confidentially between members unless otherwise agreed, in official meeting, to make public.
