Original strategy was to provide management services to the medical comm unity affiliating with physicians, medical providers, and medical networks. The Company also developed medical malls and medical office buildings for leading h ospitals and health systems. The Companys strategy changed and became more focu sed on clinical research during 1998.

Consummated Initial Public Offering during January, 1996, raising more than $110 million. Responsible for preparation of all financial sections of Registration Statement. IPO was a roll-up of several business entities which had been recen tly purchased and operated under common control prior to the offering. Therefor e, IPO Registration Statement required extensive pro-forma financial statements to be prepared and included audits of many of the businesses which had been rece ntly acquired. Participated with Chief Executive Officer on road show and had e xtensive dealings with investment bankers and various auditors during due dilige nce process and completion of Registration Statement. Worked with investment ba nkers on preparing five-year financial projections for Company. Responsible for selecting and meeting with bank and negotiating terms of $100 mi llion line-of-credit with banks for working capital and acquisition purposes. P rovided continual updates on the Company to the banks which included bank meetin gs, compliance certificates, amendments, etc. Responsible for SEC reporting including 10Qs and 10Ks and any pro-forma financia l statements required due to acquisitions/dispositions. Worked with investment bankers and other members of management to look at strate gic options when Physician Practice Management industry became unwieldy. Assist ed in developing a plan to divest from the Physician Practice Management busines s and focus on clinical research. Worked with advisors and potential acquirers to sell businesses that had been selected to be divested. M ediplex was purchased from Avon Products, Inc. by a private entity (of which I w as the Controller) during August, 1990. Mediplex completed a public offering du ring August, 1991 and was later sold during June, 1994 to a publicly-traded nurs ing home operator. Worked with acquisition group on purchase of Mediplex from Avon Products, Inc., including preparation of operating budgets and pro forma financial statements. Controller of Mediplex until shortly after completion of public offering when I became the Chief Financial Officer. Worked with Investment Bankers and other members of management in completion of public offering and Registration Statement. Participated in road show. Spent time on due diligence for various acquisitions of both public and private entities. Responsible for preparation of operating budgets and pro forma financial statem ents.
