Robert P. Abele, Trustee (Trustee), through counsel, hereby requests entry of an Order, pursuant to 11 U.S.C. 327(a) and 503 and Fed. R. Bankr. P. 2014, to approve employment of Lynn H. Butler and Porter Rogers Dahlman &

Gordon, P.C. as special counsel for the Trustee. The Trustee also requests that such employment be effective as of the filing of this Application. The following is relevant: 1. Debtor filed his Voluntary Petition under Chapter 7 of Title 11,

United States Bankruptcy Code on August 30, 1999, and the Trustee became the duly appointed Chapter 7 Trustee. 2. On November 16, 2001, this Court entered its Amended Order

approving a compromise between the Debtor and the Trustee regarding nonexempt personal property of the estate. 3. On April 3, 2002, upon Debtor's default under the compromise, the

Trustee filed a Notice of Default of Settlement Agreement and Intent to Seize NonExempt Personal Property.

On July 15, 2002, the Trustee requested the Court enter Judgment

On August 20, 2002, this Court entered Judgment in favor of the

Trustee based on the Debtor's default in payments pursuant to the Settlement Agreement. 6. Austin, Texas. 7. The Trustee wishes to employ Lynn Butler of Porter Rogers In the meantime, upon information and belief, the Debtor moved to

Dahlman & Gordon, P.C. ("Porter Firm"), as special counsel to pursue collection against the Debtor in Texas. The Trustee asserts that Mr. Butler and the Porter Firm are familiar with the claim and are well qualified to represent the Trustee in this matter. 8. To the best of Trustees knowledge, neither Mr. Butler nor the

Porter Firm have any connection with the creditors, or any other party in interest, or any of their respective attorneys, or any person employed in the office of the United States Trustee, and represents no interest adverse to the Trustee or the bankruptcy estate. 9. The Trustee wishes to employ Mr. Butler and the Porter Firm, who

has considerable experience in matters of this character and are well qualified to provide such services, at hourly rates as set forth below: Lynn H. Butler Lynn A. Kratsas Partner Associate $185.00 $150.00 $45 - $60.00

Paralegals/Legal Assistants 10.

The payment of any fees or costs to Mr. Butler or the Porter Firm

will be only upon application and further Order of this Court. 11. Mr. Butler estimates that the fees incurred in the collection of the

judgment from Mr. Madsen will be between $2,000.00 and $3,000.00.

In return for the above-disclosed compensation arrangements, Mr.

Butler and the Porter Firm will provide legal services for collection of the Judgment. 13. Based upon the Declaration of Lynn Butler attached hereto, the

Trustee believes that Mr. Butler and the Porter Firm do not hold or represent any interest adverse to that of the Trustee, the Debtor, or the estate in the matter upon which they are to be engaged, and that their employment would be in the best interest of this estate. WHEREFORE, Trustee prays that the employment of Lynn Butler and Porter Rogers Dahlman & Gordon, P.C., under the terms specified, be approved by this Court. DATED this 28th day of April 2003. DECLARATION OF LYNN H. BUTLER, PURSUANT TO FED. R. BANKR. P. 2014(A) I, Lynn H. Butler hereby declare as follows: 1. I am a partner at Porter Rogers Dahlman & Gordon, P.C. (the

"Porter Firm"), and a member of the Texas Bar Association duly licensed to practice in the State of Texas. 2. Robert P. Abele, Trustee (Trustee) in the above-captioned

bankruptcy proceeding, wishes to employ me to act as Trustee's special counsel in the collection of a Judgment against Kleinstrup Jorden Madsen ("Debtor"). 3. To the best of my knowledge, neither I nor the Porter Firm have any

connection with the Debtor, his creditors, or any other party in interest, or any of their respective attorneys and accountants, the United States Trustee, or any person employed in the office of the United States Trustee. Should any matters be

discovered which may reveal potential conflicts, this Declaration will be amended to disclose those matters. 4. The hourly rates which will be charged to the estate by the Porter
