Your request for issue of tender document for Electro-mechanical Works for Chanju-1 HEP (3X12000KW) located in Chanju Nala in Ravi river basin in Tehsil Churah, District Chamba, Himachal Pradesh , India vide your letter No. BFL/MKT/MUN/545/307 dated 5th May, 2011. The Tender Document Comprising for E&M works (GTS i.e., Turbine, Governing system, Main Inlet Valve, Generator, Excitation & AVR, SCADA System, Cooling Water and Drainage System) Volume-1 to III were collected by you personally from IA Energy Office Shimla during May, 2011. SCOPE OF WORK We confirm having accepted your proposal submitted in your bid vide your letter no. CONDITIONS OF AWARD 3.1 This award is being issued to you on the mutually agreed terms and conditions detailed herein and read in conjunction with all the specifications, terms and conditions of Bid Documents and letters referred under Para 1.0 above. The Scope of Work shall be completed by you strictly in accordance with all the specifications, terms & conditions of the Bid documents and letters read in conjunction with specific confirmations/resolutions to provisions of the Bid Documents as mentioned under Para 1.0 above. All other conditions, exceptions or deviations, whether explicit or implicit, contained in your bid proposal including those mentioned in your subsequent communications referred to in Para 1.0 above which have not been specifically agreed by I A Energy and accordingly not incorporated in this LOA, stand automatically withdrawn by yourself, without any cost implications to I A Energy.

The total Ex-works prices specified under para 4.1 above are exclusive of Excise Duty and Taxes which shall be paid by the purchaser separately. However, the supplier shall produce documentary evidence against excise duty, while making request for the payment.

Central Sales tax @ 2% on above prices against Form "C' shall be reimbursed by the purchaser on submission of documentary proof. Any other tax if applicable, in the Purchasers country shall be borne and reimbursed by the purchaser on submission of documentary proof. The prices mentioned at Para 4.1 above are FIRM and shall not be subjected to any adjustments whatsoever during the performance of the entire Contract.

MODE AND TERMS OF PAYMENT The terms of the mode of payment shall be in accordance with the provisions of clause 3.2 of General conditions of the bid document and as detailed here under:

Advance Bank guarantee for 10 % of the Contract value to be given by the Contractor as stated in GCC of bid document, on receipt of the bank guarantee the 1st advance payment Ten percent (10%) of the Contract Price shall be released by the employer within one month from the time of signing of the Contract agreement through DD/RTGS/EFT. The Advance Bank Guarantee will be valid up to the end of completion of supply of goods as per the Contract. Ten percent (10 %) of the Contract Price (ex work price) as 2nd advance payment through DD/RTGS/EFT within 30 days of making the 1st advance payment, against submission of the following documents by the contractor to the Employer 1. Power House (PH) Station arrangement drawings (Elevation & plan Section, tail race layout and equipment layout & location at different floors). 2. 3. Single Line Diagram (SLD) Loading data of the equipment for design of civil structures of the power house. Seventy five percent (75 %) payment of the Contract Price (Ex works price) + 100% taxes & duties as applicable, on dispatch of equipments after inspection by employer will be paid through irrevocable LC against submission of LR copy/Invoice/Inspection certificates. Balance (ex works price) Five percent (5 %) payment on commissioning of power plant PAYMENT PROCEDURES Payment to Contractor shall be made through DD/ RTGS/ EFT/ Irrevocable LC. Irrevocable LC will be opened within 120 days from the date of signing of the

Local Transportation and Inland Insurance In respect of local transportation the following payments shall be made:For plant to be supplied at site, 90 % payment shall be payable within 60 days on receipt of material at site. (The local transportation and inland insurance is covered in the price of Rupees 24.265 crores) . Installation Services In respect of installation services for the following payments shall be made: Five Percent (5%) of total installation service amount as interest free advance payment against receipt of invoice as acceptable Guarantee for the equivalent amount made out in favour of the Employer.

Seventy Percent (70%) of the measured value of work performed by the Contractor , as identified in the said program of Performance , during the preceding month , as evidenced by the Purchasers authorization of the Contractors application , will be made monthly within 60 days after receipt of invoice shall be payable at this stage. For the installation services is separate contract shall be signed for which the amount shall be Rs. 2,42,65,000 and delivery of material upto site contract shall be for the Rs. 21,83,85,000 only. Ten Percent (10%) of the total or pro rate value of installation services performed by the contractor upon issue of the Completion Certificate within 60 days after receipt of invoice. Five Percent (5%) of the total or pro rata value of installation services performed by the contractor upon issue of the Operational Acceptance Certificate within 60 days after receipt of invoice. 6.0 TIME FOR COMMENCEMENT AND COMPLETION PERIOD The Time of Completion of Facilities shall be determined from the date of receipt of 1st Advance from the Employer by the Contractor. Total time for completion of supply, erection and commissioning of electromechanical equipment as covered in the TG Package is Twenty One (21) months, provided all of the following conditions have been fulfilled within a period of one (1) month from the date of receipt of 1st advance.

(a) This Contract Agreement has been duly executed for and on behalf of the Employer and the Contractor; (b) The Contractor has to submit to the Employer the advance payment guarantee within ten days from issue of letter of intent;

(c ) The Employer will pay the first advance to the contractor within 30 days of receipt of advance bank guarantee; Each party shall use its best efforts to fulfill the above conditions for which it is responsible as soon as practicable. 6.1 If the conditions listed under 6 are not fulfilled within one (1) month from the date of receipt of 1st advance payment because of reasons attributable to the Contractor/ Employer, the Contract would become effective only from the date of fulfillment of all the above mentioned conditions and the parties shall discuss and agree on an equitable adjustment to the Contract Price and the Time for Completion and/or other relevant conditions of the Contract. It is clearly understood that time for commencement and completion period as specified at schedule 2.2 of General condition of contract shall be adhered strictly.

LIQUIDATED DAMAGES A sum @ 0.5% of per unit contract price each week delay in completion of the unit or part thereof until actual completion up to a maximum deduction of 10% of the Contract price.

PACKING The packing shall be done in accordance with the procedure specified at different section/paras of technical specifications .

TRANSPORTATION & INLAND INSURANCE 9.1 Being delivery at site, inland transportation, site storage , erection , commissioning of equipment & insurance from Ex-works to site & during erection is under the scope of M/s B fouress. The Supplier has to inform IA energy the expected date of readiness of goods at the Ex-works 30 days in advance. The Supplier shall also give all information concerning the weight, size and content of each package including any other information, the Owner may reasonably require within the period specified in clause 9.1 above. The Supplier shall prepare detailed packing list of all packages and containers, bundles, materials forming each and every consignment.

PROGRESS REPORT The supplier shall submit monthly progress report indicating the activities and milestones achieved alongwith photographs.

CONTRACT AGREEMENT The supplier has to sign contract agreement with the purchaser within 3 days from the date of issue of LOA. The contract will be signed in two original and the Supplier shall be provided with one signed original and the second copy will be retained by the Purchaser. Subsequent to signing of the Contract, the Supplier at his cost shall provide the Purchaser with five (5) true hard bound copies of Contract Agreement along with a soft copy in PEN DRIVE within thirty (30) days after signing of the contract .

12.0 GUARANTEE / WARRANTY In accordance with Clause 6 of GCC and clause 4 & 7 of SCC, you shall warrant that all the goods will be new, unused and in accordance with the specifications prescribed in Bidding Documents and free from defects arising due to deficiencies in design and engineering and from defects in material and workmanship for a period of 24 (twenty four) calendar months commencing from putting the goods in use or 36 months from the date of receipt at site whichever is earlier. 13.0 CHANGE IN QUANTITY

The Purchaser reserves the right to vary the quantity of each item upto + (15%) during the currency of Contract and the Supplier shall supply the quantity so varied and the Contract Price shall be adjusted accordingly. In case the variation of quantity is in fraction, it will be rounded off to the next whole number. 14.0 CONTRACT PERFORMANCE SECURITY In accordance with Clause No.6.6 of information and instructions to bidder section B of Volume-1, towards the successful performance of the entire scope of work covered under this Letter of Award, the supplier shall submit an unconditional and irrevocable Bank guarantee equivalent to ten percent (10%) of contract price within 7 days from date of notification of award with a validity upto sixty (60) days after expiry of guarantee period. 15.0 QUALITY REQUIREMENTS In accordance with clause nos. 1.1.5, 1.1.6 & 1.10 of technical specification VolumeII Sec F-A (Quality Assurance, Inspection & Tests) and other requirement mentioned under various clauses of technical specifications, the supplier shall supply all requisite information / documents and will comply with the inspections and tests as per Quality plan specified in Bid document before the dispatch of the material. 16.0 ASSIGNMENT AND SUBLETTING OF CONTRACT You will not assign, sublet or sub-contract any part of the Contract without prior specific written approval from IA Energy. 17.0 CORRESPONDENCE

18.0 SETTLEMENT OF DISPUTES AND ARBITRATION It is specifically agreed that all disputes or differences whatsoever, arising out of this Contract between the parties whether during the progress of the work or after its completion, shall be settled by process of settlement and arbitration as specified in Clause No. 1.6 of GCC.

19.0

GOVERNING LAWS AND JURISDICTION The Contract shall be interpreted in accordance with the laws of India and rules as amended from time to time and shall be subjected to the jurisdiction of Courts at Shimla/Chamba (India) irrespective of the place of supply, the governing law shall be as specified under clause 1.5 of GCC.

CONSIGNEE The consignee of the contract shall be notified separately.

The EIC of the contract shall be notified separately. The supplier shall furnish the Detailed Schedule indicating all the activities starting from date of LOA to dispatch of Goods within 7 days from the issue of LOA.
