ARTICLES OF AGREEMENT
A CONTRACT made . day of . 20 . between the Government of Malaysia (hereinafter called the Government) of the one part and Bakti Jaya Resources Sdn. Bhd. Of (or whose registered office is Situated at ) No. 97, Tingkat 1, Kompleks peruda Baru, Jalan Sultan Badlishah, 05000 Alor Setar, Kedah ( hereinafter called the Contractor) of the other part.

WHEREAS
(1) The Government is desirous of obtaining the design, construction, equipping* and maintenance*of MEREKABENTUK, MEMBINA DAN MENYIAPKAN PERUMAHAN DAN LAIN LAIN KEMUDAHAN # (hereinafter referred to as the Works) at PENJARA SUNGAI PETANI, KEDAH DARUL AMAN for which Works the Government has issued to the Contractor its requirements (hereinafter referred to as the Governments Requirements) and instructed the Contractor to design the Works and to submit proposals including drawings and specification for carrying out the Works : The Contractor has examined the site and has submitted proposals including drawings and specification for carrying out the Works (hereinafter referred to as the Contractors Proposal): The Contractor has made an estimated of the sum which he will require for carrying out that which is necessary for completing all the Works in accordance with the Conditions of Contract and has submitted an analysis of that sum (hereinafter referred to as the Contract Sum Analysis): The Government has examined the Contractors Proposal and the Contract Sum Analysis and subject to the Conditions of Contract, is satisfied that they pay appear to meet the Governments requirement.+ First Recital

NOW IT IS HEREBY AGREED AS FOLLOWS : Article 1 For the consideration mentioned in Article 2 the Contractor shall upon and subject to the Conditions of Contract both complete the design for the Works and carry out construction of the Works. Articles 2 The Government hereby covenants to pay to the Contractor the sum of Malaysian Ringgit : Five Million Nine Hundred Twenty Eight Thousand Eight Hundred Eighty Nine Only i.e. RM 5,928,889.00 (hereinafter referred to as the Contract Sum) or such other sum as shall become payable hereunder at the times and in the manner specified in the Conditions of Contract. Article 3 Article 3 The Governments Requirements, the Contractors Proposals including drawings and specifications, the Contract Sum Analysis and the Contract Schedule of Rates have been perused and read by the Parties and are identified in Appendix 3,4,5 and 6 to the Conditions of Contract.
