This trust is made on March 26th, 2012, between _____ of Columbia, Richland County, South Carolina, herein called

Settlor, and ________ of Columbia, Richland County, South Carolina, herein after called Trustees. Recitals I have transferred certain property to the trustees contemporaneously with signing this trust agreement, the receipt of which they acknowledge and which is described in Exhibit A attached hereto; and the parties to this agreement acknowledge that all property transferred or devised to the trust nor or in the future is to be administered and distributed according to the terms of this agreement. Article I Reservation of Rights During my life I reserve the following rights, to be exercised without the consent of participation of any other person. 1. To amend, in whole or in part, or to revoke this agreement by a written declaration. 2. To add any other real or personal property to the trust by transferring such property to the trustees, and to add any other property by my will. The trustees shall administer and distribute such property as though it had been part of the original trust property. 3. To make payable to the trustees death benefits from insurance on my life, annuities, retirement plans, or other sources. If I do so, I reserve all incidents of ownership, and I shall have the duties of safekeeping all documents, of giving any necessary notices, of obtaining proper beneficiary designations, of paying premiums, contributions, assessments or other charges, and of maintaining any litigation. 4. To receive annual written accounts from all trustees (or the personal representative of any deceased trustee). My approval of these accounts by writing delivered to another trustee shall cover all transactions disclosed in these accounts and shall be binding and conclusive as to all persons. 5. To direct the trustees as to the retention, acquisition, or disposition of any trust assets by a writing delivered to the trustees. Any assets retained or acquired pursuant to such directions shall be retained as the part of the trust assets unless I otherwise direct in writing. The trustees shall not be liable to anyone for any loss resulting from any action taken in accordance with any such direction of mine. 6. To examine at all reasonable times the books and records of the trustees insofar as they relate to the trust. Article II Disposition of Trust Assets Unless I am disables, the trustees, after paying the proper charges and expenses of the trust, shall pay to me during my lifetime the entire net income from the trust property annually, and the trustees shall also pay to me and any other person who is a financial dependent of mine, in accordance with my written instructions, such portions of the principal of the trust

property as I direct. If I become disabled by reason of illness, accident, or other emergency or I am adjusted incompetent, the trustees, other than myself, are authorized and directed to pay to me or for my benefit such portions of the trust income or principal as the trustees deems necessary to provide for my care, comfort, support, and maintenance. On my death, the trustees, if requested by the personal representative of y estate shall, or in their own discretion may, directly or through the personal representative of my estate, pay the expenses of my last illness and funeral, my valid debts, the expenses of administering my estate, including nonprobate assets, and pay all estate, inheritance, generation-skipping, or other death taxes that become due because of y death, including any interest and penalties. Also, on my death, I give all my tangible person property to _____, my son, if he survive me, or if her does not survive me to ________, my daughter. (I request the recipient of any tangible person property to distribute the same as I may have indicated informally by memorandum or otherwise.) The trustees shall distribute all of the trust property not effectively disposed of by the preceding provision of this agreement in equal shares to the persons named below. If any person named below does not survive me, such persons share shall be distributed per stirpes to such persons descendants who survive me. ___________, my son __________, my daughter Article III Selection of Trustees Trustees shall be appointed, removed and replaces as follows: unless I am disabled, I reserve the right and power to remove any trustee and to appoint successor or additional trustees. If I become disabled, I shall cease to be a trustee. On my death or disability, my ____, _____, may at any time appoint an individual or corporate trustee and may remove any individual or corporate trustee so appointed. Article IV Trustee Powers and Provisions The powers granted to my trustees may be exercised during the terms of this trust and after the termination of the trust as is reasonably necessary to distribute the trust assets. All of the powers are to be discharged without the authorization or approval of any court. I hereby give to my trustees the following powers: (a) To retain the property described in Exhibit A and to receive property added to the trust estate from any person, provided such property is acceptable to the trustee. (b) To sell at private or public sale, exchange, lease, and mortgage or pledge any and all of the real or personal property of the estate. (c) To repair, improve, and protect (insure) trust property. (d) To invest and reinvest, to sell or exchange the principal of this trust in such securities as trustee shall in his discretion deem to be reasonable, expedient, or proper. (e) To vote in person or by proxy all stocks or other securities held by the trustee.

(f) To pay income and necessary principal to the beneficiary or directly for the care, comfort, support, and maintenance of the settlor should he become disabled by reason of illness, accident, or other emergency, or be adjudicated incompetent. (g) To pay reasonable fees for professional services regarding the trust. (h) To settle, contest, compromise, submit to arbitration or litigate claims in favor of or against the estate. (i) To exercise with respect to the trust property held by the trustee, all rights, powers, and privilege as are lawfully exercised by any person owning similar property in his or her own right. Among the administrative provisions of this trust, I request no bond or other indemnity shall be required of any trustee nominated or appointed in this trust. I expressly waive any requirement that this trust be submitted to the jurisdiction of any court, or that the trustees be appointed or confirmed, that their actions be authorized, or that their accounts be allowed, by any court. This waiver shall not prevent any trustee or beneficiary from requesting any of these procedures. Article V General Governing Provision The validity of the trust and the construction of its provisions shall be governed solely by the laws of the State of South Carolina s they now exist or may exist in the future. The settlor and the trustees have signed this agreement in duplicate on or as of the date appearing at the beginning of this agreement and the trustees accept their appointment as trustees by signing this agreement. _________________ Settlor and Trustee _________________ Trustee _________________ Trustee
