Valet Services Contract

This Valet Services Contract is made effective as of June 01, 2012, by and between Dorian Mayhew Rothschild ("Mr. Rothschild") of 123 Main St., San Francisco, California 94103, and G Men Valet Services ("G Men Valet") of 440 Montgomery St., San Francisco, California 94103.

DESCRIPTION OF SERVICES. Mr. Rothschild hereby agrees to engage G Men Valet to provide Mr. Rothschild with valet services (collectively, the " Services") to be performed at the following event(s): Mary and James Rothschild Wedding on June 01, 2012 G Men Valet will provide valet parking services for automobiles and motorcycles to the patrons, visitors and invitees of Mr. Rothschild. G Men Valet shall provide appropriate signage, including any directional signage deemed necessary regarding the valet parking service. G Men Valet shall employ experienced parking attendants at the location and they shall be responsible for receiving, parking and delivering the vehicles belonging to the patrons, visitors and invitees. PAYMENT. Service Recipient agrees to pay Service Provider in consideration of the services contracted for the sum of $8,500.00 to be paid upon completion of the services described in this contract. TERM. The Mr. Rothschild and the G Men Valet agree that this Contract between the parties is for valet service that shall commence on the above date and complete on June 02, 2012. Said agreement may be extended and/or renewed by agreement of all parties in writing thereafter. Time is of essence. SPACE FOR VALET SERVICE. Mr. Rothschild agrees to identify an appropriate area having not less than 250 for the purpose of providing valet parking service during the event/events. INDEMNIFICATION. G Men Valet agrees to indemnify and hold Mr. Rothschild harmless from all claims, losses, expenses, fees including attorney fees, costs, and judgments that may be asserted against Mr. Rothschild that result from the acts or omissions of G Men Valet and/or G Men Valet's employees, agents, or representatives. WARRANTY. G Men Valet shall provide its services and meet its obligations under this Contract in a timely and workmanlike manner, using knowledge and recommendations for performing the services which meet generally acceptable standards in G Men Valet's community and region, and will provide a standard of care equal to, or superior to, care used by service providers similar to G Men Valet on similar projects.

CONDITION OF PARKING LOT. G Men Valet accepts the Parking Lot in its "As-Is" state of repair and condition, and Mr. Rothschild expressly agrees that Mr. Rothschild has made no representations to G Men Valet regarding the condition of the Parking Lot. No alterations to the Parking Lot shall be made by G Men Valet without first obtaining Mr. Rothschild's written consent, which Mr. Rothschild may grant or withhold in Mr. Rothschild's sole and absolute discretion. G Men Valet shall keep the Parking Lot free from any liens arising out of any work performed, materials furnished or obligations incurred by, and shall indemnify Mr. Rothschild in connection with any such liens. G Men Valet shall maintain the Parking Lot in a neat, clean and safe condition during the Special Events. Without limiting the generality of the foregoing sentence, G Men Valet shall not permit any vehicles to remain in the Parking Lot overnight, nor perform any repair work to any vehicles in the Parking Lot, nor permit any vehicle owners to perform any repair work to any vehicles in the Parking Lot. Any vehicles violating the foregoing restrictions shall be towed at G Men Valet's expense. G Men Valet shall further endeavor to cause the vehicle owners to (i) access Mr. Rothschild's Property by using any available pedestrian walkways and paved areas, (ii) keep off any landscaped areas, and (iii) deposit any trash in designated trash receptacles, and not to leave any trash or litter in the Parking Lot. G Men Valet shall be responsible for removing any trash or debris from the Parking Lot at the conclusion of each event. DEFAULT. The occurrence of any of the following shall constitute a material default under this Contract: a. The failure to make a required payment when due. b. The insolvency or bankruptcy of either party. c. The subjection of any of either party's property to any levy, seizure, general assignment for the benefit of creditors, application or sale for or by any creditor or government agency. d. The failure to make available or deliver the Services in the time and manner provided for in this Contract. REMEDIES. In addition to any and all other rights a party may have available according to law, if a party defaults by failing to substantially perform any provision, term or condition of this Contract (including without limitation the failure to make a monetary payment when due), the other party may terminate the Contract by providing written notice to the defaulting party. This notice shall describe with sufficient detail the nature of the default. The party receiving such notice shall have 1 days from the effective date of such notice to cure the default(s). Unless waived by a party providing notice, the failure to cure the default(s) within such time period shall result in the

automatic termination of this Contract. ENTIRE AGREEMENT. This Contract contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this Contract. This Contract supersedes any prior written or oral agreements between the parties. SEVERABILITY. If any provision of this Contract will be held to be invalid or unenforceable for any reason, the remaining provisions will continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision will be deemed to be written, construed, and enforced as so limited. AMENDMENT. This Contract may be modified or amended in writing, if the writing is signed by the party obligated under the amendment. GOVERNING LAW. This Contract shall be construed in accordance with the laws of the State of California. NOTICE. Any notice or communication required or permitted under this Contract shall be sufficiently given if delivered in person or by certified mail, return receipt requested, to the address set forth in the opening paragraph or to such other address as one party may have furnished to the other in writing. WAIVER OF CONTRACTUAL RIGHT. The failure of either party to enforce any provision of this Contract shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Contract.
