Din (director identification number)
Pre name application (minimum 6 names)
Application of name availability comprising 6 names and main objects clause.
Presenting application to ROC with necessary documents like MOA/AOA like dir 12, inc 22, inc 7.
Follow up with ROC after paying registration fees and make necessary changes required to
MOA/AOA and other legal documents.
Get approval and apply for certificate of commencement of business and company formation
information.

6th day documents prepared and sent for stamping and notarization.

MEMORANDUM OF ASSOCIATION CLAUSES

Name clause : name of registered entity and company name should end
with limited.
Registered office clause: registered office of the state.
Object clause : objects of company.
Liability clause : stating the liability of each member is limited.
Capital clause : authorized share capital.
Association clause : information about 1 st shareholders and no of shares
allotted to each of them
ARTICLES OF ASSOCIATION

Constitutions : if AOA content differs from the meaning as presented in the

companies act then that need to be specifically mentioned here.
Interpretations: define various terms that are used in rules and regulations
applicable to AOA as if you go by company act then write it there or else
have to write our own definition.
Share capital clause: mention authorized capital of the company and how
the company will forfeit its share and buy back its shares and how share
certificate will be issued to the shareholders and how shares can be
transferred.

the company, powers and duties of directors, borrowing powers of
directors, accounts and audits , secrecy, indemnity , nomination of

Companys seal : most important asset of the company as the rules
and regulations of AOA should clearly state how we are going to keep
the seal , where and how the seal is going to be used.
Subscription page: name, fathers name, address, PIN no, occupation ,
signature.
